Wayne introduced the two new board members – John Jackowski and Melissa Brady. Melissa was unable to attend today’s meeting due to a work conflict. A motion to accept the August 1, September 12, and October 13 meeting minutes was made by Jim W. and seconded by Frank. All voted and the motion passed unanimously. Frank presented the Treasurer’s report  The treasurer’s report was discussed, but not accepted as final because the Old Point Bank account had not been received by the treasurer. Nonetheless, no issues were noted.  The board wants to thank Frank for his service as Treasurer. Officer Elections – Election of Treasurer  Wayne and Randy confirmed that Melissa Brady is willing to serve as PSA Treasurer, if elected.  A motion to elect Melissa Brady as the PSA Treasurer was made by Frank and seconded by Garth. All voted and the motion passed unanimously. Bylaw Amendments  Draft amendments were distributed to the board prior to the board meeting.  Angela briefly reviewed the noted changes – clarification of financial audit requirements, board member oaths, and other minor edits.  A motion to amend the bylaws was made by Jim W. and seconded by Frank. All voted and the motion passed unanimously. 2 11/25/2022  Angela will contact City Internal Audit and Finance staff to determine if other financial review procedures would be agreeable for the PSA. Garth Wallis will coordinate any identified procedures with City staff. Fire System Services  Jim updated the board on Johnson Control activities. We currently do not have a contract, and we need one. The recommended contract is for 1 year, with four 1-year renewal options.  Potential payments previously referenced by McCord may result in a PSA credit.  A motion to enter into a contract with Johnson Control was made by Jim W. and seconded by Frank. All voted and the motion passed unanimously.  Angela will work with City Procurement to get a cooperative agreement ready for PSA signature. Locker Room Renovation and Proposed Clubhouse  Frank and Wayne continue to work with Woolpert. A summary of their programming meeting was discussed.  Design fees are for 2 buildings; Construction fees are for 1 building.  Project timing has not been finalized.  City is meeting with Woolpert to finalize contract. Dugouts  Frank presented current drawings to the board.  ODU is “ok” with project.  PSA will continue discussions with Community Baseball and others on the project. Parking Lot Gates and Barricades  Jim W. has researched the possibility of 4 gates plus baseball bollards. We have several options but need formal estimates or quotes (obtained a gate quote for $17,800 and bollard quote for $20,000; also should consider temporary waterfilled bollard).  Will need PSA approval for expense, also need feedback from some City departments regarding bollard placement. Commemorative Coin  Jim W. has talked with the City.  PSA / stadium will be represented on the 2023 City coin.  City and coin manufacturer are finalizing the design. Box Seat Repairs  Stadium winter project included box seat cleanup.  Concrete foundation repairs are necessary.  Repair work to be performed by Community Baseball.  A motion to reimburse Community Baseball $5000 to fill in holes in box seats with concrete was made by Jim W. and seconded by Frank. All voted and the motion passed unanimously. Windscreen  Stadium winter project included a small section of new windscreen for the left field bull pen.  A motion to reimburse Community Baseball $1277 to purchase windscreen from Rosenbaum was made by Jim W. and seconded by Frank. All voted and the motion passed unanimously. 3 11/25/2022 Pilots Update  Fan Installation – collaborating with electrician on drawings and inspections  Drainage – ongoing city project. More obstructions than expected have been reported by the contractor. The Chair adjourned the meeting at 1:15. Next meeting on December 5, 2022, at 12:00 (noon) War Memorial Stadium.
