The Texas Open Meetings Act prohibits deliberation by the members of the Charter Commission of any subject which is not on the posted agenda, therefore the Charter Commission will not be able to discuss or take action on items not listed on this agenda, other than to make statements of specific factual information or to recite existing policy in response to the inquiry. Vacancies • Vacancies shall be filled by the appointing authority within 30 days. • The appointing authority will be notified immediately of a known vacancy Section 5. Ethics Members shall: • Comply with state conflict-of-interest laws • Avoid ex parte influence regarding charter drafting • Conduct deliberations only in posted meetings • Treat fellow members and the public with respect Section 6. Removal Members may be removed for: • Excessive number of unexcused absences • Violation of ethics laws • Inability to serve Removal requires majority vote of the Commission members. ARTICLE IV — OFFICERS Section 1. Officers Officers shall include: • Chair • Vice Chair • Secretary Section 2. Election of Officers Officers shall be elected by majority vote at the first meeting. Section 3. Duties Chair 4 Page 19 of 23  Agenda Item #5.5.A. • Presides over meetings • Sets agendas with staff • Serves as primary spokesperson • Presides over community meetings Vice Chair • Acts in absence of Chair Secretary • Designated by the City Mayor • Ensures records, minutes, and documents are maintained ARTICLE V — MEETINGS Section 1. Open Meetings All meetings shall comply with the Texas Open Meetings Act. Section 2. Regular Meetings Regular meetings shall be held at least 1 times per month unless otherwise voted. Section 3. Special Meetings May be called by the Chair or by three members with at least three business days (excluding weekends/holidays) posted notice. Section 4. Quorum A majority of the appointed membership constitutes a quorum. Section 5. Public Participation of City of Haslet Residents • Each regular meeting shall include public comment periods for the citizens of the City of Haslet. • Time limits may be set by the Chair • Comments submitted in writing may be read in their entirety, may be paraphrased, grouped or placed into the record without reading in order to maintain an efficient use of the Commissions time. ARTICLE VI — RULES OF PROCEDURE 5 Page 20 of 23  Agenda Item #5.5.A. Section 1. Parliamentary Authority Proceedings shall be guided by Robert’s Rules of Order Newly Revised, except where inconsistent with law or these bylaws. Section 2. Motions • Charter text requires a motion and second • Amendments must be in writing Section 3. Voting • Adoption of any charter section requires majority vote of those present • Final charter approval requires 2/3 majority of the full membership Section 4. Minority Reports Members may submit written minority opinions to accompany the draft charter. ARTICLE VII — COMMITTEES Section 1. Standing Committees The Commission may establish sub-committees to serve the commission such as: • Governance Structure • Elections & Ethics • Finance & Budget • Citizen Rights & Initiatives Section 2. Committee Membership Appointed by Chair; must include at least three members. Section 3. Committee Authority Committees may recommend language but cannot adopt charter provisions. ARTICLE VIII — Community Outreach The Commission may establish procedures for community outreach including workshops, surveys, and informal sessions. 6 Page 21 of 23  Agenda Item #5.5.A. ARTICLE IX — RECORDS AND TRANSPARENCY • All drafts are public records • Minutes shall record votes and major deliberations • Draft versions shall be dated and archived • The final charter must be publicly available before submission • Regardless of a loss of one or more members, all work survives until the Dissolution of the Commission ARTICLE X — LEGAL AND STAFF SUPPORT The City shall provide: • Legal counsel • Administrative staff • Meeting space • Public notice support • Department Heads or other staff provided by the City Mayor or City Council ARTICLE XI — TIMELINE The Commission shall adopt a work schedule including: 1. Research Phase 2. Public Input Phase 3. Drafting Phase 4. Review & Revision 5. Final Approval ARTICLE XII — AMENDMENT OF BYLAWS These bylaws may be amended by: • Two-thirds vote of members present • Provided the amendment does not conflict with state law 7 Page 22 of 23  Agenda Item #5.5.A. ARTICLE XIII — DISSOLUTION The Commission automatically dissolves upon: • Submission of the proposed charter to the City Council, or • Completion of duties as defined by law 8 Page 23 of 23
