CITY OF HENDERSON REDEVELOPMENT AGENCY MINUTES REGULAR MEETING Tuesday, August 20, 2019 I. CALL TO ORDER Chairman March called the Redevelopment Agency Meeting to order at 5:30 p.m., in the City Council Chambers, City Hall, 240 Water Street, Henderson, Nevada 89015. Chairman March announced the meeting is being video recorded and streamed live over the Internet. II. CONFIRMATION OF POSTING AND ROLL CALL The Secretary confirmed the Redevelopment Agency Meeting had been noticed in compliance with the Open Meeting Law by posting the Agenda three working days prior to the meeting at City Hall, the Multigenerational Center, the Whitney Ranch Recreation Center, Fire Station No. 86, the Nevada Public Notice Website, the City of Henderson Website, and by mailing and emailing a copy of the Agenda to everyone appearing thereon on the Agenda Master Mail and Email List. ACCEPTANCE OF AGENDA (Motion) Member Dan H. Stewart moved to accept the agenda as presented. The roll call vote favoring passage was: Those voting aye: Debra March, John F. ITEMS OF BUSINESS RDA-1 MINUTES REDEVELOPMENT AGENCY MEETING JULY 16, 2019 REDEVELOPMENT City of Henderson Redevelopment Agency Meeting minutes of July 16, 2019. (Motion) Member Michelle Romero moved to adopt the City of Henderson Redevelopment Agency Meeting minutes of July 16, 2019. The roll call vote favoring passage was: Those voting aye: Debra March, John F. Marz, Michelle Romero, Dan K. Shaw, and Dan H. Stewart. Those voting nay: None. Those absent: None. Those abstaining: None. Chairman March declared the motion carried. RDA-2 REDEVELOPMENT AREAS DISCLOSURE COUNCILWOMAN MICHELLE ROMERO CITY CLERK'S OFFICE Accept and enter into the official record for the August 20, 2019, Redevelopment Agency Meeting, the Redevelopment Areas Disclosure for Councilwoman Michelle Romero, as required per NRS 279.454 Stacey Brownfield, Secretary, stated that Councilwoman Michelle Romero has filed a Disclosure of Interest in Redevelopment Areas form disclosing a direct or indirect financial interest in a redevelopment area. This form has been submitted as backup, and will be entered into the official record of the August 20, 2019, Redevelopment Agency meeting as required by Nevada Revised Statutes. Marz moved to accept and enter into the official record for the August 20, 2019, Redevelopment Agency Meeting, the Redevelopment Areas Disclosure form for Councilwoman Michelle Romero, as required per NRS 279.454, and note that Councilwoman Romero is disclosing a direct or indirect financial interest in a redevelopment area. The roll call vote favoring passage was: Those voting aye: Debra March, John F. Marz, Dan K. Shaw, and Dan H. Stewart. Those voting nay: None. Those absent: None. Those abstaining: Michelle Romero. RDA-3 LAND PURCHASE AND SALE AGREEMENT AND JOINT ESCROW INSTRUCTIONS ASSESSOR’S PARCEL NUMBERS 179-18-710-229, 179-18-710-230, 179-18-710-224, 179-18-710-223 AND 179-18-710-240, GENERALLY LOCATED AT 211 AND 219 SOUTH WATER STREET AND 210, 214, AND 218 SOUTH TEXAS AVENUE REDEVELOPMENT Land Purchase and Sale Agreement and Joint Escrow Instructions between the City of Henderson Redevelopment Agency, as buyer, and the City of Henderson, as seller, for the purchase of Assessor’s Parcel Numbers 179-18-710-229, 179-18-710-230, 179-18-710-224, 179-18-710-223 and 179-18-710-240, generally located at 211 and 219 South Water Street and 210, 214, and 218 South Texas Avenue, commonly referred to as “Site D”, for redevelopment purposes, for the purchase price of $399,000.00, and authorize the Executive Director to execute and deliver all documents to be delivered by the Agency thereunder. Anthony Molloy, Interim Redevelopment Manager, presented a summary of this item. (Motion) Member Michelle Romero moved to approve the Land Purchase and Sale Agreement and Joint Escrow Instructions between the City of Henderson Redevelopment Agency, as buyer, and the City of Henderson, as seller, for the purchase of Assessor’s Parcel Numbers 179-18-710-229, 179-18-710-230, 179-18-710-224, 179-18-710-223 and 179-18-710-240, generally located at 211 and 219 South Water Street and 210, 214, and 218 South Texas Avenue, commonly referred to as “Site D”, for redevelopment purposes for the purchase price of $399,000.00, and authorized the Executive Director to sign and deliver all documents to be delivered by the Agency thereunder. RDA-4 RESOLUTION INTENT TO CONSIDER THE SALE OF “SITE D,” CONSISTING OF 0.98 ACRES REDEVELOPMENT Executive Director/CEO Derrick introduced and read Resolution No. 134 by title. A RESOLUTION OF THE CITY OF HENDERSON REDEVELOPMENT AGENCY, CLARK COUNTY, NEVADA, EXPRESSING ITS INTENT TO CONSIDER THE SALE OF APPROXIMATELY 0.98 ACRES OF VACANT LAND, REFERRED TO AS “SITE D,” IDENTIFIED AS ASSESSOR’S PARCEL NUMBERS 179-18-710-229, 179-18-710-230, 179-18-710-224, 179-18-710-223 AND 179-18-710-240, GENERALLY LOCATED AT 211 AND 219 SOUTH WATER STREET AND 210, 214, AND 218 SOUTH TEXAS AVENUE, TO STRADA LV, LLC, A NEVADA LIMITED-LIABILITY COMPANY, FOR THE PROPERTY’S APPRAISED VALUE OF $399,000.00. Councilwoman Michelle Romero made the following disclosure statement: “I need to disclose that the company that I consult for in my private capacity, Union Village, LLC, has an ongoing business relationship with John Marchiano. He represents the company in various developments before the City. Mr. Marchiano also represents the proposed buyer on this item. His work on this item is not related to Union Village, and I don’t believe that my employer’s business relationship with Mr. Marchiano will materially affect the independence of my judgment or that of a reasonable person in my situation, and I intend to vote on this item. Nonetheless, I have been advised by counsel to make this disclosure pursuant to the Nevada Ethics in Government Act and in order to promote transparency.” Anthony Molloy, Interim Redevelopment Manager, presented a summary of this item, and reviewed the proposed uses of this project. (Motion) Member Dan H. Stewart moved to adopt Resolution No. 134. The roll call vote favoring passage was: Those voting aye: Debra March, John F. Marz, Michelle Romero, Dan K. Shaw, and Dan Stewart.
