ANNOUNCEMENT OF MEETING (OPEN PUBLIC MEETINGS ACT NOTICE) ◦ I hereby announce that pursuant to Section 5 of the Open Public Meetings Act that adequate notice of this meeting has been provided in the notice which was sent to the Asbury Park Press, the Two River Times and posted on the bulletin board in Township Hall and filed in the Township Clerk's Office on December 26, 2025. 2. Commenters are asked to state his or her full name and address for the record before entering comments. ◦ Lance Lupi, Line Road- Mr. Lupi asked about the municipal vacancy rules. Matt Weisfeld, Riverside Lane- Mr. Weisfeld commented on the PILOT program and environmental issues at the former Vonage site. RESOLUTION APPOINTING ________ TO VACANCY CAUSED BY RESIGNATION OF DOMENICO "DJ" LUCCARELLI ◦ Motion was made by Committeeman Impreveduto to appoint Gary Vanderham to fill the vacancy caused by the resignation of Committeeman DJ Luccarelli. Motion was seconded by Deputy Mayor LaMountain. ◦ 2025-329 Resolution Appointing Gary Vanderham to fill Vacancy Caused by Resignation of Domenico "DJ" Luccarelli RESULT: CARRIED. Mr. Vanderham made introductory remarks to the residents and stated that he is looking forward to serving the community. 7. ADJOURNMENT ◦ The meeting was adjourned by acclimation at 11:05 AM. Township Clerk Page 2 of 4  RESOLUTION TOWNSHIP OF HOLMDEL COUNTY OF MONMOUTH RESOLUTION APPOINTING GARY VANDERHAM TO VACANCY CAUSED BY RESIGNATION OF DOMENICO “DJ” LUCCARELLI WHEREAS, in January 2024, Domenico “DJ” Luccarelli was sworn into office as a member of the Township Committee for a three-year term; and WHEREAS, at the close of business on December 22, 2025, Mr. Luccarelli resigned from said office, causing a vacancy in membership on the Township Committee; and WHEREAS, such vacancies are governed by the Municipal Vacancies Law, N.J.S.A. 40A:16-1 et seq.; and WHEREAS, N.J.S.A. 40A:16-5(a) authorizes the Township Committee to fill a vacancy that occurs after September 1 in the next-to-last year preceding the office becoming vacant for the remainder of the term, as is the case here; and WHEREAS, because Luccarelli was elected to office as a nominee of the Republican Party, an appointment to fill the vacancy is governed by the following process prescribed by N.J.S.A. 40A:16-11: Appointment to fill vacancy where incumbent was nominee of a political party; time to fill vacancy. If the incumbent whose office has become vacant was elected to office as the nominee of a political party, the municipal committee of the political party of which the incumbent was the nominee shall, no later than 15 days after the occurrence of the vacancy, present to the governing body the names of three nominees for the selection of a successor to fill the vacancy. The governing body shall, within 30 days after the occurrence of the vacancy, appoint one of the nominees as the successor to fill the vacancy. If the governing body fails to appoint one of the nominees within the time prescribed herein, the municipal committee that named the three nominees shall, within the next 15 days, appoint one of the nominees as the successor to fill the vacancy, and such person shall be sworn in immediately. If the municipal committee which nominated the incumbent fails to submit the names of the nominees within the time prescribed herein, the governing body may, within the next 15 days, fill the vacancy by the appointment of a successor from the same political party which had nominated the incumbent whose office has become vacant. 2025-329 Page 3 of 4 ; and WHEREAS, on December 23, 2025, the Township Clerk wrote the Chair of the Holmdel Republican Committee to provide it notice of the vacancy caused by the resignation of Mr. Luccarelli and the opportunity to exercise the foregoing statutory prerogative pursuant to N.J.S.A. 40A:16-11; and WHEREAS, on December 24, 2025, the Chair of the Holmdel Republican Committee wrote the Township Clerk in response to her letter advising that the Holmdel Republican Committee presents Gary Vanderham, Thomas G. Mann, and Thomas F. Critelli as three nominees to fill the vacancy caused by Mr. Luccarelli’s resignation from the Township Committee; and WHEREAS, pursuant to N.J.S.A. 40A:16-11, the Township Committee seeks to appoint Gary Vanderham, one of the three nominees presented by the Holmdel Republican Committee, to fill the vacancy caused by the resignation of Domenico “DJ” Luccarelli for the remainder of the unexpired term through December 31, 2026; and WHEREAS, Gary Vanderham is a resident and registered voter of the Township of Holmdel for at least one year prior to the date of adoption of this resolution, and is therefore eligible to serve on the Township Committee pursuant to New Jersey law, including but not limited to N.J.S.A. 40A:63-2(a) and N.J.S.A. 40A:9-1.12 et seq. WHEREAS, N.J.S.A. 40A:16-7 provides that “ an appointment to fill a vacancy in the membership of a governing body shall be by a majority vote of the remaining members of the governing body.” NOW, THEREFORE BE IT RESOLVED that the Township Committee of the Township of Holmdel hereby appoints Gary Vanderham to fill the vacancy in the Township Committee caused by the resignation of Domenico “DJ” Luccarelli, consistent with the foregoing. BE IT FURTHER RESOLVED that this Resolution shall take effect immediately upon adoption.
