The Township Committee of the Township of Holmdel was called to order on Thursday,
January 22, 2026, at 7:00 PM, in the Committee Meeting Room, with the following members
present:

1. ANNOUNCEMENT OF MEETING (OPEN PUBLIC MEETINGS ACT
NOTICE)
◦ I hereby announce that pursuant to Section 5 of the Open Public Meetings Act
that adequate notice of this meeting has been provided in the notice which was
sent to the Asbury Park Press, the Two River Times and posted on the bulletin
board in Township Hall and filed in the Township Clerk's Office on January 6,

◦ Mayor Impreveduto presented the Holmdel Cub Scouts with a proclamation
congratulating them on their work with local food pantries.
7. WASTE WATER TREATMENT AT FORMER VONAGE SITE
◦ Mr. Impreveduto and Mr. Foster along with Township professionals met with
the developers to discuss solutions to the environmental concerns from the
residents. The developers agreed to install sewer that would connect to the
Bell Works pump station. The pipe would only be large enough for the
development on the former Vonage site, and would be paid for by a special
assessment to the residents of the new development.
◦ Mayor Impreveduto requested a motion to amend the developers agreement
pending further due diligence with the Township attorney and engineers.

◦ Jennie Blumenthal, Stoney Brook Road- Ms. Blumenthal asked about
Resolutions 2026-44 and 2026-52.
Anne Marie Buontempo, Grandview Drive- Ms. Buontempo inquired about the
pesticides used in mosquito spraying, and if the public would be informed
before the spraying occurs.
Kin Gee, Sage Street- Mr. Gee stated he supports the Committee's efforts to
find an environmental solution to the waste water management system at the
former Vonage site.
Kelly Witkowski, Silver Beech Court- Ms. Witkowski inquired about the special
assessment for the sewar plans at the former Vonage site.
Patrick Trischitta, Line Road- Mr. Trischitta stated he is in full support of the
purchase of a new ambulance.
Ron Emma, Ladwood Drive- Mr. Emma asked if the First Aid Squad needs a
new ambulance, and what the call totals were for the last year.
Victoria Scotto-Lovino, Hidden Hollow Terrace- Ms. Lovino asked about
updating rules for the Planning Board.
Mary Ellen Principe, Bethany Road- Ms. Principe asked about the electric
vehicle purchase on the consent agenda.
Scott Silberman, Ely Road-Mr. Silberman identified himself as Planning Board
Chairman and spoke to the complication associated with serving in this role.
Anne Marie Buontempo, Grandview Drive- Ms. Buontempo inquired about
discrepancies between the different phases of the Vonage site redevelopment
plans.
Peter Franco, Hop Brook Lane- Mr. Franco asked who will own the proposed
force main being installed at the former Vonage site.

Kristen Solaro, Hop Brook Lane- Ms. Solaro thanked the Committee for coming
up with a better environmental solution to the waste water treatment at the
former Vonage site.
Lance Lupi, Line Road- Mr. Lupi inquired about the cost of the new ambulance.
Jay Yanello, Ladwood Drive- Mr. Yanello inquired about the other developers
ability to connect to the new sewer pipe connecting the former Vonage site to
the Bell Works pump station.
Billy Little, Coventry Square- Mr. Little encouraged the Committee to compare
long term costs of electric vehicles vs. gas powered vehicles.
Joanne Lam, Holland Road- Ms. Lam asked if the professionals hired by
residents to review the proposed plans for the redevelopment of the former
Vonage site could be reimbursed by the Township.
Peter Franco, Hop Brook Lane- Mr. Franco asked about conditions of the
sewer agreement between the Township and the developers of the former
Vonage site.

was a record number of fire and first aid calls in the last year.

Mayor's office hours are being held.
Liv Young, Grandview Drive- Ms. Young thanked the Township Committee for
listening to residents concerns regarding the redevelopment at the former
Vonage site.
Scott Silberman, Ely Road- Mr. Silberman stated he believes the utility work in
town is just replacing the old telephone poles with new ones.
Kin Gee, Sage Street- Mr. Gee stated he is happy to know that the new sewer
pipes will not be large enough for additional developers to connect.

WHEREAS, the Open Public Meetings Act provides that the Township Committee may
enter into Executive Session to discuss matters that are of a confidential nature, pursuant to
N.J.S.A. 10:4-12; and
WHEREAS, it is recommended by the Township Attorney and Township Administrator
that the Township Committee enter into Executive Session to discuss matters set forth
hereinafter which are permissible for discussion in Executive Session.
NOW, THEREFORE, BE IT RESOLVED by the Township Committee of the Township

WHEREAS, the Chief Financial Officer has certified that there is a sufficient budget appropriation

RESOLUTION ESTABLISHING A POLICY REQUIRING THE CLAIMANT
CERTIFICATION PURSUANT TO N.J.S.A. 40A:5-16(B)
WHEREAS, N.J.S.A. 40A:5-16 requires that the governing body of any local unit shall not pay
out of its monies unless:
(a) the person claiming or receiving payment first presents a detailed bill of items or demand,
specifying particularly how the bill or demand is made up (the Invoice), with the certification of
the party claiming payment that the bill or demand is correct (the Claimant Certification).
(b) the payment carries a written or electronic certification of some officer or duly designated
employee of the local unit having knowledge of the facts that the goods have been received by,
or the services rendered to, the local unit (certification of the user department).
WHEREAS, N.J.A.C. 5:30-9A.6(c), N.J.A.C. 5:31-4.1, and Local Finance Notice 2018-13 gives
local units discretion to not require claimant certification by enacting a standard policy by
resolution for vendors or claimants who do not provide such certification as part of its normal
course of business; and
WHEREAS, the Chief Financial Officer has in place internal accounting controls and has
determined same to be sufficient to avoid errors and fraud in the processing of claims for
payment.
NOW, THEREFORE BE IT RESOLVED, by the Township Committee of the Township of
Holmdel that authorization is given as follows:
1. The aforementioned recitals are incorporated herein as though fully set forth length.
2. The Township hereby establishes a policy requiring the claimant certification pursuant to
N.J.S.A. 40A:5-16(b) under the following circumstances only:
a. Advances or reimbursement of employee expenses, or
b. Services provided exclusively and entirely by an individual (e.g. sole proprietors)
3. The Township reserves the right, in its sole discretion, to require claimant certification as
it deems necessary and appropriate.
4. This policy regarding claimant certifications shall be communicated to vendors.
5. This resolution will supersede the requirements of the Township of Holmdel Code
Section 2-83.1 until such time as the Code is amended.
6. This Resolution shall take effect immediately.

RESOLUTION
TOWNSHIP OF HOLMDEL
COUNTY OF MONMOUTH
RESOLUTION ADDRESSING PAST PROFESSIONAL SERVICES APPOINTMENTS
WHEREAS, at its January 5, 2026 meeting, the Township Committee adopted Resolution 2026-
05, awarding Professional Services Contracts for Special Counsel pursuant to RFP, which inadvertently
made awards to Apruzzese, McDermott, Mastro & Murphy, P.C and Surenian, Edwards & Nolan LLC;
and
WHEREAS, at said meeting, the Township Committee also adopted Resolution 2026-06,
awarding Professional Services Contracts for Consulting Engineer pursuant to RFP, which inadvertently
made an award to Paulus Sokolowski and Sartor LLC; and
WHEREAS, pursuant to a subsequently obtained proposal, the Township desires to award a
professional services resolution to Apruzzese, McDermott, Mastro & Murphy, P.C. as special counsel, as
a non-fair and open contract pursuant to the provisions of N.J.S.A. 19:44A-20.4 et seq., in an amount not
to exceed $17,500.
NOW THEREFORE BE IT RESOLVED by the Township Committee of the Township of
Holmdel as follows:
1. The foregoing recitals are hereby incorporated as if set forth at length.
2. Resolutions 2026-05 and 2026-06 are hereby modified to remove the inadvertent
professional services contract awards as set forth in the preamble.
3. The Township Committee hereby awards a professional services contract to Apruzzese,
McDermott, Mastro & Murphy, P.C. for the provision of legal services as Special
Counsel to the Township on an as-needed basis during calendar year 2026, consistent
with the foregoing, in amount not to exceed $17,500.
4. The Mayor and the Clerk are hereby authorized and directed to execute a professional
services agreement consistent with the foregoing, copies of which shall be maintained by
the Clerk with notices of the awarded contract advertised in the Township’s official
newspaper pursuant to law.

RESOLUTION OF THE TOWNSHIP OF HOLMDEL AUTHORIZING
THE EXECUTION OF AN AGREEMENT BETWEEN HOLMDEL TOWNSHIP
AND THE COUNTY OF MONOUTH FOR THE RIDE IN MONOUTH
PROGRAM
WHEREAS, the County of Monmouth (hereinafter “Monmouth County”) has an
established program which provides transportation services for disabled persons and
those 60 years of age and older; and
WHEREAS, this program, the Ride in Monmouth services are available to
participating municipalities and it is the desire of the Holmdel Township Committee that
this program be available to Township residents.
NOW, THEREFORE, BE IT RESOLVED by the Township Committee of the Township
of Holmdel, in the County of Monmouth, State of New Jersey as follows:
1. The Mayor is hereby authorized to execute an agreement between the County
of Monmouth and the Township of Holmdel for Ride in Monmouth services,
substantially in the form as the attached, pursuant to the provisions of the Uniform
Shared Services and Consolidation Act, N.J.S.A. 40A:65-1, et seq.
2. Funding for this program, which is anticipated not to exceed $6,084 for the
year 2026, shall be subject to the approval and adoption of the Township’s 2026
Municipal Budget.
3. The Township Clerk is directed to forward a certified copy of this
resolution to the Township Administrator, Chief Financial Officer, and the
Monmouth County Division of Transportation.

RESOLUTION AUTHORIZING THE COUNTY OF MONMOUTH MOSQUITO CONTROL
DIVISION TO CONDUCT AERIAL MOSQUITO CONTROL OPERATIONS WITHIN THE
TOWNSHIP OF HOLMDEL
WHEREAS, the Monmouth County Board of Chosen Freeholders (the “County”), pursuant to
N.J.S.A 26:9-27 et seq. has elected through its Mosquito Control Division to perform all acts necessary
for the elimination of mosquito breeding areas and/or to exterminate mosquitoes within the County; and
WHEREAS, the County has instituted an Integrated Pest Management Program consisting of
surveillance, water management, biological control, and chemical control to exterminate the mosquito
population within the County of Monmouth; and
WHEREAS, prior to conducting aerial dispensing operations over a designated “congested area”,
the County is required, pursuant to Federal Aviation Administration Regulation (FAR Part 137.51) to
secure prior written approval from the governing body of the political subdivision over which the aircraft
is to be operated; and
WHEREAS, the Township of Holmdel is dedicated as a “congested area” by the Federal Aviation
Administration and the County has requested that this governing body consent to its proposed aerial
dispensing operations.
NOW, THEREFORE, BE IT RESOLVED by the Mayor and Township Committee as follows:
1. The Township Committee herby authorizes the County of Monmouth Mosquito Control Division
or its agent to apply pesticides by aircraft for mosquito control in certain areas of the municipality
designed by the County as being either larval mosquito habitat or areas harboring high
populations of mosquitoes constituting either a nuisance, a health hazard, or both with the
understanding that:
a. The County shall utilize pesticides, application equipment and aircraft that are approved for
aerial applications by the applicable Federal (USEPA) and State (NJDEP) agencies; and
b. Such operations will be performed in compliance with applicable Federal and State
regulations; and
c. The County will notify the Police Department of each municipality over which aerial
pesticide operations are planned prior to commencement of such operations.

RESOLUTION AWARDING PROFESSIONAL SERVICES CONTRACT FOR THE SAFE
STREETS AND ROADS FOR ALL COMPREHENSIVE ACTION PLAN PROJECT
WHEREAS, there exists a need for the Township to retain professional services for
providing a Safe Streets and Roads for all Comprehensive Safety Action Plan; and
WHEREAS, while the Local Public Contracts Law, N.J.S.A. 40A:11-5(1)(a), does not
require competitive bidding for professional services, the Township nevertheless issued a request
for proposals as part of a fair and open process pursuant to N.J.S.A. 19:44A-20.5, with
submissions having been received and considered for the position for this project; and
WHEREAS, subject to the certification of availability of funds by the Chief Financial
Officer, the following firm has submitted a qualifying proposal to provide a Safe Streets and
Roads for All Comprehensive Action Plan, upon the terms set forth in their respective proposals:
Van Cleef Engineering.
NOW, THEREFORE, BE IT RESOLVED that the Township Committee of the
Township of Holmdel hereby awards professional services contract to the foregoing firm for the
provision of the Safe Streets and Roads for All Comprehensive Action Plan project, consistent
with the foregoing.
BE IT FURTHER RESOLVED that the Mayor and the Clerk are hereby authorized and
directed to execute professional services agreements consistent with the foregoing, copies of
which shall be maintained by the Clerk with notices of the awarded contracts advertised in the
Township’s official newspaper pursuant to law.

RESOLUTION APPPOINTING A FULL TIME INFORMATION
TECHNICAL ASSISTANT IN THE DEPARTMENT OF
INFORMATION TECHNOLOGY
WHEREAS, the Holmdel Township Information Technology Department is in need of a
full-time Information Technical Assistant to fill a vacant position; and
WHEREAS, the Director of Information Technology has recommended the appointment
of Meredith Kushpa to fill the position.
NOW, THEREFORE, BE IT RESOLVED by the Township Committee of the Township
of Holmdel, County of Monmouth, State of New Jersey that Meredith Kupsha is hereby
appointed to the position of full-time Information Technical assistant in the Information
Technology Department effective February 9, 2026 and shall be compensated at the rate of
$70,000.00 per year in accordance with the terms of the collective bargaining agreement.

THEREFORE, the governing body authorizes Chris Cherbini, Holmdel Township
Administrator to execute a grant agreement with the State in an amount up to that awarded for
the proposed project, and to seal the grant agreement.

RESOLUTION APPROVING AMBULANCE PROCUREMENT PURSUANT TO
COOPERATIVE PURCHASING AGREEMENT WITH THE HOUSTON-GALVESTON
AREA COUNCIL COOPERATIVE PURCHASING PROGRAM
WHEREAS, procurements completed by the Township of Holmdel (“Township”) are
typically governed by the provisions of the Local Public Contracts Law (“LPCL”), N.J.S.A.
40A:11-1 et seq.; and
WHEREAS, notwithstanding the provisions of the LPCL, N.J.S.A. 52:34-6.2(b)(3)
authorizes the Township to “make purchases and contract for services through the use of a
nationally-recognized and accepted cooperative purchasing agreement that has been developed
utilizing a competitive bidding process”; and
WHEREAS, pursuant to this authority, the Township is a member of the Houston-
Galveston Area Council cooperative purchasing program (“HGAC”), which satisfies the
foregoing statutory criteria; and
WHEREAS, through HGAC Contract AM10-23, the Township seeks to complete the
procurement of an ambulance from VCI Emergency Specialists, in the total amount of $375,000,
as set forth in the proposal attached hereto and incorporated by reference; and
WHEREAS, the Township has determined that the use of the cooperative purchasing
agreement with HGAC for this procurement “shall result in cost savings, after all factors,
including charges for service, material, and delivery, have been considered,” as required by
N.J.S.A. 52:34-6.2(b)(3); and
WHEREAS, to the extent required by the provisions of N.J.S.A. 19:44A-20.4 et seq., the
vendor shall complete and submit a Business Entity Disclosure Certification which certifies that
they have not made any reportable contributions to a political or candidate committee in the
Township of Holmdel in the previous one year, and that the contract will prohibit same from
making any reportable contributions through the term of same, pursuant to N.J.S.A. 19:44A-20.5
et seq., which shall remain on file for 10 days prior to entering into any contract with the vendor;
and
WHEREAS, any contract entered into pursuant to this resolution shall remain subject to
review and approval as to legal form by the Township Attorney; and
WHEREAS, the Chief Financial Officer has certified that adequate funds for this
contract are available.
NOW, THEREFORE, BE IT RESOLVED that the Township Committee of the
Township of Holmdel hereby awards a contract to VCI Emergency Vehicle Specialists, for the
provision of an Ambulance in the total amount of $375,000, consistent with the foregoing.

AND THE COUNTY OF MONOUTH FOR THE RIDE IN MONOUTH
PROGRAM
WHEREAS, the County of Monmouth (hereinafter “Monmouth County”) has an
established program which provides transportation services for disabled persons and
those 60 years of age and older; and
WHEREAS, this program, the Ride in Monmouth services are available to
participating municipalities and it is the desire of the Holmdel Township Committee that
this program be available to Township residents.
NOW, THEREFORE, BE IT RESOLVED by the Township Committee of the Township
of Holmdel, in the County of Monmouth, State of New Jersey as follows:
1. The Mayor is hereby authorized to execute an agreement between the County
of Monmouth and the Township of Holmdel for Ride in Monmouth services,
substantially in the form as the attached, pursuant to the provisions of the Uniform
Shared Services and Consolidation Act, N.J.S.A. 40A:65-1, et seq.
2. Funding for this program, which is anticipated not to exceed $6,084 for the
year 2026, shall be subject to the approval and adoption of the Township’s 2026
Municipal Budget.

WHEREAS, Colton Klobuchar has applied to become a Holmdel Township Firefighter and
has satisfied all applicable requirements.
NOW, THEREFORE, BE IT RESOLVED by the Mayor and Township Committee of
the Township of Holmdel that Colton Klobuchar is hereby appointed as a Holmdel Township
Firefighter.

TOWNSHIP OF HOLMDEL
COUNTY OF MONMOUTH
ORDINANCE CODIFYING HERITAGE ADVISORY COMMITTEE
WHEREAS, pursuant to the Township of Holmdel’s (“Township”) plenary power to
establish advisory councils pursuant to N.J.S.A. 40A:63-7(d), there exists a Heritage Committee;
and
WHEREAS, the Heritage Committee advises the Township Committee on issues facing
various communities in the Township, as well as coordinating various cultural activities and
events; and
WHEREAS, the Heritage Committee is currently an ad-hoc committee that is re-
appointed annually by Resolution at the beginning of each calendar year; and
WHEREAS, the Township Committee seeks to permanently codify the Heritage
Committee as a standing advisory council in the Township Code.
NOW, THEREFORE, BE IT ORDAINED, by the Township Committee of the
Township of Holmdel, in the County of Monmouth, State of New Jersey, as follows:
SECTION 1. Section 2-71, titled “Heritage Advisory Committee” is hereby established as
follows:
2-71.1 Heritage Advisory Committee Established.
A Heritage Advisory Committee is hereby established and shall be commonly known as
the Heritage Committee.
2-71.2 Membership; Qualifications; Terms of Office; Vacancies.
The Heritage Committee shall consist of five (5) members appointed annually by
Resolution of the Township Committee during its annual reorganization meeting. All members
of the Heritage Committee shall be appointed on the basis of their experience, qualifications, and
fitness for service to the Heritage Committee. A vacancy on the Heritage Committee otherwise
than by expiration of a term shall be filled for the unexpired term in the same manner as the
original appointment.

2-71.3 Compensation.
The members of the Heritage Committee shall serve without compensation.
2-71.4. Officers.
The members of the Heritage Committee shall choose from among the members a
Chairman.
2-71.5. Duties.
The Heritage Committee shall serve in an advisory capacity, providing guidance to the
Township Committee regarding issues facing various communities in the Township, identifying
opportunities for deeper Township engagement, and ideating ways in which the Township can
address and engage in various areas affecting the Township’s diverse populations. The Heritage
Committee may make recommendations, which shall be transmitted to the Township Committee
by the Township Committee liaison. Members of the Heritage Committee are also encouraged to
attend public meetings of the Township Committee that involve discussions or actions relating to
the Township’s finances, including but not limited to the annual budget.
2-71.6 Meetings.
The Heritage Committee shall hold meetings on a quarterly basis, or at the request of the
Chairman.
2-71.7 Assistance to Committee; Access to Municipal Records.
The Heritage Committee shall receive from all officials and all authorized boards,
departments, and offices of the Township such assistance as may be reasonably required by the
Heritage Committee in performing its duties, and the Heritage Committee shall also be given
access to all publicly available municipal records and information which may be appropriate in
assisting the Heritage Committee in the performance of its duties.
SECTION 2. Severability.
The provisions of this Ordinance shall be severable. In the event that any portion of this
Ordinance is found to be invalid for any reason by any Court of competent jurisdiction, such
judgment shall be limited in its effect only to the portion of the Ordinance actually adjudged

invalid and shall not be deemed to affect the operation of any other portion thereof, which shall
remain in full force and effect.
SECTION 3. Repealer.
All ordinances and resolutions, and parts of ordinances and resolutions which are inconsistent
with provisions of this ordinance shall be, and are hereby, repealed to the extent of any such
inconsistency.
SECTION 4. Effective Date.
This ordinance shall take effect upon final adoption and publication in accordance with law.

This Ordinance establishes the Heritage Advisory Committee.
CERTIFICATON
The foregoing ordinance was introduced and passed on the first reading at a meeting of
the Township Committee of the Township of Holmdel held on January 5, 2026 and will be
considered for final passage and adoption at a meeting of said Township Committee to be held
on January 22, 2026 at Township Hall, 4 Crawfords Corner Road, Holmdel, NJ at 7:30 PM at
which time and place all persons desiring to be heard thereon will be given full opportunity.
