OLD TOWN LA VERNE BUSII{ESS IMPROVEMENT DISTIRICT MINUTES OF THE SPECIAL MEETING Monday, February 22, 2024 I WELCOME AND CALL TO ORDER Chairperson Walters called the meeting to order at 5:03 p.m. The following board members were present: Craig Walters, Marianne Stark, Mickey Rehm, and George Henderson. Not Present: Zvhey Espinoza. City Representatives present: Community Development Director Eric Scherer City Manager Ken Domer and Secretary Natalie Hiatt. Others present: Danielle Vega, Teresa Becker, Mia Valdez, and Francisco Ramirez. 2. CALENDAR Cool Cruise Sat. April 6,2024 - 10am - 4pm Wine Walk Sat. April 27,2024 - 5pm-8:30pm 3. APPROVAL OF THE MINUTES None 4. NEW BUSINESS A. Association and Board Responsibilities - Chairperson Walters stated that the meeting was called to review and define the roles and responsibilities of the District Board and Association. Mr. Scherer stated that the Association was adopted in 2018 for the purpose of promoting and marketing Old Town. Mr. Domer discussed defining the roles of the Association and the District Board and recommended hiring someone to assist with the events. Mr. Scherer recommended establishing a MOU to clearly define the roles of the District. Mr. Scherer reviewed the 2023-24 district budget with the group. He clarified that the City should not receive the sponsorship money for the Beer and Wine Walk events and instead this should go directly to the Association. Ms. Stark stated that the Association receives 50% of the profit from the events. The Association is also responsible for paying the insurance and advertising costs. She stated concern with the ease of receiving payment after the event. 5 Mr. Scherer stated due to COVID-19 and the cancellation of the events the method of receiving the monies changed. The money was front loaded on the anticipated profit of the upcoming event. He recommended a one-time payment to the Association to catch up and then return to the previous 50% revenue transfer after the event. The group agreed that they can benefit from hiring an employee to assist the Association. Ms. Rehm and Mr. Walters volunteered to be on the budget sub-committee for the 2024-25 budget.
