MINUTES OF A REGULAR MEETING OF THE MAYOR AND COUNCIL OF THE
BOROUGH OF MADISON
April 8, 2024 - 7 p.m.
CALL TO ORDER
The Regular Meeting of the Mayor and Council of the Borough of Madison was held
on the 8th day of April, 2024. Mayor Conley called the meeting to order at 7:00 p.m.,
in the Committee Room of the Hartley Dodge Memorial, Kings Road, in the Borough
of Madison.
STATEMENT IN COMPLIANCE WITH THE OPEN PUBLIC MEETINGS ACT
The Borough Clerk read the statement pursuant to the Open Public Meetings Act:
“In compliance with the Open Public Meetings Act, adequate notice of this meeting
of the Council was provided by transmitting a copy of the meeting notice to the
Madison Eagle and Morris County Daily Record, posting a copy on the bulletin
board at the main entrance of the Hartley Dodge Memorial, and filing a copy in the
office of the Clerk, all on January 12, 2024. This Notice was made available to
members of the general public.”

Mayor Conley reconvened the Regular Meeting at 8 p.m. in the Council Chamber
with all members present. The Pledge of Allegiance was recited by all.
Mayor Conley asked for a moment of silence for the passing of longtime resident
Jessica Caro.

GREETINGS TO PUBLIC
Mayor Conley made the following comments:
Employee of the Month for April:
The Employee of the Month for April is Robert Duffy, Department of Public Works
Mr. Duffy ran the department smooth while the Director was on sick leave.
Swearing In of Fire Captain Robert M. Dunne
Mayor Conley administered the Oath of Office to Fire Captain Robert Dunne, who
was surrounded by his wife and family. There was a long round of applause.
MHS Champion Girls Basketball Team
Mayor Conley presented Certificates of Achievement to members of the Madison
High School Girls Basketball Team for their winning 2023-2024 season.
REPORTS OF COMMITTEES
Public Safety
Mr. Range, Chair of the Committee, made the following comments:
The Police Department reports that the speed limit signage on Kings Road was
officially changed last week to 25mph after being passed by Council this past winter.
Additionally, one digital radar sign was also installed this past week to assist with
speed enforcement. During the next several weeks, residents will see heavy speed
enforcement in the area of Kings Road. Officers will be educating motorists on the
new speed limit change. Please slow down and adhere to the 25mph speed limit.
On March 26th, Chief Miscia met with members of the Madison High School staff to
discuss intern programs for students who have interest in the law enforcement
profession. Chief Miscia hopes to have one to two MHS students intern at the police
department this upcoming school year. Chief Miscia and Captain Longo attended a
Community Connections Meeting with members of other county police agencies and
members of the prosecutor’s office. The topic was the ARRIVE program and how it
has been an immediate assistance to all our officers and those in need. The Fire
Department has officially started the Per-Diem EMT program. Their 1st shift was this
past Saturday night, and they are staffing an ambulance at this very moment. There
is now an ambulance scheduled around the clock in Madison. The Fire Department

has passed state requirements in both documentation and field inspection and
should be issued a NJ State Department of Health EMS Provider license on April
9th. Thank you to the firefighters and Chief Martin of the Cedar Knolls Fire
Department for providing help. On April 1, at 05:14 The Milburn Fire Department
requested the fire department to 150 JFK Parkway for a reported fire in a large
office building. Madison Rapid Intervention Team responded to assist. A fire in an
elevator shaft was found. Madison firefighters assisted in removing smoke from the
building. After the earthquake that struck the area on April 5, 2024, the Fire
Department did target inspections on buildings deemed more susceptible to damage
from earthquakes. No damage was found at this time. Reporting on the Finance
Department, Mr. Range noted that this Friday, the Borough is paying $175,362.50 in
bond proceeds. This represents the interest portion of the Borough Debt that
covered the construction of the Public Safety Building, renovations to Hartley Dodge
and the purchase of a Fire Truck. The second annual payment for this bond is on
October 15th of this year. That amount is $1,645,362.50 which covers the principal
and interest payments. These bonds were originally issued in 2008 and then
refinanced in 2014. We have another 4 years of payments and then this bond will
be completely paid off in 2028. Second, special thanks to the Finance Department,
tax department and personnel department for their work in completing the User
Friendly Budget Document. This is a statutorily required document that must be
filed with the official state budget. It is also available on the Annual Budget Process
page on Rosenet. As a reminder, the Council will hold a hearing on our municipal
budget on Monday evening April 22nd. The official state budget document is
available for public viewing on Rosenet, and hard copies are available in the Clerk’s
Office and at the library.

Utilities
Mr. Haralampoudis, Chair of the Committee, made the following comments:
Mr. Haralampoudis reported that the Electric Utility Department continues electric
pole transfer work on Walnut Street, as well as replacement of equipment on
Dellwood Road. The department also continues repair of street lights as needed.
The Water Department reports no interruptions in service and continued upgrades
to Well B. The Recreation Advisory Committee reports all spring sports are
underway and the annual Little League Parade will take place on Saturday, April 13,
2024 at noon.
Community Affairs
Ms. Honohan, Chair of the Committee, made the following comments:
The Downtown Development Commission's next regular meeting will be held on
Thursday, April 18th, at 7:15 p.m. in the 2nd Floor Committee Room in the Hartley
Dodge Memorial Building. The public is invited to attend. The Madison Farmers
Market will open for the 2024 season on Saturdays from May 25th through
December 14th in the Prospect Street Parking Lot, from 10:00 am until 3:00 pm.
The hope is that the new format will allow for greater participation closer to the heart
of Madison. A wide range of vendors have been applying. Musicians have been
booked to play every week, and local nonprofit organizations have been invited to
participate. The Downtown Development Commission launched a total refresh of the
event formerly known as May Day last year, and the event is now called Madison

Green & Clean. The event will again incorporate a town-wide beautification day on
Saturday, April 27th, from 9:00 to 2:00 pm. The rain date will be Sunday, April 28th.
The annual Arbor Day celebration will once again kick off the event. This event also
now features a focus on eco-friendly initiatives. Information on sponsorship,
donation, and volunteering is available on rosenet. The Chamber of Commerce will
hold Ladies Night is on Thursday, May 9th. Fire Extinguisher Inspections will take
place on Tuesday, June 4th from 11:30 am-3:30 pm. The Roseum Gallery has a
new show entitled Under the Open Sky, it features 74 works by 26 members of the
NJ PleinAir Painters. Gallery hours vary, and are posted on the Arts Center
Website. Works are also available to view during public events. The Summit Film
Society will be showing Indigo Girls: It’s Only Life After All on Saturday, April 13th.
Tickets are available either on the Film Society of Summit Website (where you can
purchase a membership) or on the MCAC website. The first reading of the New
Jersey Women Playwrights Program, as part of Earth Month, will be two one-acts:
The Polar Bear by Morristown resident Maryanne Melloan Woods and The Iceberg
Effect by Michele Kushner. The date is Sunday, April 14th, at 7:00 pm. MCAC has
also announced the Madison Mostly Dance Festival, which will feature nine
evenings of dance and plays and films about dance. The festival will begin on
Thursday, April 25, and run through May 5. Carolyn Dorfman Dance will present a
free Master Workshop on Friday May 3 at 10:00 am. Wednesday open mics nights
will be held April 10th and April 17th.
Health
Mr. Forte, Chair of the Committee, made the following comments:
With all the heavy rains last week, the Sewer Department was very busy. The
Borough completed a large capital improvement project three years ago at the North
Street Sewer pump station and one of the items were larger pumps that can move
more flow. With last week's heavy rain we saw little or no problem. We are working
on the Mill and Pave of streets and will be upgrading the storms inlets to the NJDEP
requirements. All downtown benches have been installed, and Madison is starting
to bloom. The Public Works Department is working with the Shade Tree
Commission on the plantings around town. This will occur in the coming weeks. If
residents would like a tree, please contact Public Works to be put on the list. The
Department has hooked up a charging station for the new electric mower. Mr. Forte
noted the Madison Health Department is conducting a community health survey and
encouraged all resident to participate. Please contact the Health Department for
more information.

questions and make comments on those items listed on the Agenda only. Mayor
asked that, upon recognition by the Meeting Moderator, each person give his/her
name and address in an audible tone of voice, for the record. He/she shall limit
his/her statement to three (3) minutes or less.
Since no member of the public wished to be heard, the invitation for discussion was

AGENDA DISCUSSIONS
04/08/2024-1 NATIVE PLANT ORDINANCE
Claire Whitcomb and Bridget Dailey of the Madison Environmental Commission
presented information regarding a proposed native plant ordinance, noting that the

ordinance applies to only future plantings on Borough owned properties. It exempts
rosebushes, seasonal displays and Veterans’ Memorials, which have time honored
traditions. Impervious coverage increased in Madison by 480 acres from 2001 to
2016, and native plants are an easy way to take action. Other benefits of an
ordinance include guidelines for upcoming projects and inspiration for homeowners.
04/08/2024-2 2023 ANNUAL ARBORIST REPORT
Borough Arborist Richard Wolowicz provided an annual Arborist Report to Council,
noting the State of the Trees in Madison, including damage from insects, storms,
weather extremes and diseases. In most cases, healthy trees have a better survival
rate. In particular, ash trees (mostly due to EAB) have suffered a major loss over the
past few years. Mr. Wolowicz provided statistics on tree removal and replacement of
both private and public trees, and suggested better tree protection systems during
construction.
ADVERTISED HEARINGS
Ordinances scheduled for hearing tonight were submitted in writing at a Regular
meeting of the Mayor and Council held on March 25, 2024, were introduced by title
and passed on first reading, were published in the Madison Eagle and made available
to members of the general public requesting same.
Mayor Conley called up Ordinances for second reading and asked the Clerk to read
said ordinances by title:
ORDINANCE 11-2024
CALENDAR YEAR 2024 ORDINANCE TO EXCEED THE MUNICIPAL
BUDGET APPROPRIATION LIMITS AND TO ESTABLISH A CAP BANK
(N.J.S.A. 40A: 4-45.13)
WHEREAS, the Local Government Cap Law, N.J.S.A. 40A: 4-45.1 et seq., provides that in
the preparation of its annual budget, a municipality shall limit any increase in said budget to
2.5% unless authorized by ordinance to increase it to 3.5% over the previous year’s final
appropriations, subject to certain exceptions; and,
WHEREAS, N.J.S.A. 40A: 4-45.15a provides that a municipality may, when authorized by
ordinance, appropriate the difference between the amount of its actual final appropriation
and the 3.5% percentage rate as an exception to its final appropriations in either of the next
two succeeding years; and,
WHEREAS, the Borough Council of the Borough of Madison in the County of Morris finds
it advisable and necessary to increase its CY 2024 budget by up to 3.5% over the previous
year’s final appropriations, in the interest of promoting the health, safety and welfare of the
citizens; and,
WHEREAS, the Borough Council hereby determines that a 3.5% increase in the budget for
said year, is estimated to be $806,634.85 in excess of the increase in final appropriations
otherwise permitted by the Local Government Cap Law, is advisable and necessary; and,
WHEREAS the Borough Council hereby determines that any amount authorized
hereinabove that is not appropriated as part of the final budget shall be retained as an
exception to final appropriations in either of the next two succeeding years.
NOW THEREFORE BE IT ORDAINED, by the Borough Council of the Borough of
Madison, in the County of Morris, a majority of the full authorized membership of this
governing body affirmatively concurring, that, in the CY 2024 budget year, the final

appropriations of the Borough of Madison shall, in accordance with this ordinance and
N.J.S.A. 40A: 4-45.14, be increased up to 3.5%, amounting to $806,634.85 and that the CY
2024 municipal budget for the Borough of Madison be approved and adopted in accordance
with this ordinance; and,
BE IT FURTHER ORDAINED, that any amount authorized herein above that is not
appropriated as part of the final budget shall be retained as an exception to final
appropriation in either of the next two succeeding years; and,
BE IT FURTHER ORDAINED, that a certified copy of this ordinance as introduced be
filed with the Director of the Division of Local Government Services within 5 days of
introduction; and,
BE IT FURTHER ORDAINED, that a certified copy of this ordinance upon adoption, with
the recorded vote included thereon, be filed with said Director within 5 days after such
adoption.
Mayor Conley opened up the public hearing on Ordinance 11-2024. Since no
member of the public wished to be heard, the public hearing was closed.
Mr. Range moved that Ordinance 11-2024, which was read by title, be finally
adopted. Mr. Haralampoudis seconded the motion. There was no Council
discussion, and the motion passed with the following roll call vote recorded:

Mayor Conley declared Ordinance 11-2024 adopted and finally passed and ordered
the Clerk to publish the notice thereof in the newspaper and to record the ordinance
as required by law.
INVITATION FOR COMMENT (2 of 2)
Mayor opened the meeting to the public for their opportunity to ask questions and
make comments on any subject. Mayor asked that, upon recognition by the
Meeting Moderator, each person give his/her name and address in an audible tone
of voice, for the record. He/she shall limit his/her statement to three (3) minutes
or less.
Judy Kroll; Laurel Way, representing the Friends of the Drew Forest thanked the
Mayor and Council for their continued support of the forest, and noted several native
plants in the forest.
Bridget Daley; Keep Street, shared facts about Oak Trees and offered support for
a native plant ordinance.
Clair Whitcomb, Fairwood Road, noted the passing Madison Music teacher Caryn
Elefante, who enriched the lives of many Madison students.
Lana Taradash, Harwood Drive, noted a motor vehicle accident at the corner of
Central and Cook Avenues on March 21st and asked that safety measure be
implemented at the intersection.

Ross Snyder; Pomeroy Road, noted more density downtown, and asked that
parking space be moved from intersections in the area.
INTRODUCTION OF ORDINANCES
The Clerk made the following statement:
The ordinance scheduled for introduction and first reading tonight will have a
hearing during the meeting of April 22, 2024 in the 2nd Floor Council Chamber of the
Hartley Dodge Memorial Building, Kings Road, in the Borough of Madison at 8 p.m.,
or as soon thereafter as practical, for further consideration and final adoption. Said
ordinance will be published in the Madison Eagle, be posted at the main entrance to
the Borough offices and be made available to members of the public requesting
same, as required by law.
Mayor Conley called up Ordinance 12-2024 for first reading and asked the Clerk to
read said ordinance by title:
ORDINANCE 12-2024 ORDINANCE OF THE BOROUGH OF MADISON
AMENDING CHAPTER 166, SECTION 35 OF THE BOROUGH CODE ENTITLED
“STREETS AND SIDEWALKS” REGARDING DETERMINATION OF HAZARDOUS
CONDITIONS
WHEREAS, the Borough Administrator has recommended that the Borough
Code regarding hazardous sidewalk conditions be amended; and
WHEREAS, the Borough Council has determined that there is a need to
approve such amendment to streamline the process regarding hazardous sidewalk
conditions.
NOW, THEREFORE, BE IT ORDAINED by the Council of the Borough of
Madison, in the County of Morris and State of New Jersey, that Chapter 166 of the
Borough Code entitled “Streets and Sidewalks,” Sections 166-35 shall be amended
as follows:
SECTION 1:
§ 166-35. Determination of hazardous condition; notice to be issued.
A. Any complaint, notice or other communication received by the Borough
concerning the possible existence of a public safety hazard due to the
absence or condition of sidewalks shall be forwarded to the Engineering
Administrator, who shall arrange for an investigation as to whether a
public safety hazard exists. The results of said investigation and a
recommended determination as to whether the construction or repair of
sidewalks should be required shall be reported to the Borough Council
the Director of Public Works or his/her designee.
B. If the Borough Council the Director of Public Works or his/her
designee determines that there is a need to construct or repair
sidewalks, then the Council the Director of Public Works or his/her
designee may by adoption of a resolution authorize service of a notice
on the abutting owners or owners requiring the necessary specified work

to be undertaken within a specified period of time of not less than 30
days from the date of service of such notice.
SECTION 2: All other provisions of the Ordinance not inconsistent herewith
shall remain the same.
SECTION 3: This Ordinance shall take effect as provided by law.
Mr. Range moved that Ordinance 12-2024, which the Borough Clerk read by title, be
adopted. Mr. Forte seconded the motion. There was no Council discussion, and the
motion passed with the following roll call vote recorded:

Resolutions will be reflected in full in the minutes.

R 121-2024 RESOLUTION OF THE BOROUGH OF MADISON AWARDING
PROFESSIONAL SERVICES CONTRACT TO SQUARE ACRE STUDIO, LLC OF
MADISON NJ FOR PROFESSIONAL PARK PLANNING SERVICES
WHEREAS, Resolution 206-2023 authorized the use of competitive
contracting for Professional Park Planning Services; and
WHEREAS, the Borough publicly advertised for the receipt of competitive
proposals through a Request for Proposal (RFP) process; and
WHEREAS, four (4) proposals were submitted on August 29, 2023; and
WHEREAS, an evaluation committee was established to review the
proposals; and
WHEREAS, based on the criteria used to evaluate the proposals, the
committee recommends awarding a contract to Square Acre Studio, LLC of
Madison, NJ.
NOW, THEREFORE, BE IT RESOLVED, by the Council of the Borough of
Madison, in the County of Morris and State of New Jersey, that the Mayor and

Borough Clerk are hereby authorized to execute, on behalf of the Borough, a
contract for Professional Park Planning Services with Square Acre Studio, LLC of
Madison, NJ, such contract to be in a form approved by the Borough Attorney.
R 122-2024 RESOLUTION OF THE BOROUGH OF MADISON APPROVING A
SPECIAL EVENT PERMIT TO ALLOW THE USE OF MEMORIAL PARK PARKING
AREA BY THE THURSDAY MORNING CLUB
WHEREAS, the members of the Thursday Morning Club have requested
permission to use the parking area at Memorial Park on Thursday, April 18, 2024,
from 7:00 a.m. to 6:00 p.m.; and
WHEREAS, the Borough Administrator has recommended this request be
approved; and
WHEREAS, the Thursday Moring Club will submit a Certificate of Liability
Insurance naming the Borough of Madison as an additional insured; and
WHEREAS, the Borough Council agrees with this recommendation.
NOW, THEREFORE, BE IT RESOLVED, by the Council of the Borough of
Madison, in the County of Morris and State of New Jersey, that the Thursday
Morning Club is hereby given permission to use the parking area at Memorial Park
on Thursday, April 18, 2024 from 7:00 a.m. to 6:00 p.m., for a bus trip activity
subject to approval of the Madison Police Department.
R 123-2024 RESOLUTION OF THE BOROUGH OF MADISON AUTHORIZING
A SPECIAL EVENT PERMIT TO ALLOW THE USE OF PUBLIC PARKING LOT
NUMBER ONE BY THE ROTARY CLUB OF MADISON FOR A PUBLIC
SHREDDING EVENT ON JUNE 15, 2024
WHEREAS, the Rotary Club of Madison has requested permission to use
public parking lot number one on Saturday, June 15, 2024 between the hours of
8:30 a.m. and 3:00 p.m. for a public shredding event; and
WHEREAS, the Borough Administrator has recommended that such
permission be granted; and
WHEREAS, the Rotary Club has submitted a Special Event Permit
Application to the Borough as well as a Certificate of Liability Insurance naming the
Borough of Madison as an additional insured; and
WHEREAS, the Borough Council agrees with this recommendation.
NOW, THEREFORE, BE IT RESOLVED, by the Council of the Borough of
Madison, in the County of Morris and State of New Jersey, that the Rotary Club of
Madison is hereby given permission to hold a public shredding event at Madison
public parking lot number one, on June 15, 2024, between the hours of 8:30 a.m.

R 124-2024 RESOLUTION OF THE BOROUGH OF MADISON APPROVING

R 125-2024 RESOLUTION OF THE BOROUGH OF MADISON AWARDING
CONTRACT FOR THE COOK AVENUE PARKING LOT RECONSTRUCTION
WHEREAS, the Borough of Madison publicly advertised for bids for the
construction of the Cook Avenue Parking Lot Reconstruction in accordance with the
Local Public Contracts Law, N.J.S.A. 40A:11-1, et seq.; and
WHEREAS, the Borough received five bid were and
WHEREAS, the lowest qualified bid was submitted by DLS Contracting, Inc.
of Fairfield, NJ in the amount of $991,315.00; and
WHEREAS, the Qualified Purchasing Agent and Borough Attorney have
recommended that the Borough Council award the contract to DLS Contracting, Inc.
in the amount of $991,315.00; and
WHEREAS, the Chief Financial Officer/Assistant Borough Administrator has
attested that funds will be available in an amount not to exceed $991,315.00 for this
purpose in Ordinances 12-2023, 13-2023 and 2-2024.
NOW, THEREFORE, BE IT RESOLVED by the Council of the Borough of
Madison, in the County of Morris and State of New Jersey, as follows:
1. The contract for the construction of the Cook Avenue Parking
Lot Reconstruction project is hereby awarded to DLS Contracting, Inc., based upon

directed on behalf of the Borough to enter into the contract with DLS Contracting,
Inc., in a form acceptable to the Borough Attorney.

R 126-2024 RESOLUTION TERMINATING CONTRACT WITH NATIONAL
METERING SERVICES FOR WATER METER REPLACEMENT PROJECT
WHEREAS, by Resolution 301-2023, adopted on November 13, 2023, the
Borough of Madison awarded a contract to National Metering Services for a “Water
Meter Replacement Project”; and
WHEREAS, the Borough and National Metering Services have agreed to
terminate the contract between them.
NOW, THEREFORE, BE IT RESOLVED by the Council of the Borough of
Madison, in the County of Morris and State of New Jersey, as follows:
1. The contract with National Metering Services is hereby terminated
effective April 12, 2024. The parties shall enter into a termination agreement in a
form approved by the Borough Attorney.
2. The Borough Administrator be and is hereby authorized to undertake any
and all acts as are reasonable and necessary to effectuate the purpose of this
Resolution.

On motion by Mr. Range, seconded by Mr. Haralampoudis and carried, the following
vouchers of the Borough of Madison were approved for payment, and the
supporting documentation of said vouchers was made part of the Supplemental
