The meeting was called to order by Mayor Murray at 7:00 pm. The Borough Clerk read the following statement: Adequate notice of this meeting has been provided as required under Chapter 231, P.L. 1975, specifying the time, date, and location of this meeting by posting a copy of the notice in the Municipal Building, on the Municipal Website, and providing a copy of the Annual Notice Schedule to the official newspapers of the Borough. Notice is also on file in the Office of the Municipal Clerk. Proclamation Honoring the National Championship win by 2024-2025-12V Milltown Royals Softball Team, Mayor Murray presented the team with and read the below Proclamation, which was followed by a round of applause for the team’s achievement: PROCLAMATION WHEREAS, the 12U Milltown Royals Softball Team has brought great pride and honor to the Borough of Milltown through their outstanding athletic achievement; and Page | 1  BOROUGH OF MILLTOWN 2025 Borough Council Meeting Minutes September 8, 2025, at 7pm WHEREAS, on July 13, 2025, the Milltown Royals were crowned USSSA 12U C Eastern National Champions in Virginia, after competing against top teams from across multiple states; and WHEREAS, the Royals demonstrated exceptional skill, determination, and teamwork by finishing the tournament with an extraordinary record of 12 wins and only 1 loss out of 13 games; and WHEREAS, the team displayed offensive power and relentless grit, finishing with a team batting average of .462, accumulating 102 RBIs, including an astonishing 49 RBIs with 2 outs in the inning — a testament to their resilience and never-quit spirit; and WHEREAS, their clutch performances under pressure earned them the fitting nickname from their proud parents: the "2-Out Rally Queens"; and WHEREAS, individual excellence also shined through, with Yesenia Quiles being named Tournament MVP, and Abby McCabe earning the honor of Offensive Tournament MVP, further demonstrating the elite talent within this remarkable team; and WHEREAS, this championship is a reflection not only of the players’ dedication and hard work, but also of the guidance of their coaches and the unwavering support of their families and the entire Milltown community; NOW, THEREFORE, I, Mayor George Murray, along with the Borough Council of the Borough of Milltown, do hereby honor the 2024-2025 12U Milltown Royals for their National Championship that was won on July 13, 2025. Mr. Provost summarized key financial highlights: ● Current fund balance was $2.7 million as of December 31, 2024, up from $1.1 million last year ● The increase was primarily due to $1.2 million in interfund loans returned to the borough ● Expenditures remained consistent year-over-year despite rising costs in areas like health benefits ● Water Utility fund balance was $313,000, up from $245,000 last year, driven by lapsed appropriation reserves ● Electric fund remained consistent at approximately $1.2 million Anthony Caprio reported on the audit opinion: ● An unmodified opinion (best possible) was issued for both the regular borough audit and state single audit ● One finding was noted: immaterial transactions committed prior to certification of availability of funds ● This finding involved 3 out of 25 transactions sampled (approximately 12% error rate) ● No financial statement impact resulted from the finding Page | 6  BOROUGH OF MILLTOWN 2025 Borough Council Meeting Minutes September 8, 2025, at 7pm In response to questions from Council President Zambrana, Councilmen Posnansky and Collins: ● The auditors confirmed a $60,337.64 deficit in the water utility that was offset by lapsed appropriation reserves ● Without the lapsed reserves and interfund transfers of $134,000, the water utility fund would have been in deficit ● The auditors recommended continued efforts to control expenses in the water utility Councilman Collins also inquired about the 7% delinquent tax reserve in the budget, which the auditors confirmed is standard practice among municipalities. Resolution 2025-290 Certifying Review of the Fiscal Year 2024 Annual Audit WHEREAS, N.J.S.A. 40A:5-4 requires the governing body of every local unit to have made an annual audit of its books, accounts and financial transactions, and WHEREAS, the Annual Report of Audit for the year 2024 has been filed by a Registered Municipal Accountant with the Municipal Clerk pursuant to N.J.S.A. 40A:5-6, and a copy has been received by each member of the governing body; and WHEREAS, R.S. 52:27BB-34 authorizes the Local Finance Board of the State of New Jersey to prescribe reports pertaining to the local fiscal affairs; and, WHEREAS, the Local Finance Board has promulgated N.J.A.C. 5:30-6.5, a regulation requiring that the governing body of each municipality shall by resolution certify to the Local Finance Board of the State of New Jersey that all members of the governing body have reviewed, as a minimum, the sections of the annual audit entitled “Comments and Recommendations, and, WHEREAS, the members of the governing body have personally reviewed as a minimum the Annual Report of Audit, and specifically the sections of the Annual Audit entitled “Comments and Recommendations, as evidenced by the group affidavit form of the governing body attached hereto; and, WHEREAS, such resolution of certification shall be adopted by the Governing Body no later than forty-five days after the receipt of the annual audit, pursuant to N.J.A.C. 5:30-6.5; and, WHEREAS, all members of the governing body have received and have familiarized themselves with, at least, the minimum requirements of the Local Finance Board of the State of New Jersey, as stated aforesaid and have subscribed to the affidavit, as provided by the Local Finance Board, and WHEREAS, failure to comply with the regulations of the Local Finance Board of the State of New Jersey may subject the members of the local governing body to the penalty provisions of R.S. 52:27BB- 52, to wit: Page | 7  BOROUGH OF MILLTOWN 2025 Borough Council Meeting Minutes September 8, 2025, at 7pm R.S. 52:27BB-52: A local officer or member of a local governing body who, after a date fixed for compliance, fails or refuses to obey an order of the director (Director of Local Government Services), under the provisions of this Article, shall be guilty of a misdemeanor and, upon con- viction, may be fined not more than one thousand dollars ($1,000.00) or imprisoned for not more than one year, or both, in addition shall forfeit his office. NOW, THEREFORE BE IT RESOLVED, that the Borough Council of the Borough of Milltown, County of Middlesex, State of New Jersey hereby states that it has complied with N.J.A.C. 5:30-6.5 and does hereby submit a certified copy of this resolution and the required affidavit to said Board to show evidence of said compliance. Debbie Miller (92 Ford Avenue) inquired about Resolution 2025-307 regarding the New Jersey PACT REAL rules, specifically asking if it would mean Milltown would be more in a flood zone requiring homeowners to have flood insurance. Borough Administrator Carr responded that flood maps are set by FEMA and the Corps of Engineers, not by the State. He explained that the resolution is objecting to what the borough considers overreach by the DEP in setting extreme conditions for building in flood-prone areas. He added that having flood insurance in flood zone areas is prudent as homeowners insurance does not cover flood damage. Michael Shakarjian (19 Yarnell Avenue), Chair of the Environmental Commission, spoke in support of Resolution 2025-307. He explained that while some environmental organizations felt the NJPACT REAL rules had become more lenient, the Environmental Commission believed any movement forward was positive. He outlined benefits including enhanced flood protection standards, protection of inland wetlands, sustainable land use planning, and climate-informed decision making. He noted the rule would require reevaluation every five years and that the DEP was addressing concerns about older buildings through financial and technical assistance. Ordinances First Reading Ordinance 25-1572 Ordinance to Fix and Amend Salaries and Wages for Milltown Borough Employees to Include Police Captain Page | 9  BOROUGH OF MILLTOWN 2025 Borough Council Meeting Minutes September 8, 2025, at 7pm WHEREAS, the Salary Ordinance of the Borough of Milltown confirms the titles of officers and employees of the Borough and establishes their respective compensation, and the Ordinance remains in effect until amended or superseded; and WHEREAS, the Borough Council wishes to amend the Salary Ordinance to include a full-time position of Police Captain; NOW, THEREFORE, BE IT ORDAINED, by the Borough Council of the Borough of Milltown as follows: Section 1. The aforesaid Salary Ordinance is hereby amended and supplemented as follows: A. The salary ordinance is amended to include the full-time position of Police Captain, with the annual salary range of $130,000.00 to $150,000.00. Section 2. All Ordinances or parts of Ordinances inconsistent here within are hereby repealed. Section 3. This Ordinance shall become effective upon final publication as required by law. Ordinance 25-1573 AN ORDINANCE TO AMEND THE REDEVELOPMENT PLAN ENTITLED “MILLTOWN FORD AVENUE REDEVLEOPMENT PLAN.” WHEREAS, on September 13, 2001, the Mayor and Borough Council of the Borough of Milltown adopted Ordinance No. 01-1112 creating the Milltown Ford Avenue Redevelopment Agency (the “MFARA”) pursuant to the Local Redevelopment Law, N.J.S.A. 40A:12A-1 et seq. (the “LRHL”), and the Page | 10  BOROUGH OF MILLTOWN 2025 Borough Council Meeting Minutes September 8, 2025, at 7pm Agency was designated as the Borough's redevelopment entity to carry out the redevelopment of an approximately 22-acre site known as Block 58, Lot 1.01, 1.02, 1.03 and 1.07 and Block 59.01, Lot 5.01 on the Borough’s Tax Map (the “Redevelopment Property” or the “Property”); and WHEREAS, on April 22, 2002, the Mayor and Borough Council of the Borough of Milltown adopted Ordinance Number 02-1120 approving the Redevelopment Plan entitled “Milltown Ford Avenue Redevelopment Plan for the Ford Avenue Redevelopment Area” dated March 15, 2002 (hereinafter the “Redevelopment Plan”); and WHEREAS, pursuant to the LRHL, MFARA issued a Request for Development Proposals and Request for Qualifications for the development of the Redevelopment Property in accordance with the Redevelopment Plan, and selected Boraie Development, LLC as the redeveloper of the Redevelopment Property; and WHEREAS, subsequent thereto, MFARA entered into the redevelopment agreement between MFARA and Boraie Development, LLC on May 11, 2004 (such amended redevelopment agreement, as revised and amended, the “Redevelopment Agreement”); and WHEREAS, on August 23, 2004, the Mayor and Borough Council of the Borough of Milltown adopted Ordinance Number 04-1185 amending the Redevelopment Plan; and WHEREAS, on June 8, 2009, the Mayor and Borough Council of the Borough of Milltown adopted Ordinance Number 09-1292 further amending the Redevelopment Plan; and WHEREAS, on July 23, 2012, the Mayor and Borough Council of the Borough of Milltown adopted Ordinance Number 12-1354 further amending the Redevelopment Plan; and WHEREAS, in 2018, Boraie Development, LLC assigned the Redevelopment Agreement and the development rights thereunder to Milltown Ford Avenue Redevelopers LLC; and WHEREAS, on February 25, 2019, the Mayor and Borough Council of the Borough of Milltown adopted Ordinance Number 19-1470 further amending the Redevelopment Plan; and WHEREAS, on October 15, 2019, the Mayor and Borough Council of the Borough of Milltown adopted Ordinance Number 19-1481 further amending the Redevelopment Plan; and WHEREAS, on October 24, 2022 the Mayor and Borough Council of the Borough of Milltown adopted Ordinance Number 22-1516 further amending the Redevelopment Plan; and WHEREAS, on September 27, 2024, an Order for Final Judgment Fixing Just Compensation in the amount of $25,650,000.00 was entered in the condemnation action filed by MFARA to acquire the Property (the “Condemnation Action”); and Page | 11  BOROUGH OF MILLTOWN 2025 Borough Council Meeting Minutes September 8, 2025, at 7pm WHEREAS, it is necessary to further amend the Redevelopment Plan to modify the project design to address the Just Compensation amount entered in the Condemnation Action. NOW, THEREFORE, BE IT ORDAINED by the Borough of Milltown of the County of Middlesex and State of New Jersey as follows: Section 1. The Amendment to the Ford Avenue Redevelopment Plan dated March 15, 2002, last revised September 4, 2025 (hereinafter the “Amended Redevelopment Plan”), as attached hereto is hereby adopted as an ordinance. Section 2. It is hereby found that the above-referenced Amended Redevelopment Plan meets the criteria for adoption of a Redevelopment Plan as set forth in N.J.S.A. 40A:12A-7, and as further specified in the Plan itself. Section 3. It is hereby found and determined that the Amended Redevelopment Plan is consistent with the Master Plan of the Borough of Milltown. Section 4. The Amended Redevelopment Plan shall supersede any existing underlying zoning for the area contained in the Plan. The Zone Map of the Borough of Milltown is hereby amended to designate the area set forth in the Plan as the “Ford Avenue Redevelopment Area.” Section 5. Uses in the redevelopment area shall be limited to those uses permitted in the Amended Redevelopment Plan. Further, the requirements set forth in the Amended Redevelopment Plan shall supersede Land Subdivision and Land Use Ordinances of the Borough of Milltown in the Ford Avenue Redevelopment Area covered by the Amended Redevelopment Plan, to the extent that anything set forth in the Land Subdivision and Land Use Ordinances is inconsistent with the provisions of the Amended Redevelopment Plan. In the case of any inconsistency between this Ordinance and any prior Ordinances with respect to a redevelopment plan adopted by the Borough of Milltown, the provisions of this Ordinance, and the Amended Redevelopment Plan referenced herein and attached hereto, shall prevail, except as to lots or parcels of land on which redevelopment has actually taken place and structures or improvements built or installed under such prior Ordinance and redevelopment plan. Section 6. All Ordinances or parts of Ordinance inconsistent with the provisions of this Ordinance shall be and the same are hereby repealed. Section 7. If any paragraph, clause, provision, sentence, or application of this Ordinance is declared invalid for any reason whatsoever, the same shall not affect the validity or constitutionality of any other paragraph, clause, provision, sentence, or application of this Ordinance. Section 8. The above-referenced Amended Redevelopment Plan will be on file in the office of the Borough Clerk during normal business hours. Certificate of Occupancy. The fee for a Certificate of Occupancy for single and two family residential properties shall be the greater amount of $150.00 or 10% of the new construction permit that would be charged by the Construction Code Department pursuant to these regulations. WHEREAS, multiple studies from the National Oceanic and Atmospheric Administration and Rutgers University concur, that sea level rise will continue through the year 2100 and increase flooding in coastal areas; WHEREAS, every time our community floods, it is a drain on our municipal resources, from closing and opening roadways, removing debris and repairing damage caused by flooding to rescuing motorists and residents trapped by flood waters; WHEREAS, flooding due to extreme precipitation is a threat to the safety of our residents and built environment. Page | 28  BOROUGH OF MILLTOWN 2025 Borough Council Meeting Minutes September 8, 2025, at 7pm Councilman Potter – Parks & Recreation Councilman Potter reported from the Recreation Department: ● The Milltown Borough Pool concluded its summer season with Labor Day festivities and a successful "Pups in the Pool" event ● Youth soccer registration closing on September 10 ● Back-to-school basketball clinics being offered ● Multi-sports registration deadline on September 10 ● Tennis start date pushed to September 19 ● Flag football canceled for fall due to low enrollment ● Youth chess classes beginning September 18 ● Adult programs (yoga, pilates, men's basketball) currently full ● Milltown Day scheduled for September 27 He noted the Planning Board meeting for September was canceled, with the next meeting scheduled for October Mayor Murray Mayor Murray reported the Schwendemann Homestead Committee site inspection would take place on Thursday, September 18, with the time still to be determined. Reports from Borough Professionals Borough Attorney Peter Vignuolo Attorney Vignolo reported on correspondence received from the owner of the Acme site and two other properties in the redevelopment area. He explained that these properties operate under a single payment in lieu of taxes (PILOT) agreement. Since the owner has obtained approval to develop residential units on the Acme site, they have requested an allocation of the PILOT payment among the three parcels. This allocation would allow the other parcels to maintain their PILOT benefit if the Acme site is converted to non-commercial use. He noted the PILOT agreement is approximately 25 years old, and he will likely bring a formal request to council in the future. Borough Engineer Mike McClelland Engineer McClelland provided an update on the water meter replacement project, reporting it is approximately 90% complete with about 200 meters (less than 10% of homes) still unscheduled. He requested council assistance in encouraging residents to schedule their meter replacements. He noted that after two months of encouraging voluntary participation without success, the Borough might need to consider water shutoffs for non-compliance Borough Clerk McCarthy The Borough Clerk had no report Old Business Mayor Murray asked if any member of council had old business to bring before council. Councilman Posnansky discussed three items: ● Energy Storage Systems - He questioned why solar arrays or panels weren't considered alongside the battery storage system. Borough Administrator explained that solar panels wouldn't effectively address peak load shaving, which is the primary purpose of the battery system, and that Milltown lacks suitable space for a municipal solar array. ● Taxes - He expressed concern about the old Michelin property and approximately $7 million in taxes owed to the borough, which taxpayers have been covering. He suggested this financial burden has forced some residents to leave Milltown. ● Agenda Template - He raised concerns about changes to the council meeting agenda format, specifically that council comments were moved to follow reports rather than following public comments as stated in Resolution 2025-22 adopted January 6, 2025. He argued this change was made without council approval and cited Robert's Rules of Order. A discussion ensued about the agenda format: ● Administrator Carr explained the change was made to shorten meetings and that no one was denied a chance to speak. ● Councilman Posnansky supported returning to the previous format ● Councilman Collins made a motion to return to the original agenda format ● The motion was seconded by Councilman Posnansky ● In the roll call vote, Council President Zambrana, Councilwoman Payne, and Councilman Potter voted no; Councilmen Collins, Manco, and Posnansky voted yes ● Mayor Murray voted in favor of returning to the former agenda format, carrying the motion. Mayor Murray then raised the issue of creating a firehouse subcommittee, which he had requested in February. Council President Zambrana agreed to consider it for the next agenda. Mayor Murray also mentioned a request from April 15, 2024, regarding Boy Scout Troop 33 renovating the police entrance. He read a letter signed by Police Chief Chris Johnson approving the project, which Page | 30  BOROUGH OF MILLTOWN 2025 Borough Council Meeting Minutes September 8, 2025, at 7pm would include installing retaining walls, landscaping, and a new flagpole. Councilman Collins suggested adding this to the next agenda for consideration. New Business Mayor Murray informed Councilwoman Payne about a letter he received from a resident reporting verbal abuse by a doorknocker with no ID, permit information, or business card. The letter was received via postal mail, and Mayor Murray asked Councilwoman Payne to look into it. Public Comment Mayor Murray opened the floor for public comment. Debbie Miller (92 Ford Avenue) congratulated the girls softball team and the promoted police officers. She mentioned that the New Jersey PACT REAL meeting was available on YouTube for those interested. She also raised concerns about political lawn signs being placed more than 30 days before the election, citing Chapter 34, section 33.23(9)(e) of the municipal code. Attorney Vignolo agreed to look into the issue but noted that political speech is protected and the ordinance predates vote-by-mail. Russ Einbinder (152A North Main Street) announced that Optimum was moving the Milltown TV station back to channel 15 within the next week after it had been moved to channel 1300. He also announced the annual candidates forum on September 17 at 7:00 PM in the council chambers, with Professor Richard Lau from the Eagle Institute moderating. Lee Weissenberger (99 JFK Drive) inquired about drawings presented to the planning board for the Ford Avenue Redevelopment many years ago. He also questioned why CME Associates contacted New Brunswick in 2007 about ownership of the Millpond dam despite a 1997 title search that he believed had settled the issue. He read from a 2007 email from the DEP stating that the City of New Brunswick erected the dam in 1918 and was responsible for it. Mr. Weissenberger expressed concern that this had created confusion over dam ownership that continues to affect the borough. Nick Ligotti (9 Janet Court) addressed the council regarding the old firehouses. He strongly objected to any suggestion that only a few residents were concerned about the issue, stating that all 3,500 households in Milltown should care about the disposition of the properties. He reminded the council that when he served on council, decisions were made with the understanding that the firehouses would be sold to recoup costs for the new DPW and firehouse. He urged the council to take action on the properties, noting they were included in the South Main Street Rehabilitation Plan from four years ago with no progress made. There being no others wishing to speak, Mayor Murray closed to public comment. L. 1975, Chapter 231 permits the exclusion of the public from a meeting in certain circumstances; and WHEREAS, this public body is of the opinion that such circumstances presently exist; and WHEREAS, the Governing Body wishes to discuss: Pending Litigation; and WHEREAS, minutes will be kept and once the matter involving the confidentiality of the above no longer requires that confidentiality, then the minutes can be made public. NOW THEREFORE BE IT RESOLVED by the Borough Council of the Borough of Milltown, County of Middlesex, State of New Jersey that the public be excluded from this meeting.
