MINUTES OF THE MORGANTOWN UTILITY BOARD Special Meeting August 27, 2020 Due to the Coronavirus Pandemic, West Virginia Governor Jim Justice issued, on March 23, 2020, restrictions on nonessential business operations and a ‘stay at home order’ across our state. The Special Meeting of the Morgantown Utility Board was held by video conference at 4:00 P.M., Thursday, August 27, 2020. Present by video conference were Chairman Straface and Board Members Cayton, Kunz, Parsons, and Witt. Staff also present by video conference were General Manager Ball and Attorney Ray. The meeting was broadcast live across several internet-based outlets. Public participation and comments were accommodated by invitation for advance submission of comments by mail, email, and telephone. Public Portion: • The public was invited to participate in the meeting with comments submitted in advance to the Morgantown Utility Board, no later than 12:00 Noon, the day of the meeting. Manager Ball reported that no public comments were received. Executive Session: • It was moved by Mr. Witt to convene an Executive Session of the Board of Directors under the provisions of WV Code 6-9A-4(b)(2)(A), to discuss matters related to personnel, and further moved that the August 27, 2020 Special Meeting of the Board of Directors be adjourned at the conclusion of the Executive Session. The motion was seconded by Ms. Parsons and passed unanimously. General Manager Ball and General Counsel Ray were instructed to participate in the Executive Session, along with the GM candidate finalist. There being no further business to be conducted during the public portion of the Regular Meeting, the Board began the Executive Session via Zoom at 4:03 P.M., but the session was immediately suspended until 6:00 p.m. when the Executive Session resumed in- person using appropriate social distancing. The Executive Session adjourned at approximately 7:57 P.M. In accordance with the prior motion by Mr. Witt, seconded by Ms. Parsons, and unanimously approved, the Special Meeting ended and was adjourned at the conclusion of the Executive Session at 7:57 P.M. In response to the special circumstances related to the Coronavirus (COVID 19) this meeting will be conducted remotely in lieu of physical attendance. Comments must be submitted in advance, no later than 12:00 Noon on the day of the meeting and will be read aloud into the record by the Chairman, or his designee, during the public portion of the agenda.
