Minutes of the City of Mount Vernon Industrial Development Agency September 8, 2022 A meeting of the Board of Directors (“Board”) of the City of Mount Vernon Industrial Development Agency (“Agency”) was held on Thursday, September 8, 2022 in the Mayor’s Conference Room, City Hall, 1 Roosevelt Square, Mount Vernon, New York 10550 and via video conference. Present: Hon. Shawyn Patterson-Howard Darren M. Morton, Ed.D Brian Johnson Stephanie Vanderpool Excused: None Absent: None Also Present: Michael Curti, Esq., Harris Beach PLLC Julie Marshall, Harris Beach PLLC Andrea Haynes, Director of Economic Development, City of Mt. Vernon The meeting was called to order at 10:21 AM by Chairwoman Patterson-Howard. A quorum of members was present. Minutes of the August 11, 2022 meeting were reviewed and unanimously approved. Financial Report D. Morton reviewed the financial statements for the period ending August 31, 2022. The 2019 Audit Report has been posted to the Agency’s website and the 2019 PARIS Report has been filed with the State Authority Budget Office. It was noted that the 2020 and 2021 fiscal audits are underway with an anticipated completion of November 2022. Chair Patterson-Howard stated that an October completion would be greatly appreciated. M. Curti noted that weekly audit team meetings are taking place as it is imperative to complete the audits in a timely manor to undertake pending new projects. Chair Patterson-Howard thanked staff and consultants for the yeoman’s work to complete the 2019 PARIS Report. She stressed the need to complete the 2020 and 2021 reports to bring the Agency into full compliance enabling new investment in the community. Business Development Report Chair Patterson-Howard reported on various business development activities including business recruitment, identification of properties for cannabis growers and retailers, identification of properties for boutique hotel, professional development workshops, and ribbon cuttings. A. Haynes reported that stated that Local Initiative Support Corporation (“LISC”) completed a walk-through of the South 4th Avenue corridor as part of their work to refresh the existing Market Study. Recommendations will be shared with stakeholders. Additionally, a city-wide job fair will be held September 14, 2022. Westchester County Community College and the Westchester County Office of Workforce Development will provide workforce development and soft skills training to job seekers in preparation for the event. Resolutions Resolution 9/2022-1 Authorizing Payment of Invoices It was noted that legacy litigation matters have been settled. The resolution was reviewed and unanimously adopted. Resolution 9/2022-2 Authorizing Transfer of Funds The resolution was reviewed and unanimously adopted. Resolution 9/2022-3 Adopting 2023-2026 Budget The resolution was reviewed and unanimously adopted. Resolution 9/2022-4 Setting Public Hearing for UTEP Revisions The resolution was reviewed and unanimously adopted. Resolution 9/2022-5 Authorizing Memorandum of Understanding for Reimbursement of Expenses The resolution was reviewed and unanimously adopted. New Business None Report of Agency Counsel M. Curti stated that much of his report has previously been addressed under other items. A motion was made by B. Johnson, seconded by S. Vanderpool to enter into Executive Session at 11:01 AM to discuss litigation matters. The motion was unanimously approved. Motion by B. Johnson, seconded by D. Morton to exit executive session and return to public session at 11:10 AM. The motion was unanimously approved. No action was taken during Executive Session. A motion was made by B.
