REVISED MINUTES REGULAR MEETING BOARD OF MAYOR AND BURGESSES MAY 7, 2013 1. Mayor Robert A. Mezzo called the regular meeting to order at 6:05 p.m. with the following in attendance: BURGESSES: T. K. Zirolli, Borough Engineer Attorney N. Grello J. Stewart, Public Works Director D. Prendergast, NEDC CEO C. Clark, Nexamp 2. Mayor Mezzo led in the Pledge of Allegiance to the flag. 3. VOTED: Unanimously on a motion by Deputy Mayor Rossi and seconded by Burgess Burns that the Board of Mayor and Burgesses approve the minutes of the regular meeting of April 2, 2013 and the special meetings of April 2, 2013 and April 15, 2013. Each member received copies for review. 4. VOTED: Unanimously on a motion by Deputy Mayor Rossi and seconded by Burgess Burns that the Board of Mayor and Burgesses amend the motion adopted at the April meeting emanating from executive session. The wrong heading was read. The appropriate heading should be Memorandum of Agreement between the Borough of Naugatuck and AFSCME Council 4, Local 1303-012. 5. VOTED: Unanimously on a motion by Deputy Mayor Rossi and seconded by Burgess Burns that the Board of Mayor and Burgesses approve the monthly reports of April. Each member received copies for review. 6. VOTED: Unanimously on a motion by Deputy Mayor Rossi and seconded by Burgess Burns to recess to Executive Session at 6:06 p.m. for discussion on the following: Property Negotiations (GDC Property), Collective Bargaining (Firefighters Union, Public Works Bargaining Unit, Police Union) and Personnel (Public Works Director) inviting in Attorney E. Fitzpatrick and Attorney N. Grello. -2- Minutes – Board of Mayor and Burgesses Regular Meeting – May 7, 2013 Mayor Mezzo reconvened the meeting at 7:02 p.m. 7. The following motions emanated from Executive Session. VOTED: Unanimously on a motion by Deputy Mayor Rossi and seconded by Burgess Scully that the Board of Mayor and Burgesses authorize Mayor Robert Mezzo to enter into a memorandum of agreement between the Borough of Naugatuck and AFSCME, Council 15, Local 1126. VOTED: Unanimously on a motion by Deputy Mayor Rossi and seconded by Burgess Burns that the Board of Mayor and Burgesses authorize Mayor Robert Mezzo to enter into an employment agreement between the Borough of Naugatuck and James Stewart, Public Works Director. 8. Public Comment Trees were cut down along the Exit 26 off ramp of Route 8 by a state worker without an arborist involved. He stated not one burgess is involved with environmental issues. If there was a Conservation Commission he feels then a burgess would be assigned to the commission. 9. Burgess Comments – Open Topic Burgess Jackson thought the music was wonderful at the Borough Music festival. She attended opening day at Peter J. Foley and Union City Little Leagues. Burgess Jackson congratulated Mr. and Mrs. Kinne for being honored with the 2013 Raymond K. Foley Award. Deputy Mayor Rossi congratulated the students for doing a great job at the Invention Convention. She thanked Senior Center Director Harvey Frydman for continuing the tradition of the Senior Center Volunteer Luncheon. The Deputy Mayor said she attended an impressive award ceremony for the Police Department. Burgess Scully congratulated all police department members who were honored at the award ceremony. He especially recognized Burgess Burns’ grandson, Patrolman Ryan Burns. 10. Mayor Mezzo and Attorney E. Fitzpatrick informed the board a letter was submitted to the Naugatuck Economic Development Corporation from Chemtura requesting approval for a solar project under the Tax Abatement Ordinance. Borough officials and Attorney Fitzpatrick are reviewing all concerns regarding solar projects. A formal application process will be developed to move forward with future projects. No action was taken. 11. Mayor Mezzo appointed Jennifer Mazzeo, 111 Park Avenue, Naugatuck, CT 06770 as a regular member of the Arts Commission, filling the unexpired term of M. Mayor Mezzo appointed Marianna Vagnini, 25 Vagnini Drive, Naugatuck, CT 06770 as a regular member of the Arts Commission, filling the unexpired term of M. Paul-Gaston, term to expire April 1, 2014. 13. Mayor Mezzo appointed Margie Paul-Gaston, 33 West Hill Terrace, Naugatuck, CT 06770 as an alternate member of the Arts Commission, filling the unexpired term of M. Vagnini, term to expire April 1, 2014. 14. VOTED: Unanimously on a motion by Deputy Mayor Rossi and seconded by Burgess Burns that the Board of Mayor and Burgesses approve the reappointment of Matthew Erickson (R), 81 Clearview Circle, Naugatuck, CT 06770 as a Zoning Citation Hearing Officer, term to expire November 1, 2013. 15. VOTED: Unanimously on a motion by Deputy Mayor Rossi and seconded by Burgess Burns that the Board of Mayor and Burgesses approve the appointment of Ralph Gilnack (R), 66 Tanglewood Lane, Naugatuck, CT 06770 as a Zoning Citation Hearing Officer, filling the expired term of L. Herbert, term to expire November 1, 2013. 16. VOTED: Unanimously on a motion by Deputy Mayor Rossi and seconded by Burgess Burns that the Board of Mayor and Burgesses approve the appointment of Jennifer Dupont (D), 111 Partridgetown Road, Naugatuck, CT 06770 as a Zoning Citation Hearing Officer, filling the expired term of B. Houghtaling, term to expire November 1, 2013. 17. VOTED: Unanimously on a motion by Deputy Mayor Rossi and seconded by Burgess Burns that the Board of Mayor and Burgesses approve the appointment of Matthew DeBarber (U), 815 Maple Hill Road, Naugatuck, CT 06770 as a Zoning Citation Hearing Officer, term to expire November 1, 2013. 18. VOTED: Unanimously on a motion by Deputy Mayor Rossi and seconded by Burgess Scully that the Board of Mayor and Burgesses refer the proposed Temporary Access and Construction Easement and Maintenance Agreement with Paul and Tracey Kelly for 363 Union City Road to the Planning Commission for a report pursuant to Section 8-24 of the General Statutes as recommended by Borough Engineer Wayne Zirolli. -5- Minutes – Board of Mayor and Burgesses Regular Meeting – May 7, 2013 23. VOTED: Unanimously on a motion by Deputy Mayor Rossi and seconded by Burgess Jackson that the Board of Mayor and Burgesses refer to the Joint Boards of Mayor and Burgesses and Board of Finance a transfer request of $134,771.00 from Contingency to Police Department – Overtime as recommended by Police Chief Christopher Edson. 24. VOTED: Unanimously on a motion by Deputy Mayor Rossi and seconded by Burgess Scully that the Board of Mayor and Burgesses refer the proposed Master Lease and Sublease regarding the General Data Comm Property at 6 Rubber Avenue to the Planning Commission for a report pursuant to Section 8-24 of the General Statutes as recommended by Borough Attorney Edward Fitzpatrick. The following motion was tabled. 25. Motion by Burgess ___________ that the Board of Mayor and Burgesses adopt the following resolution for a Master Lease and Sublease of 6 Rubber Avenue, as if read: WHEREAS, on February 25, 2013, the Board of Mayor and Burgesses (the “Board”) of the Borough of Naugatuck (the “Borough”) authorized and on February 25, 2013 the Joint Boards of Mayor and Burgesses and Board of Finance approved an appropriation of $2,000,000 to purchase the land, buildings and appurtenant parking lots located at 6 Rubber Avenue, Naugatuck, CT (the “Property”); and WHEREAS, on February 25, 2013, to finance such appropriation, the Board authorized the Mayor to enter into a lease purchase agreement with Naugatuck Savings Bank (the “Bank”); and WHEREAS, the Bank has determined to structure the financing of such appropriation with a Master Lease and Sublease substantially under the same terms as would have been offered to the Borough under the lease purchase agreement. NOW THEREFORE, BE IT RESOLVED BY THE BOARD OF MAYOR AND BURGESSES OF THE BOROUGH OF NAUGATUCK AS FOLLOWS: Section 1. The Mayor is authorized to lease the Property to the Bank for a single lump sum payment of $2,000,000 pursuant to a master lease (the “Master Lease”) with a term of ten years and to simultaneously enter into a sublease with the Bank (the “Sublease”) whereby the Bank will lease the Property back to the Borough for ten years with annual rent payments of $200,000 plus interest, such payments being subject to annual appropriation by the Borough. Section 2. The Mayor is authorized to execute and deliver the Master Lease and Sublease, to determine the amount, date, date of maturity, interest rate, form and other -6- Minutes – Board of Mayor and Burgesses – Regular Meeting – May 7, 2013 details of the Master Lease and Sublease, provided that the payments due to the Bank under the Sublease are subject to annual appropriation, and to execute and deliver any acceptance certificates, schedules of payments, escrow agreements and related documents in connection with the Master Lease and Sublease, all as may be approved by the Mayor, such approvals to be conclusively evidenced by the execution and delivery of such certificates, schedules, agreements and documents. Section 3. The Mayor and the Controller of the Borough and such other officials of the Borough as are deemed appropriate by the Mayor are, and each of them hereby is, authorized to execute and deliver such other papers, instruments, opinions, certificates, affidavits and other documents and to do or cause to be done any and all other acts and things necessary or proper for carrying out this resolution and the terms and obligations of the Master Lease and Sublease. ROLL CALL VOTE: 26. Mayor Mezzo is forming a Building 25/Tuttle Building Transition Committee to review options of using either building as a home for the Naugatuck Historical Society. He appointed names to the committee as if read. No action was taken by the board. 27.
