MINUTES SPECIAL MEETING BOARD OF MAYOR AND BURGESSES JULY 21, 2022 Due to the COVID-19 Pandemic, the Borough of Naugatuck held the Board of Mayor and Burgesses meeting on a hybrid basis. Everyone was welcomed to attend in person, by Zoom Webinar or by phone. 1. Mayor “Pete” Hess called the special meeting to order at 7:00 p.m. with the following in attendance: BURGESSES: PRESS: R. Neth G. Mudry A. Yilma M. Bronko D. Neth-Kunin F. Dambowsky M. Smith, absent RESIDENTS: C. Marenghi R. Vitale Unable to determine due to format J. Mizeski OTHERS: R. Zandvliet, NEDC Chairwoman L. Wehry, IT Assistant F. Goyes, Pennrose Associate Developer T. Hyde, NVRDC Director S. Cloud, Cloud Company Chairman and CEO E. Dalton, Fire Marshal A. Healis, Cloud Company Project Director 2. Burgess Mizeski led in the Pledge of Allegiance to the flag. 3. VOTED: Unanimously on a motion by Deputy Mayor Neth and seconded by Burgess Bronko to recess to Executive Session at 7:05 p.m. for discussion on the following: Real Estate (LANXESS Acquisition, Parcel A, Parcel B) and Pending Litigation inviting in NVRDC Director Thomas Hyde, NEDC Chairwoman Rebecca Zandvliet and Fire Marshal Edwin Dalton. Mayor Hess reconvened the meeting at 7:21 p.m. 4. Parcel B selection of preferred developer discussion/possible action. VOTED: Unanimously on a motion by Deputy Mayor Neth and seconded by Burgess Bronko that the Board of Mayor and Burgesses select Pennrose and the Cloud Company as the preferred developer pursuant to the Parcel B – Phase I Request for Proposals. 5. VOTED: Unanimously on a motion by Deputy Mayor Neth and seconded by Burgess Bronko to return to executive session for the second time at 7:29 p.m. inviting in NVRDC Director Thomas Hyde. The mayor reconvened the meeting at 7:49 p.m.  -2- Minutes – Board of Mayor and Burgesses Special Meeting – July 21, 2022 6. Motion by Deputy Mayor Neth and seconded by Burgess Bronko that the Board of Mayor and Burgesses adopt the following Naugatuck Industrial Park – Phase III resolution; as if read: WHEREAS, pursuant to Public Act 21-0111, S. 112, Section 32-285a of the Connecticut General Statutes, the State of Connecticut Department of Economic and Community Development is authorized to extend financial assistance for economic development projects; and WHEREAS, it is desirable and in the public interest that the Borough of Naugatuck make an application to the state for $8,000,000 in order to undertake the Naugatuck Industrial Park – Phase III and to execute an assistance agreement. NOW, THEREFORE, BE IT RESOLVED BY the Board of Mayor and Burgesses 1. That it is cognizant of the conditions and prerequisites for the state financial assistance imposed by Public Act 21-0111, S. 112, Section 32-285a of the Connecticut General Statutes; and 2. That the filing of an application for state financial assistance by the Borough of Naugatuck in an amount not to exceed $8,000,000 is hereby approved and that Mayor N. Warren “Pete” Hess is directed to execute and file such application with the State of Connecticut Department of Economic and Community Development, to provide such additional information, to execute such other documents as may be required, to execute an assistance agreement with the State of Connecticut for state financial assistance if such an agreement is offered, to execute any amendments, decisions, and revisions thereto, and to act as the authorized representative of the Borough of Naugatuck. VOTED: Unanimously on a motion by Deputy Mayor Neth and seconded by Burgess Bronko that the Board of Mayor and Burgesses authorize Mayor Hess to enter into letters of intent regarding potential sales of pad sites at the LANXESS Property. 8. Parcel A discussion. Tabled until next month.  -3- Minutes – Board of Mayor and Burgesses Special Meeting – July 21, 2022 For the record: Mayor Hess: “There’s a lot going on there. There will be a big discussion on this issue at the next borough board meeting on the first Tuesday of August.” 9. There were no motions emanating from Executive Session. 10.
