MINUTES SPECIAL MEETING BOARD OF MAYOR AND BURGESSES OCTOBER 16, 2023 The Borough of Naugatuck held the Board of Mayor and Burgesses meeting on a hybrid basis. Everyone was welcomed to attend in person, by Zoom Webinar or by phone. 1. Mayor “Pete” Hess called the special meeting to order at 7:00 p.m. with the following in attendance: BURGESSES: R. Neth G. Mudry, absent M. Bronko, virtual D. Neth-Kunin F. Dambowsky M. Smith C. Marenghi R. Vitale J. Mizeski, virtual DEPARTMENT HEADS: OTHERS: K. Hanks, Deputy Fire Chief L. Wehry, IT Assistant E. Fitzpatrick, Borough Attorney, virtual 2. Deputy Fire Chief Hanks led in the Pledge of Allegiance to the flag. 3. Motion by Deputy Mayor Neth and seconded by Burgess Neth-Kunin that the Board of Mayor and Burgesses adopt the following Municipal Resolution to Enter into a Grant Agreement with the State of Connecticut – Community Investment Fund Round #2, as if read: WHEREAS, the Community Investment Fund (CIF) is a statewide program authorized in Section 32-2851a of the Connecticut General Statutes and administered by the Department of Economic and Community Development (DECD), and WHEREAS, the Borough of Naugatuck received notice of award of a Round #2 Community Investment Fund award on April 6, 2023 for a project entitled “Naugatuck Industrial Park – Phase III” in the amount of three million dollars ($3,000,000), and WHEREAS, this grant application was approved for filing by the Borough of Naugatuck’s Board of Mayor and Burgesses at their January 4, 2023 meeting, and WHEREAS, at the January 4, 2023 meeting, the Borough of Naugatuck Board of Mayor and Burgesses committed a four million dollars ($4,000,000) local match to this project by way of TIF funds, and WHEREAS, the proposed uses for said grant funds are for the construction of a temporary and permanent access roads at the Former Lanxess Site, NOW, THEREFORE, BE IT RESOLVED THAT THE MAYOR AND THE BOARD OF BURGESSES OF THE BOROUGH OF NAUGATUCK HEREBY: -2- Minutes – Board of Mayor and Burgesses Special Meeting – October 16, 2023 1) Accept the grant award of three million dollars ($3,000,000) from the State of Connecticut Community Investment Fund Round #2 (administered by the Department of Economic and Community Development), and 2) Authorize Mayor N. Warren “Pete” Hess, III to execute and submit any and all grant contract documents, including a Financial Assistance Proposal and the Grant Assistance Agreement with the State of Connecticut. ROLL CALL VOTE: FOR OPPOSE ABSTAIN Mayor N.W. Hess J. Mizeski None None R. Neth D. Neth-Kunin M. Bronko M. Smith F. Dambowsky R. Vitale C. Marenghi Motion carried 9-0-0 4. Motion by Deputy Mayor Neth and seconded by Burgess Neth-Kunin that the Board of Mayor and Burgesses adopt the following Municipal Resolution to Accept Funding and Enter into a Subgrant Agreement with the Naugatuck Valley Council of Governments, as if read: WHEREAS, the Naugatuck Valley Council of Governments maintains USEPA revolving loan funds for the Naugatuck Valley Region, and WHEREAS, the Borough of Naugatuck received notice of award from NVCOG’s Revolving Loan Fund Committee of a $350,000 Subgrant on October 10, 2023 for the Former Lanxess Site located at 280/0 Elm Street, and WHEREAS, the proposed uses for said Subgrant Funds are for soil management, the excavation of contaminated soils, and the relocation of such contaminated soils on the Former Lanxess Site, NOW, THEREFORE, BE IT RESOLVED THAT THE MAYOR AND THE BOARD OF BURGESSES OF THE BOROUGH OF NAUGATUCK HEREBY: 1) Accept the Subgrant Award of three hundred and fifty thousand dollars ($350,000) from the Naugatuck Valley Council of Governments, and 2) Authorize Mayor N. Warren “Pete” Hess, III to execute and submit any and all Subgrant contract documents, including, but not limited to, a Financial Assistance Proposal and the Grant Assistance Agreement with the Naugatuck Valley Council of Governments. 3) Authorize Mayor N. Warren “Pete” Hess, III (or his designee) to submit additional grant applications in future rounds to the State of Connecticut Community Investment Fund for additional funding for this project. -3- Minutes – Board of Mayor and Burgesses Special Meeting – October 16, 2023 ROLL CALL VOTE: FOR OPPOSE ABSTAIN Mayor N.W. Motion by Deputy Mayor Neth and seconded by Burgess Neth-Kunin that the Board of Mayor and Burgesses adopt the following Resolution to Accept Grant Funding & Execute Grant Documents for Naugatuck Parcels B & C Round #3 and 2023 Supplemental Funding Project, as if read: WHEREAS, the State of Connecticut Department of Economic and Community Development awarded the Naugatuck Economic Development Corporation (NEDC) a Municipal Brownfield Grant in the amount of $975,000 in 2014, and the Borough of Naugatuck was the sub-awardee on such a grant, and WHEREAS, the State of Connecticut Department of Economic and Community Development awarded supplemental funding to the 2014 Financial Assistance Agreement in 2023 in the amount of $145,000 to the Naugatuck Economic Development Corporation with the Borough of Naugatuck acting as the sub-awardee, and WHEREAS, the new grant documents showcase a total of $1,120,000 as a result of the supplemental funds, NOW, THEREFORE, BE IT RESOLVED THAT THE MAYOR AND THE BOARD OF BURGESSES OF THE BOROUGH OF NAUGATUCK HEREBY: 1) Accept the additional $145,000 sub-award grant from the State of Connecticut DECD, and 2) Authorize N. Warren “Pete” Hess III to execute and submit any and all grant contract documents including, but not limited to, a Financial Assistance Proposal and the Grant Assistance Agreement. Marenghi Motion carried 9-0-0 -4- Minutes – Board of Mayor and Burgesses Special Meeting – October 16, 2023 6. VOTED: Unanimously on a motion by Deputy Mayor Neth and seconded by Burgess Dambowsky that the Board of Mayor and Burgesses waive the bid and authorize Mayor Hess to execute all contracts and related documents for the Annual Records Management Software Subscription with First Due/Carasoft, 11493 Sunset Hills Road, Reston, VA 20190 through the NASPO purchasing consortium in the amount of $15,920.62 as recommended by Deputy Fire Chief Ken Hanks and Information Technology Director Jim Kallipolites. 7. VOTED: Unanimously on a motion by Deputy Mayor Neth and seconded by Burgess Neth-Kunin to recess to Executive Session at 7:20 p.m. for discussion on the following: Real Estate (Parcels A, B, C, Y & Z, Naugatuck Industrial Park Section III, Peter Paul/Hershey Property) and Pending Litigation No one was invited into executive session. Mayor Hess reconvened the meeting at 7:48 p.m. 8. There were no motions emanating from Executive Session. 9. VOTED: Unanimously on a motion by Deputy Mayor Neth and seconded by Burgess Neth-Kunin to adjourn the special meeting at 7:49 p.m. A digital recording of this meeting is available in the office of the Borough Clerk for further review.
