MINUTES REGULAR MEETING BOARD OF MAYOR AND BURGESSES APRIL 2, 2024 The Borough of Naugatuck held the Board of Mayor and Burgesses meeting on a hybrid basis. Everyone was welcomed to attend in person, by Zoom Webinar or by phone. 1. Mayor “Pete” Hess called the regular meeting to order at 7:00 p.m. with the following in attendance: BURGESSES: PRESS: R. VOTED: Unanimously on a motion by Deputy Mayor Vitale and seconded by Burgess Neth that the Board of Mayor and Burgesses approve the minutes of the regular meeting of March 5, 2024 and the special meeting of March 21, 2024. Each member received copies for review. 4. VOTED: Unanimously on a motion by Deputy Mayor Vitale and seconded by Burgess Neth that the Board of Mayor and Burgesses approve the monthly reports of March. Each member received copies for review. 5. Mayor’s Opening Comments Mayor Hess said two meetings were held last month. He thinks two meetings will need to be held most months. 6. Public Comment CERT members introduced themselves and discussed the changes with the organization. 7. Richard Donovan from NVCOG gave a presentation on the Naugatuck Valley Active Transportation Plan (NVATP). They want to survey residents of various towns through social media, community groups, the newspaper and the borough website. Looking for feedback on the Naugatuck River Greenway Trail, sidewalks, bike lanes and in-town plans. Connecting towns to each other through different transportation options.  -2- Minutes – Board of Mayor and Burgesses – Regular Meeting – April 2, 2024 8. NAC Chief Kyle Kelley gave the monthly update on the Naugatuck Ambulance Corps (NAC). They responded to four hundred fifty-one calls. Four mutual aid request calls in and thirty-five mutual aid requests out. They continue to provide ambulance and paramedic mutual aid into Bethany, Woodbury, Prospect, Beacon Falls, Waterbury, Middlebury, Oxford and Seymour. A few more EMTs were hired. They received funding for a Lifepak Heart Monitor from ION Bank and Post University. He said this monitor would allow an additional paramedic to different shifts increasing coverage. 9. Mayor Hess gave an update on the Borough of Naugatuck Development Projects. The fences on the green are regarding the stormwater drainage project. The stormwater comes through the green then to Parcel B. The water will be diverted. It will be a sixteen-month long project. He said they are aware of the concerts on the green and the festivals. Four out of the sixteen months, will be work on the green. Mayor Hess said there is a possibility the board will vote on three companies that want to come to the Naugatuck Industrial Park. The train station design is in the bid process. The borough is building the road network. The Downtown Major Hub Development Project plans are being finalized. It will be going out to bid in six weeks. Construction should commence this summer. Parcels A & B are intertwined with the Train Station Project. The Rubber Avenue Project is on schedule. The next phase to the Naugatuck River Greenway Trail will be the Maple Street Bridge to Breen Field. A designer will be chosen and it should start next month. We received three grants. One is a $1,375,000 grant for upgrades to the Senior Center. They are considering making the garage usable space and connecting it to the main building. A Community Investment Funds (CIF) Grant for 5.7 million is for stormwater and sidewalks in the Scott Street/Nettleton Avenue area, in addition a new street department building on the former Risdon Property. There is DOT design money for the Pedestrian Bridge River Crossing from Parcel B/Train Station across the river to the on and off ramp for Route 8. He said the Amazon Project is moving quickly. It is going through the land use process now. 10. Townwide Sidewalk Improvements – discussion/possible action. Passed. 11. VOTED: Unanimously on a motion by Deputy Mayor Vitale and seconded by Burgess Neth that the Board of Mayor and Burgesses add to the agenda a motion to authorize Mayor Hess to execute a contract with Serviam Solutions to for a Safety Communications System Study. VOTED: Unanimously on a motion by Deputy Mayor Vitale and seconded by Burgess Neth that the Board of Mayor and Burgesses authorize Mayor Hess to execute a contract with Serviam Solutions, 10 Randall Drive, Oxford, CT 06478 in an amount not to exceed $8,800 in Fiscal Year 2024 to “Conduct a Public Safety Communications System Study” as recommended by Chief of Police Colin McAllister and Deputy Fire Chief Kenneth Hanks. VOTED: Unanimously on a motion by Deputy Mayor Vitale and seconded by Burgess Neth that the Board of Mayor and Burgesses add to the agenda a motion to approve the bid for the Fireworks Display. 13. VOTED: Unanimously on a motion by Deputy Mayor Vitale and seconded by Burgess Neth that the Board of Mayor and Burgesses approve the bid for contract FY25-B072 for “Fireworks Display July 5, 2024 (Rain date July 6, 2024)” to Central Maine Pyrotechnics, d/b/a Pyro City Maine, P.O. Box 322, Hallowell, ME 04347 in the amount of $20,000 as recommended by Superintendent of Parks Sandra Ribeiro. Contracts shall commence upon vendor completing all borough requirements and the purchase order is received by vendor. 14. Mayor Hess shall appoint Deborah Healy, 54 Round Hill Road, Naugatuck, CT 06770 as an alternate member to the Arts Commission, filling the expired term of A. Jones, term to expire April 1, 2026. VOTED: Unanimously on a motion by Deputy Mayor Vitale and seconded by Burgess Neth that the Board of Mayor and Burgesses authorize Mayor Hess to sign contract “No. FY24-B068 – Andrew Avenue Elementary School Partial Flooring Replacement – State Project No. 088-0076 CV” in the amount of $145,949 with Accurate Insulation LLC, 33A Stafford Avenue, Bristol, CT 06010 as recommended by the Borough of Naugatuck Standing Building Committee. Contracts shall commence upon vendor completing all borough requirements and the purchase order is received by vendor. 23. VOTED: Unanimously on a motion by Deputy Mayor Vitale and seconded by Burgess Neth that the Board of Mayor and Burgesses authorize Mayor Hess to sign contract “No. FY24-B069 – City Hill Middle School Partial Flooring Replacement – State Project No. 088-0077 CV” in the amount of $158,662 with Accurate Insulation LLC, 33A Stafford Avenue, Bristol, CT 06010 as recommended by the Borough of Naugatuck Standing Building Committee. VOTED: Unanimously on a motion by Deputy Mayor Vitale and seconded by Burgess Neth that the Board of Mayor and Burgesses authorize Mayor Hess to sign contract “No. FY24-B070 – Salem Elementary School Partial Flooring Replacement – State Project No. 088-0078 CV” in the amount of $14,396 with Accurate Insulation LLC, 33A Stafford Avenue, Bristol, CT 06010 as recommended by the Borough of Naugatuck Standing Building Committee. Contracts shall commence upon vendor completing all borough requirements and the purchase order is received by vendor. 25. VOTED: Unanimously on a motion by Deputy Mayor Vitale and seconded by Burgess Neth that the Board of Mayor and Burgesses authorize Mayor Hess to sign the Construction Scope of Services Agreement for the “Parcel A&B Major Hub Development Project” with Kleinfelder Northeast, Inc., 400 Capital Boulevard, Suite 104, Rocky Hill, CT 06067 in the amount of $53,160 to prepare bid documents, provide bid assistance and prepare documents for bid award as recommended by Public Works Director James Stewart. 26. VOTED: Unanimously on a motion by Deputy Mayor Vitale and seconded by Burgess Neth that the Board of Mayor and Burgesses authorize Mayor Hess to enter into a Professional Services Contract with SLR International Corporation, 45 Glastonbury Boulevard, Glastonbury, CT 06033 in the amount of $10,000 to “Prepare an Environmental Condition Assessment Form and a Form III Filing for 226 Rubber Avenue” as recommended by Public Works Director James Stewart. 27. VOTED: Unanimously on a motion by Deputy Mayor Vitale and seconded by Burgess Neth that the Board of Mayor and Burgesses adopt the following Second Amendment to MOA between the Connecticut Water Company and the Borough of Naugatuck (West of Candee Reservoir), as if read: This Second Amendment (“Second Amendment”) dated March 20, 2024 (“Effective Date”) is by and between The Connecticut Water Company, a Connecticut corporation (“CWC”) and the Borough of Naugatuck (“the Purchaser”) (collectively, “the Parties”). WHEREAS, the Parties entered into a Memorandum of Agreement dated March 21, 2022, as amended by the Amendment to MOA dated June 20, 2022 (collectively, the “MOA”) with respect to the purchase and sale of the real property known as West of Candee Reservoir (“the Property”); and WHEREAS, pursuant to Section 8 of the MOA the Closing Date as defined in the MOA is on March 21, 2024, and the Parties desire to enter into this Second Amendment to extend the Closing Date as defined and in accordance with the MOA. NOW THEREFORE, for good and valuable consideration, the receipt of which is hereby acknowledged, the Parties agree as follows:  -6- Minutes – Board of Mayor and Burgesses – Regular Meeting – April 2, 2024 1. Pursuant to Section 8 of the Agreement, the Parties hereby agree to extend the Closing Date until March 21, 2025, at which time the Closing Date may be renewed upon mutual agreement by the Parties in writing to allow the Parties a reasonable amount of time to transfer title. All references to the Closing Date in the MOA, shall reference March 21, 2025, unless amended otherwise by the Parties. 2. This Amendment may be executed in counterparts, each of which shall be deemed an original, but which taken together shall constitute one and the same instrument. The signature pages from any counterpart may be appended to any other counterpart to assemble fully executed counterparts. Counterparts may be exchanged by electronic means and an electronic facsimile or an electronic mail copy of a signature shall be deemed an original signature for all purposes. Except as modified in this Amendment, the MOA remains in full force and effect. 28. VOTED: Unanimously on a motion by Deputy Mayor Vitale and seconded by Burgess Neth that the Board of Mayor and Burgesses adopt the following Second Amendment to MOA between the Connecticut Water Company and the Borough of Naugatuck (West of Mulberry Reservoir), as if read: This Second Amendment (“Second Amendment”) dated March 20, 2024 (“Effective Date”) is by and between The Connecticut Water Company, a Connecticut corporation (“CWC”) and the Borough of Naugatuck (“the Purchaser”) (collectively, “the Parties”). VOTED: Unanimously on a motion by Deputy Mayor Vitale and seconded by Burgess Neth that the Board of Mayor and Burgesses adopt the following Second Amendment to MOA between the Connecticut Water Company and the Borough of Naugatuck (South of Mulberry Reservoir), as if read: This Second Amendment (“Second Amendment”) dated March 18, 2024 (“Effective Date”) is by and between The Connecticut Water Company, a Connecticut corporation (“CWC”) and the Borough of Naugatuck (“the Purchaser”) (collectively, “the Parties”). WHEREAS, the Parties entered into a Memorandum of Agreement dated March 21, 2022, as amended by the Amendment to MOA dated June 20, 2022 (collectively, the “MOA”) with respect to the purchase and sale of the real property known as South of Mulberry Reservoir (“the Property”); and WHEREAS, pursuant to Section 8 of the MOA the Closing Date as defined in the MOA is on March 21, 2024, and the Parties desire to enter into this Second Amendment to extend the Closing Date as defined and in accordance with the MOA. NOW THEREFORE, for good and valuable consideration, the receipt of which is hereby acknowledged, the Parties agree as follows: 1. Motion by Deputy Mayor Vitale and seconded by Burgess Neth that the Board of Mayor and Burgesses adopt the following Fair Housing Resolution, as if read: WHEREAS, all persons are afforded a right to full and equal housing opportunities in the neighborhood of their choice; and  -8- Minutes – Board of Mayor and Burgesses – Regular Meeting – April 2, 2024 WHEREAS, federal fair housing laws require that all individuals, regardless of race, color, religion, sex, handicap, familial status or national origin, be given equal access to all housing-related opportunities, including rental and homeownership opportunities, and be allowed to make free choices regarding housing location; and WHEREAS, Connecticut fair housing laws require that all individuals, regardless of race, creed, color, national origin, ancestry, sex, marital status, age, lawful source of income, familial status, learning disability, physical or mental disability, sexual orientation, or gender identity or expression be given equal access to all housing-related opportunities, including rental and home ownership opportunities, and be allowed to make free choices regarding housing location; and WHEREAS, the Borough of Naugatuck is committed to upholding these laws, and realizes that these laws must be supplemented by an Affirmative Statement publicly endorsing the right of all people to full and equal housing opportunities in the neighborhood of their choice; and NOW THEREFORE, BE IT RESOLVED, that the Borough of Naugatuck hereby endorses a Fair Housing Policy to ensure equal opportunity for all persons to rent, purchase, obtain financing and enjoy all other housing-related services of their choice on a non-discriminatory basis as provided by state and federal law; and BE IT FURTHER RESOLVED, that the chief executive officer of the Borough of Naugatuck or his designated representative is responsible for responding to and assisting any person who alleges to be the victim of an illegal discriminatory housing practice in the Borough of Naugatuck and for advising such person of the right to file a complaint with the State of Connecticut Commission on Human Rights and Opportunities (CHRO) or the U.S. Department of Housing and Urban Development (HUD) or to seek assistance from the CT Fair Housing Center, legal services, or other fair housing organizations to protect his or her right to equal housing opportunities. Mayor and Burgess Comments/Sub-Committee Reports Burgess Dambowsky asked if there are plans to expand the Farmers’ Market.  -10- Minutes – Board of Mayor and Burgesses – Regular Meeting – April 2, 2024 Mayor Hess said we would like to have a first class market. They are trying to promote the market and get more vendors such as a meat vendor, cheese vendor, dog biscuits vendor plus all types of new things. Last year $5,000 was set aside for entertainment but wasn’t spent. There are plans to have music and bounce houses to get people to the green on Sunday. Burgess Gallo reported the Exchange Club offered $200 to the Elderly Commission to purchase snacks. She and Burgess Rosenblatt are going to think of ways to solicit funds for the Senior Center. She said Burgess Rosenblatt attended the trades class at the high school and the kids are excited about picking their trade. Deputy Mayor Vitale said there is conflicting information on our website in various locations. There will be a fundraiser for Retired Officer Chip Scofield on April 4th at the Elks Club. Senior Wellness Day will be on April 18th from 8:30 a.m. to 1 p.m. The Naugatuck Exchange Club Community Champions’ Awards will be held on April 23rd. Mayor Hess said Pedro Pires will be honored with the Mary Connolly Award this month. 36. VOTED: Unanimously on a motion by Deputy Mayor Vitale and seconded by Burgess Neth to recess to Executive Session at 8:45 p.m. for discussion on the following: Real Estate (Parcels A, B, C, Y & Z, Naugatuck Industrial Park Section III – Lots 2, 7, 8, 9, 11, 12, Hershey Property, Amazon Project, Former Recycling Center – Rubber Avenue/Ferrari Appliances) and Pending Litigation. No one was invited into executive session. Mayor Hess reconvened the meeting at 9:49 p.m. 37. The following motions emanated from Executive Session. VOTED: Unanimously on a motion by Deputy Mayor Vitale and seconded by Burgess Neth that the Board of Mayor and Burgesses authorize Mayor Hess to enter into a development agreement regarding Lot 11 in the Naugatuck Industrial Park – Section III with Seeram James or an entity that he establishes on terms discussed in executive session. VOTED: Unanimously on a motion by Deputy Mayor Vitale and seconded by Burgess Neth that the Board of Mayor and Burgesses authorize Mayor Hess to enter into a development agreement with International Supply Company regarding Lot 12 in the Naugatuck Industrial Park – Section III on terms discussed in executive session. 38.
