PROJECT. BACKGROUND: l Forrest Pines Seniors, L. P. desires to acquire property and construct a 120-unit apartment complex, known as Forrest Pines Seniors Apartments, at 14539 Old Courthouse Way. l In order to finance the project Forrest Pines Seniors, L.P. sought NNRHA’s issuance of Multi-Family Housing Revenue Bonds in an amount not to exceed $10,200,000. l NNRHA approved a resolution at its February 19, 2013 Board Meeting for issuance of bonds for the benefit of Forrest Pines Seniors, L.P. and held the required public hearing. l To comply with certain bond requirements City Council must approve a resolution providing jurisdictional approval of the bond issuance for the project. FISCAL IMPACT: l This Council action requires no financial commitment from the City. l The City Manager recommends approval. PROJECT. WHEREAS, the Newport News Redevelopment and Housing Authority (the “Authority”), was created pursuant to the Virginia Housing Authorities Law (the “Act”), found in Chapter 1, Title 36, Code of Virginia of 1950, as amended (the “Virginia Code”), and is now existing and operating as a public body corporate and politic, and the Act empowers the Authority to issue its notes or bonds in accordance with the provisions of the Act for the purpose of making loans for the prevention and elimination of slum or blighted areas, for assistance in housing construction or rehabilitation by private sponsors and to refund prior obligations issued for any such purposes; and WHEREAS, Forrest Pines Seniors, L. P., a Virginia limited partnership (the “Borrower”), has applied to the Authority for the issuance of $10,200,000 of the Authority’s Multi-family Housing Revenue Bonds (Forrest Pines Seniors, L.P. Project), Series 2013 (the “Bonds”), to provide financing for the acquisition, construction and equipping of a four-story, 120 unit multi- family seniors residential housing project to be known as Forrest Pines Seniors Apartments and to be located at 14539 Old Courthouse Way, together with the payment of certain issuance and other transaction costs (collectively, the “Project”); and WHEREAS, the Borrower, which will commence the acquisition, construction and equipping of the Project promptly following the issuance of the Bonds, has its principal place of business at 308 35th Street, Suite 101, Virginia Beach, Virginia 23451; and WHEREAS, Section 147(f) of the Internal Revenue Code of 1986, as amended (the “Code”), requires, among other things, the approval by this Council of the issuance of any new issue of private activity bonds after the Authority has held a public hearing to consider the issuance of such bonds as one of the acts required in order for the interest on such bonds to qualify for exemption from the imposition of federal income tax; and WHEREAS, pursuant to due notice, the Authority has, on February 19, 2013, conducted a public hearing on the application of the Borrower for the issuance of such Bonds in compliance with the requirements of Section 147(f) of the Code, Section 15.2-4906 of the Code of Virginia of 1950, as amended, and Section 2 of Chapter 514 of the Acts of Assembly of 1983, and after such public hearing did adopt a resolution to issue an amount not to exceed $10,200,000 of its tax- exempt bonds, subject to the adoption of this resolution; and WHEREAS, pursuant to Section 146 of the Code; Title 15.2, Chapter 50 of the Virginia Code, and the 2013 Virginia Private Activity Bond Allocation Guidelines, promulgated by the Virginia Department of Housing and Community Development (“DHCD”), an allocation from the “State ceiling” (as defined in Section 146 of the Code) limitation on the volume of private activity notes or bonds which may be issued in the Commonwealth of Virginia in 2013 (“Volume Cap”) must be granted by DHCD, in its capacity as Allocation Administrator, in order for the interest on the Bonds to be exempt from the imposition of federal income tax, for which allocation of Volume Cap an application must be submitted by the Authority to DHCD; and WHEREAS, the Authority has recommended that the Council approve the issuance of the Bonds and support the Authority’s application to DHCD for an allocation to the Bonds of a portion of the State ceiling of Volume Cap; and WHEREAS, a Fiscal Impact Statement complying with the requirements of Section 15.2- 4907 of the Virginia Code and Section 2 of Chapter 514 of the Acts of Assembly of 1983, a record of the public hearing held by the Authority, and a copy of the Authority's resolution approving the issuance of the Bonds, subject to the terms to be agreed upon, have been filed with the Council; NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Newport News, Virginia: 1. That the recitals in the preambles hereto are found to be true and correct in all respects, and are adopted as findings of this Council as if fully rewritten herein. 2. That the Project proposed to be financed by the issuance of the Bonds is deemed appropriate for such financing and, accordingly, the issuance of the Bonds is hereby approved. 3. That the Council supports the Applicant’s application to DHCD for an allocation for the Bonds of $10,200,000 of the State ceiling of Volume Cap and authorizes the City Manager to sign all documents signifying that support. 4. The approval of the issuance of the Bonds, as required by Section 147(f) of the Code and by Virginia Code, does not constitute an endorsement to a prospective purchaser of the Bonds or the creditworthiness of the Project or the Borrower, and the Bonds shall provide that the City of Newport News shall not be obligated to pay the principal of the Bonds or the interest thereon or other costs incident thereto and neither the faith and credit nor the taxing power of the Commonwealth of Virginia or the City of Newport News shall be pledged thereto. 5. BACKGROUND: l In light of pending regulatory changes, the Department of Engineering is recommending opportunistic purchases of strategically located parcels for various municipal purposes. l The parcel is suited for future municipal intiatives, such as open-space preservation and the construction of stormwater management facilities for water quality. l The owner of the subject property has signed a letter of intent from the City to acquire the property. FISCAL IMPACT: l Funding for the proposed acquisition will come from previously appropriated funds in the Capital Improvements Plan (CIP), Stormwater Drainage category. l The City Manager recommends approval. WHEREAS, in the opinion of the Council of the City of Newport News, a public benefit would result from the acquisition of certain real property hereinafter more particularly described, for stormwater management purposes, and for the preservation of the safety, health, peace, good order, comfort, convenience, morals and welfare of the City of Newport News. Matthews, known as 42 Woodfin Road, Assessor’s Tax I.D. #268.00-06-34, comprised of 0.26 acres, more or less, by general warranty deed, inclusive of payment of any liens, judgments, taxes or other money claims outstanding against the property. Section 2. That the City Manager is hereby authorized and directed to act for and on behalf of the City of Newport News in offering to purchase the property for $175,700.00, which is the assessed value of the property, provided that any outstanding claims against the property for taxes or other liens shall be paid by the seller. Section 3. That in order to provide funds to defray the costs incident to the acquisition of said property, funds previously appropriated for stormwater management acquisitions are hereby authorized for such purposes. Section 4. The City Manager is hereby authorized to execute and the City Clerk attest on behalf of the City of Newport News all documents, permits, or authorizations necessary to effectuate the acquisition of the property described herein after same have been reviewed and approved by the City Attorney, and the City Manager is further authorized to obtain a title insurance policy on said property in conjunction with the sales transaction. Section 5. That this ordinance shall be in effect on and after the date of its adoption, March 26, 2013. G. BACKGROUND: l Liebherr has announced the expansion of certain operations to increase its capacities in the advanced manufacturing of heavy mining machinery at it facilities located primarily in Newport News. l Liebherr plans to make a total capital investment of approximately $45.4 million in real estate and machinery and tools improvements. l In order for the City to receive a grant of $500,000 from the Governor's Development Opportunity Fund, a tri-party Governor's Development Opportunity Fund Performance Agreement is required between the City, the EDA and Liebherr. l The City and the EDA wish to assist in facilitating the expansion project through the GOF grant and match, the TPOF grant, the Economic Development Access Program grant (EDAP) and any other federal or state transportation infrastructure grants or incentive programs which may be available. l The City Manager recommends approval. WHEREAS, Liebherr has announced the expansion of certain operations to increase its capacities in the advanced manufacturing of heavy mining machinery at its manufacturing and warehouse facilities located primarily in the City of Newport News, Virginia, but with a portion of its facility within the City of Hampton, Virginia, (collectively, “the Facility”), and the creation of a significant number of new jobs at the Facility; and WHEREAS, Liebherr plans to make a total capital investment of approximately $45.4 million, with approximately $32.5 million to occur in Newport News and approximately $12.9 million to occur in Hampton; and WHEREAS, Liebherr plans to invest approximately $32.6 million in new real estate improvements at the Facility and approximately $12.8 million in new machinery and tools at the Facility, and to create approximately 174 new jobs at the Facility with annual salaries averaging $46,067 (collectively, the “Liebherr Project”); and WHEREAS, the City has been awarded a grant of and expects to receive $500,000 from the Governor’s Development Opportunity Fund (a “GOF Grant”) through the Virginia Economic Development Partnership Authority for the purpose of inducing Liebherr to expand, equip and improve the Facility; and WHEREAS, in order for the City to receive the GOF Grant from the Commonwealth of Virginia, a tri-party Governor’s Development Opportunity Fund Performance Agreement is required between the City, the EDA and Liebherr; and WHEREAS, Liebherr desires that certain infrastructure improvements, including the upgrading and widening of City Line Road, turn radius improvements to several intersections in Copeland Industrial Park, and other traffic management, signalization, and streetscape improvements be made to support the Liebherr Project, and the City and EDA wish to assist in facilitating such improvements through the GOF Grant, a TPOF Grant and any other federal or state transportation infrastructure grants or incentive programs which may be available; and WHEREAS, such infrastructure improvements will benefit not only Liebherr, but also other manufacturers, distributors and industrial service companies located in Copeland Industrial Park. NOW, THEREFORE, BE IT RESOLVED by the Council of the City of Newport News, Virginia: 1. That it hereby authorizes and directs the City Manager to execute and the City Clerk to attest, on behalf of the City of Newport News, Virginia, any and all documents necessary to effectuate and implement a Governor’s Development Opportunity Fund Performance Agreement by and among the City of Newport News, Virginia, the Economic Development Authority of the City of Newport News, Virginia, and Liebherr Mining & Construction Equipment, Inc. d/b/a Liebherr Mining Equipment Newport News, Co. 2. That it hereby authorizes and directs the City Manager to execute and the City Clerk to attest, on behalf of the City of Newport News, Virginia, any and all documents necessary to effectuate and implement a TPOF Grant and any other federal or state transportation infrastructure grants or incentive programs which may be available for the purposes of undertaking the aforementioned infrastructure improvements. 3. That the total local incentive contribution, including any required local match, made by the City in connection with the GOF Grant, TPOF Grant, and any other federal or state infrastructure grant or incentive programs shall not exceed $1,000,000 for the Liebherr Project. 4. That the City Attorney shall review and approve all such documents as to form and legality prior to their execution. 5. BACKGROUND: l With the announcement of Liebherr's expansion plans, it was determined that critical public infrastructure improvements are needed within the Copeland Industrial Park, where the facility is located. l The existing public road network does not provide for adequate access to this property and an access road improvement project is necessary. l Authorization of an application for EDAP grant funding is a component of facilitating the public infrastructure improvements. l The City Manager recommends approval. FISCAL IMPACT: l N/A Supporting Material Authorizing Any and All Documents to Effectuate an Economic Development Access Program Application sdm11584 RESOLUTION NO. ____________________ A RESOLUTION AUTHORIZING AND DIRECTING THE CITY MANAGER TO EXECUTE AND THE CITY CLERK TO ATTEST, ON BEHALF OF THE CITY OF NEWPORT NEWS, VIRGINIA, ANY AND ALL DOCUMENTS NECESSARY TO REQUEST, EFFECTUATE AND IMPLEMENT AN ECONOMIC DEVELOPMENT ACCESS PROGRAM APPLICATION AND GRANT AS OFFERED BY THE COMMONWEALTH TRANSPORTATION BOARD OF THE VIRGINIA DEPARTMENT OF TRANSPORTATION. WHEREAS, Liebherr Mining & Construction Equipment, Inc. d/b/a Liebherr Mining Equipment Newport News, Co. (“Liebherr”), has announced the expansion of certain operations to increase its capacities in the advanced manufacturing of heavy mining machinery at its manufacturing and warehouse facilities located off of Chestnut Avenue in the City of Newport News, Virginia, within Copeland Industrial Park (“the Facility”); and WHEREAS, new private capital investment in real estate and machinery and tools improvements at the Facility are expected to total approximately $45.4 million, and Liebherr is expected to create approximately 174 net new jobs at the Facility, with annual salaries averaging $46,067; and WHEREAS, Liebherr’s expansion plans at the Facility commenced in 2012; and WHEREAS, the existing public road network does not provide for adequate access to this property and an access road improvement project is necessary; and WHEREAS, the Council of the City of Newport News, Virginia, hereby agrees that funds for any and all necessary environmental analysis, mitigation, fee simple right of way and utility relocations or adjustments, if necessary, for this project will be provided from sources other than the Economic Development, Airport and Rail Access Fund; and WHEREAS, the Council of the City of Newport News, Virginia, acknowledges that no land disturbance activities may occur within the limits of the proposed access project prior to appropriate notification from the Virginia Department of Transportation; and WHEREAS, the Council of the City of Newport News, Virginia hereby agrees that funds for all ineligible project costs and all costs not justified by eligible capital outlay will be provided from sources other than the Economic Development, Airport and Rail Access Fund. NOW, THEREFORE, BE IT RESOLVED by the Council of the City of Newport News: 1. That it hereby authorizes and directs the City Manager to execute and the City Clerk to attest, on behalf of the City of Newport News, Virginia, any and all documents necessary to request, effectuate and implement an Economic Development Access Program application and grant as offered by the Commonwealth Transportation Board of the Virginia Department of Transportation.  2. That it hereby requests that the Commonwealth Transportation Board of the Virginia Department of Transportation provide Economic Development Access Program funding to provide adequate road access to the Facility. 3.
