ODESSA DEVELOPMENT CORPORATION MINUTES
CITY OF ODESSA, TEXAS
August 29, 2024
A special meeting of the Odessa Development Corporation (ODC) was held on August
29, 2024, at 8:31 a.m. in the Council Chambers, 5th floor, City Hall, 411 W. 8th St.
Odessa, Texas.
Members present: David Boutin, Tim Harry, Melanie Hollmann, Gene Chavez and
James Kirk.
Members absent: Larry Robinson
Others present:
Dan Jones, City Attorney; John Beckmeyer, City Manager: Tom Manskey, Office
of Economic Development; Kathi Vaughn, Office of Economic Development;
Lindsey Simpkins, Office of Economic Development; and
Others: Peggy Dean, ODC Compliance Committee Chair
A quorum being present, Dr. Kirk called the meeting to order, and the following
proceedings were held:
Mr. Harry gave the invocation. The Pledge of Allegiance and Texas Pledge were recited.
The Board may recess into Executive Session in compliance with Section 551.001
et. Seq. Texas Government Code in accordance with: Section 551.072. Deliberation
regarding real property; the purchase, exchange, lease or value of real property.
• Project Logical Location
Motion was made by Ms. Hollmann and seconded by Mr. Harry to recess into executive
session to discuss Project Logical Location. The motion was approved by unanimous
vote. Recessed into executive session at 8:33 a.m.
Motion was made by Mr. Harry and seconded by Ms. Hollmann to reconvene from
executive session at 9:48 a.m. The motion was approved by unanimous vote.
Motion was made by Ms. Hollmann with a second by Mr. Boutin that subject to receipt in
writing of an acceptance of a bid with regard to Project Logical Location and subject to
receipt and agreement upon an appropriate escrow agreement between ODC and Basin
Abstract & Title that the ODC board would agree to place the amount of $3 million
dollars in escrow but not expend those funds. The funds would be held pursuant to the
requirements of the escrow agreement to include but not limited to specific written
instruction from the ODC board prior to any release of funds to any party in furtherance
of Project Logical Location. The motion was approved by unanimous vote.

Citizens comments on non-agenda items. None
Upcoming dates for future ODC Board meetings. The next ODC Board meeting is
scheduled for September 12, 2024, at 2:00 p.m.in the City Hall Council Chamber on the
5th floor.
Motion was made by Mr. Harry and seconded by Ms. Hollmann to adjourn the meeting.
The motion was approved by unanimous vote. The meeting was adjourned at 9:51 a.m.

BOARD OF DIRECTORS MEETING
In accordance with the Open Meetings Act, Chapter 551 of the Government Code of
Texas, notice is hereby given to all interested persons that the Odessa Development
Corporation (“ODC”) will meet on Thursday, August 29, 2024 at 8:30 a.m. in the Council
Chambers, fifth floor, City Hall, 411 W. 8 th St., Odessa, Texas for the following purpose:

This Notice is being posted on the south door of City Hall and on the bulletin board
of the first floor of City Hall, Odessa, Texas, on the City of Odessa’s website www.odessa-
tx.gov, and on the Odessa Development Corporation’s website www.odessatex.com, this
the ______ day of August, 2024 at __________ ___.m., said time being more than
seventy-two hours (72) prior to the time at which the subject meeting will be convened and
called to order.
The meeting is available to all persons regardless of disability. Individuals with
disabilities who require special assistance should contact the City Secretary's Office at
432-335-3276, or 411 West 8th Street, First Floor, Odessa, Texas, during normal business
hours at least twenty-four hours (24) in advance of the meeting.

Any member of the public may address the ODC Board regarding any of its agenda items before or during the
consideration of the item.

3. The Board may recess into Executive Session in compliance with Section 551.001 et. seq. Texas Government
Code in accordance with:
a. Section 551.071. Consultation with Attorney.
b. Section 551.072. Deliberation regarding real property: the purchase, exchange, lease or value of
real property.
