Council Member Munk joined at 7:05 p.m. RESOLUTION On a motion by Council Member Love and seconded by Council Member Melo the following RESOLUTION WAS OFFERED FOR ADOPTION Passaic City Council June 21, 2022 Minutes PUBLIC MEETING OF THE CITY COUNCIL OF THE CITY OF PASSAIC WAS CONDUCTED AS A LIVE STREAM VIA FACEBOOK CITY OF PASSAIC RESOLUTION #22-06-140 RESOLUTION APPOINTING WEATHERLY FRIAS AS THE INTERIM CITY CLERK FOR THE CITY OF PASSAIC WHEREAS, the City Code of the City of Passaic, Chapter 5, “Administration of Government,” Article V, “Other Officers and Employees”, Section 34, “Office of the Clerk” establishes the Office of the Clerk and provides that the Council shall appoint a City Clerk; and WHEREAS, upon the absence of the City Clerk, the City Code of the City of Passaic, Chapter 5, “Administration of Government,” Article V, “Other Officers and Employees”, Section 36, provides that the Council may appoint a temporary replacement who shall perform the functions, powers, and duties of the City Clerk; and WHEREAS, the City Clerk for the City of Passaic is currently on an extended leave with an approximate return date of September 9, 2022; and WHEREAS, the City Council desires to appoint an Interim City Clerk until such time that the City Clerk returns from leave; and WHEREAS, Weatherly Frias is a City of Passaic employee in the Purchasing Department and has 16 years of previous experience working in the City of Passaic’s City Clerk’s office, serving as the City Clerk’s direct assistant for over 4 years; and WHEREAS, Ms. Frias has completed a Qualified Purchasing Agent (QPA) degree program and is completing the final coursework of the Municipal Registered Clerks’ program; and WHEREAS, Ms. Frias possesses all the requisite training and qualifications to successfully fulfill the Page 2 of 36 Passaic City Council June 21, 2022 Minutes PUBLIC MEETING OF THE CITY COUNCIL OF THE CITY OF PASSAIC WAS CONDUCTED AS A LIVE STREAM VIA FACEBOOK obligations and responsibilities of the Interim City Clerk position. Super. 342, 732 A.2d 1147 (1999): Representative government imposes a responsibility upon elected officials to give proper attention to the duties of their office, one of which is the regular attendance at and participation in the meetings of the body to which they have been elected. The public is entitled to know it is being represented and not neglected by those it has placed in office. The Municipal Vacancy Law creates a vacancy in the office when a member has neglected that duty and failed to attend meetings for a consecutive eight week period. Correspondingly, the member is charged with knowing of the meetings of the governing body, of his or her own absences, and of the requirements of the law. Council Member Patel attended or missed the following meetings: January 11 missed, January 25 missed, February 8 missed, February 22 attended, March 9 missed, March 22 missed, April 12 missed, May 12 missed, May 25 missed, June 9 missed According to the above statute, a member who has missed 8 consecutive weeks triggers an automatic vacating of the position. Commemorating 1865 Galveston Texas slaves were not informed they were free. President Biden made Juneteeth a federal holiday.  The PBA law enforcement torch for the special Olympics was passed throughout NJ counties.  Passaic Arts & Science Charter School held in-person graduation and Passaic high school graduation will take place on June 23.  UPO mobile food truck will held on Saturdays at Missionary Baptist church.  City Green truck is available on Fridays at William Street in front of city hall employee lot to provide organic food to residents.  The Boys and Girls Club held their generations dinner.  The mayor requests that residents limit air conditioner use during summer months to prevent blackouts.  Summer programs can be found on the Passaic recreation page, including splash parks, arts and sports programs.  Along with Assemblyman Schaer, the Mayor attended a ceremony at St. Mary’s General hospital acknowledging the contributions of Dr. Elliot Samet. HEARING OF CITIZENS Council President Schaer opened the public portion of the Meeting with the following statement for the record: In Accordance with the Open Public Meetings Act (N.J.S.A. 10:4-1 et seq.). The Council opens every public meeting for comments of the public. (the "Redevelopment Law"); and WHEREAS, the Redevelopment Law, specifically, N.J.S.A. 40A:12A-8(g) provides that a municipality may lease or convey property or improvements to any other party pursuant without public bidding and at such prices and upon such terms as it deems reasonable, provided that the lease or conveyance is made in conjunction with a redevelopment plan, notwithstanding the provisions of any law, rule, or regulation to the contrary; and WHEREAS, 125 SOUTH STREET, LLC, wishes to sub-lease certain real property from the City of Passaic otherwise known as the Dundee Canal and more particularly described in Attachment A, ("Canal Property,") in conjunction with the redevelopment of 127-129 South Street; and WHEREAS, the City of Passaic currently leases a portion of the Dundee Canal from DUNDEE WATER POWER AND LAND COMPANY (“Dundee”) pursuant to a lease currently expiring in 2056; and Page 7 of 36 Passaic City Council June 21, 2022 Minutes PUBLIC MEETING OF THE CITY COUNCIL OF THE CITY OF PASSAIC WAS CONDUCTED AS A LIVE STREAM VIA FACEBOOK WHEREAS, the attached Assignment of Agreement of Sublease permits 125 SOUTH STREET, LLC to sub-lease such Canal Property from the City of Passaic as a necessary contingency to secure the rights for the redevelopment of 127-129 South Street for a term that is coterminous with the term of the City’s lease with Dundee; and WHEREAS, pursuant to the attached Assignment of Agreement of Sublease, 125 SOUTH STREET, LLC will make annual payments to the City as set forth in Attachment B hereto; WHEREAS, the attached Assignment of Agreement of Sublease has been reviewed and approved by the City Attorney. NOW THEREFORE BE IT RESOLVED by the City Council of the City of Passaic that City of Passaic is hereby authorized to enter into the attached Assignment of Agreement of Sublease with 125 SOUTH STREET, LLC for the lease of certain real property from the City of Passaic otherwise known as the Dundee Canal and more particularly described in Attachment A for use in conjunction with the redevelopment of 127-129 South Street, subject to the terms and conditions therein; and BE IT FURTHER RESOLVED that the Mayor and City Clerk are hereby authorized and directed to execute the Assignment of Agreement of Sublease attached hereto as well as any other documents necessary to effectuate the purpose of this Resolution; and BE IT FURTHER RESOLVED that copies of this Resolution, along with an executed copy of the Assignment of Agreement of Sublease, shall be forwarded to City of Passaic Redevelopment Agency. Page 8 of 36 Passaic City Council June 21, 2022 Minutes PUBLIC MEETING OF THE CITY COUNCIL OF THE CITY OF PASSAIC WAS CONDUCTED AS A LIVE STREAM VIA FACEBOOK CITY OF PASSAIC RESOLUTION NO. 22-06-142 RESOLUTION AUTHORIZING THE SUBMISSION OF AN APPLICATION, ACCEPTANCE OF A GRANT, EXECUTION OF AN AGREEMENT AND EXPENDITURE OF FUNDS FOR THE 2022-2023 BUSINESS LOAN PROGRAM TO THE NJ URBAN ENTERPRISE ZONE AUTHORITY WHEREAS, the City of Passaic throughout the Passaic Enterprise Zone Development Corporation (PEZDC) desires to apply for and obtain a grant from the NJ Department of Community Affairs for approximately $330,000 to carry out a business loan project; and WHEREAS, the PEZDC Board of Trustees at their meeting of June 15, 2022 approved resolution to submit a grant application for the re-establishment of a Business Loan Program to the NJ Urban Enterprise Zone Authority in the amount of $330,000; and WHEREAS, the loans to businesses is an activity referenced in the UEZ legislation and is highly valued by the Passaic business community; WHEREAS, the UEZA also requires the municipal approval of the submission, acceptance and expenditure of grant funds; and NOW, THEREFORE BE IT RESOLVED that: (1) the City Council of the City of Passaic does hereby authorize the application for a Business Loan Program grant in the amount of $300,000; and (2) recognizes and accepts that the Department may offer a lesser or greater account and therefore upon receipt of the grant agreement from the NJ Department of Community affairs, does further authorize the execution of any such grant agreements; and also , upon receipt of the fully executed agreement from the Department, does further authorize the expenditure of funds pursuant to the terms of the agreement between the Passaic Enterprise Zone Development Corporation and the New Jersey Department of Community Affairs. Page 9 of 36 Passaic City Council June 21, 2022 Minutes PUBLIC MEETING OF THE CITY COUNCIL OF THE CITY OF PASSAIC WAS CONDUCTED AS A LIVE STREAM VIA FACEBOOK BE IT FURTHER RESOLVED that the Mayor and City Clerk and/or the Chairman and Secretary of the Passaic Enterprise Zone Development Corporation as deemed appropriate by the NJ UEZA are authorized to sign the application, and that they or their successors in said titles are authorized to sign the agreement and any other documents necessary in connection therewith: CITY OF PASSAIC RESOLUTION NO. 22-06-143 RESOLUTION AUTHORIZING THE SUBMISSION OF AN APPLICATION, ACCEPTANCE OF A GRANT, EXECUTION OF AN AGREEMENT AND EXPENDITURE OF FUNDS FOR CLEAN SWEEP PROGRAM TO THE NJ URBAN ENTERPRISE ZONE AUTHORITY WHEREAS, the City of Passaic throughout the Passaic Enterprise Zone Development Corporation (PEZDC) desires to apply for and obtain a grant from the NJ Department of Community Affairs for approximately $522,500 to fund an effort to keep the business corridors of the City pristine via a daily clean-up routine; and WHEREAS, the PEZDC Board of Trustees at their meeting of June 15, 2022 approved resolution to submit a grant application for the Clean Sweep Grant to the NJ Urban Enterprise Zone Authority in the amount of $522,500 for a program providing full year and seasonal workers to keep the business districts of the City clean, through an effort with the Downtown Merchants Corporation administered by the Passaic Enterprise Zone Development Corporation for the period September 1, 2022 to December 31, 2023; and WHEREAS, the cleaning and maintenance of commercial corridors is an activity referenced in the UEZ legislation and is highly valued by the Passaic business community; Page 10 of 36 Passaic City Council June 21, 2022 Minutes PUBLIC MEETING OF THE CITY COUNCIL OF THE CITY OF PASSAIC WAS CONDUCTED AS A LIVE STREAM VIA FACEBOOK WHEREAS, the UEZA also requires the municipal approval of the submission, acceptance and expenditure of grant funds; and NOW, THEREFORE BE IT RESOLVED that: (1) the City Council of the City of Passaic does hereby authorize the application for a Clean Sweep Grant in the amount of $522,500; and (2) recognizes and accepts that the Department may offer a lesser or greater account and therefore upon receipt of the grant agreement from the NJ Department of Community affairs, does further authorize the execution of any such grant agreements; and also , upon receipt of the fully executed agreement from the Department, does further authorize the expenditure of funds pursuant to the terms of the agreement between the Passaic Enterprise Zone Development Corporation and the New Jersey Department of Community Affairs. BE IT FURTHER RESOLVED that the Mayor and City Clerk and/or the Chairman and Secretary of the Passaic Enterprise Zone Development Corporation as deemed appropriate by the NJ UEZA are authorized to sign the application, and that they or their successors in said titles are authorized to sign the agreement and any other documents necessary in connection therewith: CITY OF PASSAIC RESOLUTION NO. 22-06-144 RESOLUTION AUTHORIZING THE SUBMISSION OF AN APPLICATION, ACCEPTANCE OF A GRANT, EXECUTION OF AN AGREEMENT AND EXPENDITURE OF FUNDS FOR THE MARKET STREET LIGHTING PROJECT TO THE NJ URBAN ENTERPRISE ZONE AUTHORITY WHEREAS, the City of Passaic throughout the Passaic Enterprise Zone Development Corporation (PEZDC) desires to apply for and obtain a grant from the NJ Department of Community Affairs for approximately $220,000 to purchase and install new lighting in the Market Street Commercial Corridor; and Page 11 of 36 Passaic City Council June 21, 2022 Minutes PUBLIC MEETING OF THE CITY COUNCIL OF THE CITY OF PASSAIC WAS CONDUCTED AS A LIVE STREAM VIA FACEBOOK WHEREAS, the PEZDC Board of Trustees at their meeting of June 15, 2022 approved resolution to submit a grant application for the Market Street Lighting Project the NJ Urban Enterprise Zone Authority in the amount of $220,000; and WHEREAS, infrastructure improvements in the UEZ Zone is an activity referenced in the UEZ legislation and is highly valued by the Passaic business community; WHEREAS, the UEZA also requires the municipal approval of the submission, acceptance and expenditure of grant funds; and NOW, THEREFORE BE IT RESOLVED that: (1) the City Council of the City of Passaic does hereby authorize the application for a Market Street Lighting Project grant in the amount of $200,000; and (2) recognizes and accepts that the Department may offer a lesser or greater account and therefore upon receipt of the grant agreement from the NJ Department of Community affairs, does further authorize the execution of any such grant agreements; and also , upon receipt of the fully executed agreement from the Department, does further authorize the expenditure of funds pursuant to the terms of the agreement between the Passaic Enterprise Zone Development Corporation and the New Jersey Department of Community Affairs. Community & Policy Advisors BSI Consulting Philadelphia, PA Waynesboro, PA New York, NY Cloudburst Consulting Group, Inc. Landover, MD WHEREAS, it is the recommendation of Ronald VanRensalier, Director of Community Development, that the contract for CDBG AND HOME Consultant be awarded to RES Advisors, Paoli, PA as per the attached hourly rate schedule in an amount not to exceed $50,000.00 for the period July 1, 2022 through June 30, 2023. NOW THEREFORE BE IT RESOLVED by the City Council of the City of Passaic that the contract for CDBG AND HOME Consultant be awarded to RES Advisors, Paoli, PA as per the attached hourly rate schedule in an amount not to exceed $ 50,000.00 for the period July 1, 2022 through June 30, 2023.
