MINUTES Mayor and Council Special Meeting Wednesday, November 2, 2022 7:00 P.M. CALL TO ORDER – A Special Meeting of the Mayor and Council of the Borough of River Edge was held virtually via Zoom. The meeting was called to order at 7:00 p.m. by Mayor Thomas Papaleo. SILENT PRAYER – FLAG SALUTE Mayor Papaleo asked for a moment of silence for this country as it enters into a period of elections and expressed hope for respectful debate and a fair and free election. He then led those present in a salute to the flag. STATEMENT – Mayor Papaleo read the Statement of Compliance into the record as follows: Statement of Compliance with Open Public Meeting Act: This meeting complies with the Open Public Meeting Act by notification on January 7th of this location, date and time to the Town News and the Record and by posting of same on the municipal bulletin board and Borough Web Site and filing a notice of the same with the Municipal Clerk. Notice of this meeting via the October 25, 2022 Sunshine Notice containing the time, date and access information was sent to the Record and Town News and was posted on the bulletin board and Borough website. ROLL CALL PRESENT: Councilman Chinigo, Councilwoman Kaufman, Councilwoman Kinsella, Councilwoman Malellari and Mayor Papaleo. ABSENT: Councilwoman Busteed and Councilwoman Montisano-Koen ALSO PRESENT: Borough Administrator Lissette Aportela Borough Attorney Thomas Sarlo, Esq. PUBLIC COMMENT Motion by Council President Kaufman, second Councilwoman Kinsella, and all members present voting in favor, to open the floor to the public. No one came forward. There being no public comments, on a motion by Councilwoman Kinsella, second by Council President Kaufman, and all present voting in favor, to close to the public. RESOLUTIONS - By Consent a. #22-311 Authorize Issuance of a Purchase Order – Planting of Street Trees b. #22-312 Award Contract – River Edge Borough Hall Selective Demotion c. #22-313 Approve Service Agreement – Medical Examinations for Crossing Guards d. #22-314 Approve Change Order #2 – 2021 ADA Ramps at Various Locations Motion by Council President Kaufman, second by Councilwoman Kinsella, that the Consent Agenda be approved. On a roll call, the vote was recorded as follows: Councilwoman Busteed: absent Councilwoman Kinsella: aye Councilman Chinigo: aye Councilwoman Malellari aye Council President Kaufman: aye Councilwoman Montisano-Koen: absent #22-311 Authorize Issuance of a Purchase Order Planting of Street Trees WHEREAS, the planting of street trees was authorized in the 2022 budget; and  WHEREAS, the Chairperson of the Shade Tree Commission, Liz Stewart has solicited quotes for this project from three vendors and has recommended that a purchase order be issued to Shade Trees Nursery, Inc. based on the quote received for a total cost of $42,700 ($39,200 for the trees and $3,500 for delivery); and WHEREAS, Lou Caracciolo, President of Shade Trees Nursery, Inc. has completed and submitted a Business Entity Disclosure Certification which certifies that he and his company have not made any contributions to any political or candidate committee in the Borough of River Edge in the previous one year that would render him ineligible to be awarded this contract, and that the proposed contract prohibits him and his company from making any such reportable contributions through the term of the contract; and WHEREAS, Chief Financial Officer Chris Battaglia has advised that funding is available for this purchase. NOW THEREFORE BE IT RESOLVED by the Mayor and Council of the Borough of River Edge that the Finance Department is authorized to issue a purchase order for the Planting of Shade Trees within the Borough of River Edge project to Shade Trees Nursery, Inc. having its principal office at PO Box 820 in Jamesport, NY 11947 based on the quote submitted on September 12, 2022, in the amount of $42,700.00. ******** #22-312 Award Contract – River Edge Borough Hall Selective Demolition WHEREAS, on Wednesday, October 19, 2022, at 11:00 a.m., three bids were submitted at the date and time specified for the River Edge Borough Hall Selective Demolition Project and the Borough Administrator did open and read each bid aloud; and WHEREAS, the Borough Architect has reviewed the bid as submitted Skopye, LLC, in the amount of $228,000.00, and has recommended the base bid be awarded to Skopye, LLC.; and WHEREAS, Chief Financial Officer Chris Battaglia has certified funds are available for this project. NOW THEREFORE BE IT RESOLVED by the Mayor and Council of the Borough of River Edge that a contract for the River Edge Borough Hall Selective Demolition Project shall be awarded to with Skopye, LLC located at 40 Henry Road in Newton, NJ 07860 in the amount of $228,000.00 based on the bid, submitted on October 19, 2022; and BE IT FURTHER RESOLVED that the Mayor and Borough Clerk are hereby authorized to sign said contract on behalf of the Borough of River Edge. ******** #22-313 Approve Service Agreement – Medical Examinations for Crossing Guards WHEREAS, the River Edge Police Department needs to provide vision and hearing testing to twenty (20) Borough crossing guards according to the schedule set forth by the Municipal Excess Liability Joint Insurance Fund; and WHEREAS, WorkPlace Connection of the Valley Medical Group is prepared to administer the exams for a cost of $135 per exam to be conducted at their Waldwick facility; and WHEREAS, the Chief Financial Officer has certified funds are available for this service. NOW, THEREFORE, BE IT RESOLVED that the Mayor and Council of the Borough of River Edge hereby approve the Service Agreement for Crossing Guard Exams with WorkPlace Connection of Valley Medical Group whose principal office is located at 15 Essex Road, Suite 206, Paramus, NJ 07652. BE IT FURTHER RESOLVED that Borough Administrator is hereby authorized to execute said Service Agreement on behalf of the Borough of River Edge. #22-314 Approve Change Order #2 – 2021 ADA Ramps at Various Locations WHEREAS, via resolution #R22-112, adopted March 14, 2022, the Mayor and Council awarded a contract for the 2021 ADA Ramps at Various Locations Project to Vektor Corporation, Inc., in the amount of $158,055.00; and WHEREAS, N.J.A.C. 5:34-4.7 permits change orders for construction, reconstruction and major repair contracts; and WHEREAS, there is a need to consider Change Order No 2 due to a decrease in quantities which resulted in a decrease of $9,397.00; and WHEREAS, the total amount of change orders approved to date including this change order do not exceed the originally awarded contract price by more than 20 percent; and WHEREAS, Change Order No. 2 had been reviewed and approved by the Borough Engineer. NOW THEREFORE BE IT RESOLVED by the Mayor and Council of the Borough of River Edge that it does hereby authorize Change Order No. 2, a copy of which is attached hereto. BE IT FURTHER RESOLVED that the Borough Administrator is hereby authorized to execute Change Order #2. BE IT FURTHER RESOLVED that this Change Order shall decrease the final contract price from $156,145.00 to $146,748.00 ******** #22-315 Payment of Bills Council President Kaufman read resolution #22-315 into the record: At a Regular Meeting of the Mayor and Council of the Borough of River Edge, County of Bergen, State of New Jersey, held on November 2, 2022. BE IT RESOLVED, that the Mayor and Council of the Borough of River Edge approve the following expenditures. CURRENT FUND $7,978,059.87 GRANT FUND $ 8,156.10 TRUST OTHER FUND $ 143.82 PAYROLL FUND $ 217.81 DEVELOPER’S ESCROW FUND $ 1,185.00 SELF INSURANCE TRUST FUND $ 17,730.69 RECREATION TRUST FUND $ 3,014.50 Motion by Council President Kaufman, second by Councilman Chinigo, that Resolution #22-315 be approved.
