Richardson Ave. Roswell, NM 88201 DRAFT DOCUMENT REGULAR MEETING AT 4:00 p.m. Notice of this meeting was given to the public in compliance with Sections 10-15-1 through 10-15-4, NMSA 1978 and Resolution 21-7. A. CALL TO ORDER Board Chair Liakos called the meeting of the Board of Trustees to order at 4:03 p.m. B. ROLL CALL The meeting of the Board of Trustees convened with members Cymantha Liakos, Donovan Fulkerson, Kyle Bayless, Pricilla Ornelas, Valli West, Lorrina Segovia, Tim Hartwick, Kate Griffo Huebner and Elisa Begueria being present. A quorum was established with members Anne Baker and Kay Cargill Jenkins being absent. City Council members present: Barry Foster. Staff present: Caroline Brooks, Executive Director, Aaron Wilder, Curator of Collections and Exhibitions, Rachelle Diaz, Public Programs Manager, Cloe Medrano, Registrar, and Amber Smith, Operations Manager. Community members present: Cindy Torrez, Director, RMAC Foundation. C. APPROVAL OF AGENDA Member Segovia motioned to approve the agenda. Member West seconded. A voice vote was 9-0 and the motion passed with members Baker and Jenkins being absent. D. APPROVAL OF November 15, 2021 MINUTES Member West motioned to approve the minutes for the November 15, 2021 meeting. Member Ornelas seconded. A voice vote was 9-0 and the motion passed with members Baker and Jenkins being absent. ACTION ITEMS E. Discuss and Vote for Officers Member West expressed interest in serving as Vice Chair. Liakos said she could continue serving as Chair through the end of her term, which ends on March 31, 2023. Members West and Liakos left the room so members could discuss and vote. Member Ornelas made a motion to elect West as Vice Chair. Member Segovia seconded. A voice vote was 7-0 and the motion was passed with members Baker and Jenkins being absent and members West and Liakos not being present for the vote. Member Begueria made a motion to re-elect Liakos as Chair. Member Hartwick seconded. A voice vote was 7-0 and the motion was passed with members Baker and Jenkins being absent and members West and Liakos not being present for the vote. FOR THE RECORD: Member Baker arrived at 4:10 p.m. INFORMATION ONLY F. DIRECTOR’S REPORT: See Attached Director Brooks noted that although visitation in 2021 was lower than past years, revenue is the same due to admission fees enacted in January of 2021. Although the museum lost a few members in 2021, it gained new members so membership numbers were about the same at the end of 2021 as they were at the beginning. She remarked that the new art exhibitions and planetarium shows launched this month have been well-received. The museum is in the process of moving forward with the renovation of the lobby, relocation of the museum store to what is currently the Spring River Gallery, conversion of the current store location to a family gallery, new flooring as well as new signage. Director Brooks is in touch with an architect on all projects. G. RMAC FOUNDATION REPORT RMAC Foundation Director Cindy Torrez recapped their fundraising events for 2021. A Christmas card annual appeal went out at the end of December. H. CHAIR’S REMARKS AND BOARD ANNOUNCEMENTS Liakos explained the purpose of mission-driven acquisitions as stated to the museum’s mission statement. Torrez reminded members that the RMAC Foundation does not accept donations of art. Donor inquiries are referred to museum staff. Curator Wilder mentioned that he is collecting signatures on documents to acquire works that were presented and approved at the November meeting. He stated that only members who attended the November meeting should sign. I. PUBLIC COMMENT None. J. ADJOURN Member Baker motioned to adjourn the meeting. Member Begueria seconded. A voice vote was 10-0 and the motion passed with member Jenkins being absent.
