Richardson Ave. Roswell, NM 88201 DRAFT DOCUMENT REGULAR MEETING AT 4:00 p.m. Notice of this meeting was given to the public in compliance with Sections 10-15-1 through 10-15-4, NMSA 1978 and Resolution 21-7. CALL TO ORDER Board Chair Liakos called the meeting of the Board of Trustees to order at 4:01 p.m. B. ROLL CALL The meeting of the Board of Trustees convened with members Cymantha Liakos, Donovan Fulkerson, Kyle Bayless, Pricilla Ornelas, Valli West, Lorrina Segovia, Kay Cargill Jenkins and Anne Baker being present. A quorum was established with members Kate Griffo, Elisa Begueria and Tim Hartwick being absent. City Council members present: Barry Foster, absent. Staff present: Caroline Brooks, Executive Director, Aaron Wilder, Curator of Collections and Exhibitions, Cloe Medrano, Registrar, and Jessica Parham, Educator. Community members present: Cindy Torrez, Director, RMAC Foundation. C. APPROVAL OF AGENDA Member Jenkins motioned to approve the agenda. Member West was the second. A voice vote was 8-0 and the motion passed with members Foster, Griffo, Begueria and Hartwick being absent. D. APPROVAL OF January 24, 2022 MINUTES Member Banker motioned to approve the minutes for the January 24, 2022 meeting. Member West was the second. A voice vote was 8-0 and the motion passed with members Foster, Griffo, Begueria and Hartwick being absent. ACTION ITEMS E. Discuss and Vote for Officers: See Attached The board chair moved amend the agenda item. Action was taken at last meeting. Member Banker motioned to approve amending the agenda. Member Fulkerson was the second. A voice vote was 8-0 and the motion passed with members, Griffo, Begueria and Hartwick being absent. F. Consider approval of addendum to Susan and David Hill donation, previously approved November 15, 2021 One of the previously approved donation was missed labeled and given to another museum. Member Banker motioned to approve the addendum to Susan and David Hill donation, previously approved November 15, 2021. Member Segovia was the second. A voice vote was 8-0 and the motion passed with members Foster, Griffo, Begueria and Hartwick being absent. G. Consider approval of addendum to Art Rosenberg donation, previously approved November 15, 2021 The Rosenberg’s decided to keep two works of art which were previously approved for donation. These works are Janet Lippincott, “Indian Ritual” and Helen Sturges Nadler,“Sandia Evening”. Member Banker motioned to approve the addendum to Art Rosenberg donation, previously approved November 15, 2021. Member Segovia was the second. A voice vote was 8-0 and the motion passed with members Foster, Griffo, Begueria and Hartwick being absent. H. Consider approval of donation by William Atha of untitled painting by Peter Hurd This gift is a still life painting by Peter Hurd. Member Jenkins motioned to approve donation by William Atha of untitled painting by Peter Hurd. Member Ornelas was the second. A voice vote was 8-0 and the motion passed with members Foster, Griffo, Begueria and Hartwick being absent. I. Consider approval of donation by Susan and David Hill of works by Sam Scott and Steve Catron This gift of four works by two artists, Steve Carton and Sam Scott. Member Fulkerson motioned to approve donation by Susan and David Hill of works by Sam Scott and Steve Catron. Member Baker was the second. A voice vote was 8-0 and the motion passed with members Foster, Griffo, Begueria and Hartwick being absent. J. Consider approval of donation by Alice and Jerry Kruse of artwork by Patrick Mehaffy This gift of two works by artist Patrick Mehaffy. A discussion was had on regarding storage of these two sculptor. Member Ornelas moved to deny the request of donation by Alice and Jerry Kruse. Member Jenkins was the second. A voice vote was 8-0 and the motion passed with members Foster, Griffo, Begueria and Hartwick being absent. K. Consider approval of donation by artist Alan Paine Radebaugh of his artwork This gift of five works by Alan Paine Radebaugh. Member West motioned to approve donation by artist Alan Paine Radebaugh. Member Jenkins was the second. A voice vote was 8-0 and the motion passed with members Foster, Griffo, Begueria and Hartwick being absent. L. Discuss and consider approval of temporary strategic planning working group A discussion is had and Bayless, Liakos, Baker, and Segovia volunteered to be part of the strategic planning working group. Member Baker motioned to approve a temporary strategic planning working group. Member Segovia was the second. A voice vote was 8-0 and the motion passed with members Foster, Griffo, Begueria and Hartwick being absent. M. Discuss and consider approval of temporary membership working group A discussion is had and Liakos and Baker volunteered to be part of the membership working group. Member Jenkins motioned to approve a temporary membership working group. Member West was the second. A voice vote was 8-0 and the motion passed with members Foster, Griffo, Begueria and Hartwick being absent. INFORMATION ONLY ITEMS N. DIRECTOR’S REPORT: See Attached Director Brooks noted that visitation in January was lower than past years, revenue is the same due to admission fees enacted in January of 2021. She remarked that the new art exhibitions and drop-in activities (sew crafty and table top) launched this month have been well-received. She further remarks the Public Programs Manager position is currently open. The museum is in the process of moving forward with the renovation of the lobby, relocation of the museum store to what is currently the Spring River Gallery, conversion of the current store location to a family gallery, new flooring as well as new signage. Director Brooks is in touch with an architect on all projects. O. RMAC FOUNDATION REPORT RMAC Foundation Director Cindy Torrez recapped their fundraising events planning for 2022. The foundation is planning on having an event in the fall. P. CHAIR’S REMARKS AND BOARD ANNOUNCEMENTS Curator Wilder mentioned that he is collecting signatures on documents to acquire works that were presented and approved at the February meeting. Q.
