Call to Order & Roll Call 7 President Bell called the meeting to order at 6:00 PM on Tuesday, February 17, 2026. 8 9 Present: President Nate Bell and trustees Denise Bhirdo, Louise Howson, Kurt Harff, Patrice 10 Champeau, and Brigid White. 11 12 Staff: Village Administrator Benjamin Andrews, Finance Specialist/Treasurer Vlad Gannik, Village 13 Clerk Julie Thyssen. Motion carried - all ayes. 21 22 3. Approve Meeting Minutes 23 a. January 20, 2026 24 Motion by Howson, seconded by Harff to approve the minutes as presented. Motion carried - all ayes. 25 26 4. Comments, Correspondence, and Concerns from the Public 27 Representatives from Door County Trails presented information about their comprehensive 28 countywide trail transportation network initiative. They are developing a high-level strategic plan 29 connecting communities throughout Door County and will be asking municipalities to review a draft 30 plan in late March with the goal of collecting resolutions of support from all 19 municipalities by 31 May. They requested that Sister Bay appoint two municipal liaisons to interact with Door County 32 Trails. The organization will send a survey link for distribution. 33 34 5. Ordinances & Resolutions 35 a. Ord. 2026-003; Amending Ch. 66 of the Municipal Code, Zoning 36 The Board discussed proposed amendments to Chapter 66 of the Municipal Code that had been 37 previously reviewed by the Planning Commission. Concerns were raised about the restriction on 38 string lights that would prohibit white Christmas lights. The Board determined that section 66.0809 39 item 4 regarding string lights was overly restrictive. 40 41 Motion by White, seconded by Howson to approve the zoning amendments as presented with the 42 removal of item 4 in section 66.0809 regarding string lights. Motion carried 4-2 with Harff and Bell 43 opposed. 44 45 b. Res. 2026-001; 2025 Budget Amendment and Year-End Review of Finances 46 Treasurer Gannik explained that budget amendment was necessary to reallocate funds between 47 categories while maintaining a net-zero impact on the overall budget. This proactive approach would 48 avoid having auditors make these corrections later at additional cost. 49 50 Motion by White, seconded by Bell to adopt Resolution 2026-001 approving the 2025 budget 51 amendment. Lease Agreement; Marina Boathouse; Historical Society; 10697 Bay Shore Drive 4 The Board reviewed three payment options for the lease agreement with the Historical Society. 5 After discussion of the financial implications of each option, the Board determined the compound 6 CPI percentage option was most appropriate as it had been recommended by both the Finance 7 Committee and Marina Committee. 8 9 Motion by Howson, seconded by Champeau to approve the lease agreement using the compound CPI 10 percentage formula subject to final review and approval by legal counsel. Motion carried 5-1 with 11 Bhirdo opposed. 12 13 b. Operational Agreement; Waterfront Museum; Historical Society; Marina Boathouse at 10697 14 Bay Shore Drive 15 The Board discussed the operational agreement which required minor revisions to match the 16 surrender and termination language in the lease agreement. 17 18 Motion by Bell, seconded by White to approve the operational agreement with modifications to 19 include revised surrender and termination language consistent with the lease agreement. Motion 20 carried - all ayes. 21 22 c. Marina Building Project; Proposal for Geotechnical Engineering Services; Professional Service 23 Industries, Inc. 24 Andrews explained that Geotechnical Engineering Services are necessary for the marina building 25 project to ensure proper foundation design. The proposed cost of $4,825 falls within the anticipated 26 budget range and would be covered under the marina's building maintenance fund. 27 28 Motion by Howson, seconded by White to accept PSI's proposal for geotechnical engineering services 29 as presented. Motion carried - all ayes. 30 31 d. By-Law Review; Committee By-Laws 32 The Board conducted a review of the committee bylaws. Several amendments were discussed 33 including: 34 • Adding a date for budget submission in section 7 35 • Clarifying language regarding attendance at executive sessions 36 • Updating the finance director title to village treasurer throughout the document 37 • Removing the time limitations on the Parking Task Force and Holiday Lighting Task Force 38 • Disbanding the Village Administration Building Review Task Force which has completed its 39 mission 40 41 The Board agreed to bring back the revised bylaws for formal approval at a future meeting. 42 43 e. Hwy 57 Trail Project; Proposed Contract Amendment Nos. 2 and 3; Robert E. Lee and Associates 44 Andrews presented contract amendments for the Highway 57 Trail project totaling $48,500, which 45 would bring the total engineering services cost to approximately $122,000. The amendments include 46 wetland delineation, hazardous material assessments, right-of-way plans for 12 parcels, and ADA 47 compliant crossings. The Board discussed concerns about landowner notifications regarding 48 easements and agreed that communication with property owners should be prioritized before 49 offering payments. 50 2  Minutes of the February 17, 2026 Meeting of the Village Board of Trustees – Approved as Amended 1 Motion by White, seconded by Bell to approve contract amendment numbers 2 and 3 for the 2 Highway 57 Trail project. Motion carried - all ayes. 3 4 f. Consideration and Possible Action on Issuance of a Class "C" Wine License to Blush Bridal Salon, 5 2521 S Bay Shore Dr, License Valid Until June 30, 2026 6 The owner of Blush Bridal Salon explained that the business provides a bridal suite where hair and 7 makeup services are performed. The wine license would allow them to offer mimosas to bridal 8 parties while they prepare for weddings. 9 10 Motion by White, seconded by Howson to approve the Class "C" Wine License for Blush Bridal Salon. 11 Motion carried - all ayes. 12 13 g. Monthly Financial Report & Appropriations 14 The Board reviewed monthly expenditures. Questions were raised about United Airlines tickets (for 15 marina conference), website hosting fees, and ongoing attorney fees related to a previous issue. 16 17 Motion by Bell, seconded by White to approve payment of bills in the amount of $204,615.58. Motion 18 carried - all ayes. 19 20 7. Staff Reports 21 Andrews provided updates on: 22 • Triangle reconstruction project progress with the Parks Committee 23 • Highway 57 Trail project timeline 24 • Future administration building on Mill Road and upcoming public informational meeting on 25 March 2 26 • Pickleball policy updates including new reservation limitations and increased court fees 27 • Facility rental fees for nonprofits 28 • TIF incentives policy development 29 • Highway 57 utility extension project review by Finance Committee 30 31 8. Committee Reports 32 The Board reviewed reports from all committees. Questions were raised about pending items 33 including: 34 • DNR clarification on park encumbrances 35 • Fiber optic bond recommendation from Finance 36 • Bus grant update status 37 38 Motion by Bell, seconded by White to accept the committee reports. Motion carried - all ayes. 39 40 9. Matters to be Placed on a Future Agenda or Referred to a Committee, Official or Employee 41 Logerquist property maintenance to be referred to Parks Committee. Fiber optic bond 42 recommendation to be discussed in closed session at an upcoming Finance Committee meeting. 43 44 10. Next Meeting 45 The Board agreed to move the next meeting from March 17th to March 24th at 6:00 PM due to 46 Spring Break schedules.
