(Council District 5) Planning Commission held a public hearing and made a recommendation for approval at their meeting on December 19, 2022. Planning & Development Committee deferred their recommendation at last month’s meeting. b. Petition by Ayako and Terry W. Richburg to annex Dorchester County TMS# 152-01-02-007, 13.24 acres located at 116 Flood Heirs Road, currently zoned R-1, Single-Family Residential, in Dorchester County and will be zoned UC-MX, Urban Corridor Mixed-Use, upon annexation into the Town of Summerville’s municipal limits. (Council District 5) Planning Commission held a public hearing and made a recommendation for approval at their meeting on December 19, 2022. Planning & Development Committee deferred their recommendation at last month’s meeting. c. Request to rezone TMS#137-09-01-057, located on Central Avenue, approximately 2.98 acres, and owned by 725 Central LLC, from PUD, Planned Development District, to N-B, Neighborhood Business. (Council District 1) Planning Commission held a public hearing and made a recommendation for approval at their meeting on January 23, 2023. d. Petition by Dorchester County Community Outreach to annex TMS#146-14-00-009, located on Jamison Road and totaling approximately 3.45 acres. Currently zoned CG, General Commercial, in Dorchester County and will be zoned G-B, General Business, upon annexation in the Town of Standing Committee Meetings Agenda - February 6, 2023 Page 2 Summerville’s municipal limits. (Council District 3) Planning Commission held a public hearing and made a recommendation for approval at their meeting on January 23, 2023. e. Request to rezone TMS#136-12-04-112, 629 Parkwood Drive, approximately 0.38 acres, and owned by James C. and Tina J. Horne, from GR-5, General Residential (5 units/acre), to N-B, Neighborhood Business. (Council District 1) Planning Commission held a public hearing and made a recommendation for approval at their meeting on January 23, 2023. 3. Public Safety Committee: Bill McIntosh (Chair), Terry Jenkins, Aaron Brown Staff Liaisons: Chief Doug Wright and Chief Richard Waring a. Police Department update b. Memorandum of Understanding between SPD and North Myrtle Beach Police Department for manpower assistance during the Memorial Day weekend for their Atlantic Beach Bike Festival. All costs are 100% reimbursable to the Town of Summerville. c. Fire Department update 4. Presentation of January 2023 financial reports – Rhonda Moore, Finance Director b. Authorization to award the bid and issue a purchase order for $20,948,175 to Blythe Development Company for the construction of the Maple Street Extension Project pending execution of the IGA between the Town of Summerville and Dorchester County. Funds will come from proceeds from the Midtown Tax Increment Finance District and Dorchester County tax referendum proceeds. c. Authorization to issue a purchase order for Michael Baker, Inc for $40,000 to conduct environmental survey relating to the Rafinesque’s Big Eared Bat and utility coordination work for the Maple Street project. Funds will come from proceeds from the Mid-Town TIF. d. Authorization to issue a purchase order in the amount of $79,124 to GeoComm Dispatch 911 Mapping System, the initial purchase and service agreement is 100% reimbursable through the state's 911 funds. Request from Police Department – Communications. e. Discussion and Consideration of Proposed Capital Purchases (FY23) f. Approval of a Utility Agreement with the Summerville Commissioner of Public Works for utility relocations related to the Maple Street Extension project. g. Approval of Memorandum of Agreement with Dorchester County Water and Sewer for Sewer relocations related to the Maple Street Extension project. h. Adjourn from Finance Committee MEMORANDUM OF UNDERSTANDING BETWEEN TOWN OF SUMMERVILLE AND SUMMERVILLE PARKS FOUNDATION This Memorandum of Understanding (“MOU”) is made by and between the Town of Summerville (“Town”) and Summerville Parks Foundation, a not-for-profit 501C-3 corporation located in Summerville, SC (“Foundation”). WHEREAS, the Town through its Parks and Recreation Department (“Department”) owns, operates and maintains real estate, buildings, and other recreation facilities, and operates a wide variety of parks and recreation programs and services; and WHEREAS, the Department’s mission is to improve the quality of life and overall wellness of residents through the creation and provision of safe, healthy, beautiful, and harmonious park facilities and diverse leisure opportunities in a sustainable and fiscally responsible manner; and WHEREAS, the Foundation was formed in 2023 and was incorporated for the purpose of supporting the vision and goals of the Department; and WHEREAS, the primary purpose of the Foundation is to enhance our community’s quality of life above and beyond the Department’s normal operating budget in support of the Department’s programs, services and facilities; and WHEREAS, the Foundation operates as a legal entity separate from the Town and is governed by an independently elected Board of Directors, none of whom are Town employees or member of Town Council; and WHEREAS, the Foundation and the Town wish to assure the continued success and prosperous growth of the Department by memorializing the responsibilities and obligations of the Foundation and the Town. THEREFORE, in consideration of the mutual efforts to support the development of the Department, the Town and the Foundation agree as follows: Section 1. Operating Procedures A. The Foundation shall communicate the following information to prospective donors: 1. The Foundation is a separate, legal entity organized for the purpose of encouraging voluntary, private gifts, trusts, and bequests for the benefit of the Department. 2. Responsibility for governance of the Foundation, including investment of gifts and endowments, resides with the Foundation’s Board of Directors. 1 3. Charitable gifts from donors to the Foundation in support of any of the Department’s programs, services or facilities should be made to the Foundation, and not to the Town or the Department. 4. Any gift made for a designated purpose will be dedicated in its entirety to that purpose unless (a) it is specifically understood by the donor when the gift was made, or subsequently agreed to by the donor in writing, that an administrative charge will be applied or that the gift can be used for another purpose if the original purpose has been satisfied or (b) the Department objects to the designated purpose of the gift. B. The Foundation agrees that in accepting gifts of all kinds, the Foundation shall: 1. Advise donors that any restrictive terms and conditions the donor attaches to gifts for the Department are subject to the Department’s approval. 2. Ensure that gifts designated for specific purposes are in compliance with the Department’s master plans, vision, mission and philosophy before accepting the gift. 3. Coordinate its funding goals, programs, and campaigns with the Department. 4. Receive prior written approval from the Town Council or its designee for any gift, grant, or contract that includes a financial or contractual obligation binding upon the Town. C. The Foundation shall be responsible for reporting to a donor regarding the use of the donor’s funds. D. In return for the Foundation’s contributions to and support of the Department and its programs, the Town shall assist the Foundation in the following manner: 1. At the discretion of the Director of Parks and Recreation, and consistent with applicable federal, state, and local law, and Town policies and administrative directives, the Town shall provide the Foundation with assistance as follows: a. Department shall provide a staff liaison to the Foundation; b. Department shall provide space for the Foundation’s meetings, official business, and activities; c. Assist the Foundation by suggesting potential donors to the Foundation. d. Allow the Foundation to use the name and images of the Department. The Foundation shall not be permitted to use the Town’s Seal. Section 2. Record Keeping A. The Town and the Foundation acknowledge and agree that the Foundation correspondence, financial records, and all Foundation documents are the property of the Foundation and shall be kept separate and apart from all Town records. B. The Foundation shall keep on file with the Town updated copies of all its enabling documents, including its articles of incorporation, bylaws, and any amendments to thereto. The Foundation shall provide the Town with a copy of its IRS Form 990 (Return of Organization Exempt from Income Tax) without accompanying documentation providing information concerning any specific Foundation donor. 2 C. The Foundation should provide annually to the Town a financial report. The financial report shall be provided to the Town on or before June 30 of each year during this MOU, but shall not include any information regarding individual Foundation donors. Section 3. Independent Contractors In the performance of this MOU, both the Town and Foundation will be acting in an individual capacity and not as agents, employees, partners, or joint venturers or associates of one another. The agents or employees of one shall not be construed to be the agents or employees of the other. Town employees shall remain employees of the Town notwithstanding the fact that they may assist the Foundation. Section 4. Term The initial term of this MOU will be for five (5) years, effective February 9, 2023 through February 8, 2028. This MOU may be renewed for additional five-year terms with the written consent of both parties. Section 5. Dispute Resolution The parties agree that if there is a dispute as to any provision of this MOU or if either party materially breaches or fails to perform its obligations under this MOU, the other party may give notice in writing of the dispute or material breach. The parties agree to meet to resolve the dispute or material breach within thirty (30) days of receipt of the notice. If the parties fail to resolve the dispute withing sixty (60) days of such notice or such longer period, if agreed to in writing by the parties, the parties agree to bring in a mediator to resolve the dispute. Section 6. Notice Any notice or notices required or permitted to be given pursuant to this MOU shall be given by certified mail, postage prepaid, return receipt required, as follows: To the Town: Director of Parks and Recreation 200 S Main St Summerville, SC 29483 To the Foundation: President, Summerville Parks Foundation 687 W Butternut Rd Summerville, SC 29483 Section 7. Termination 3 This MOU may be terminated by either party by delivering written notice of termination to the not-terminating party at least ninety (90) days prior to the effective date of any termination. Section 8. Governing Law and Venue This MOU shall be deemed to be a South Carolina contract and shall be governed as to all matters whether of validity, interpretations, obligations, performance or otherwise exclusively by the laws of the State of South Carolina, and all questions arising with respect hereto shall be determined in accordance with such laws. Regardless of where actually delivered and accepted, this MOU shall be deemed to have been delivered and accepted by the parties in the State of South Carolina. The Foundation shall comply with all federal, state, and local statues, ordinances, ad regulations now in effect or thereafter adopted, in the performance of its obligations set forth herein. Any and all suits for any claims or for any and every breach of dispute arriving out of this MOU shall be maintained in the appropriate court of competent jurisdiction in the State of South Carolina. Section 9. Mechanic’s Liens During the term of this MOU, the Foundation will promptly remove or release any mechanic’s or materialman’s lien attached to or on the subject property or any portion, by reason of any act or omission by the Foundation, its contractors, or agents in connection with the activities performed by the Foundation, and hold harmless the Town and its agents, employees, volunteers, servants, and officials from any such lien or claim of lien. This provision shall survive the termination, cancellation, or expiration of the MOU. Section 10. Severability Any provision of this MOU which is prohibited or unenforceable shall be ineffective only to the extent of such prohibition or unenforceability without invalidating the remaining provisions thereof. Section 11. Inclusion of Recitals The above recitals are incorporated herein to the same extent as if set out verbatim. Section 12. Entire Agreement The parties agree that this writing constitutes the entire agreement of the parties and that there may be no modification to this MOU except in writing, executed by the authorized representative of the Town and the Foundation.
