MOTION by Ludwig, 2nd by Hecimovich to approve SWIM’s proposed 2025-2027 budget for a
contract renewal.
MOTION to amend the motion by Soliday to include $21k annually for each year 2025-2027 to
SWIMS proposed figures to be allocated for social media management. 2nd by Graskey. Motion
passes.

MOTION by Soliday to move Item 4.4 up on the agenda. 2nd by Ludwig.

Amendment IV to the
Professional Services Agreement
Between the
City of Superior
And
Swim Creative, LLC
The City of Superior, State of Wisconsin, a municipal corporation existing by and
under the authority of the laws of the State of Wisconsin, through its Parks, Recreation &
Forestry Department (hereinafter referred to as the ‘City’) and Swim Creative, LLC,
(herein known as ‘Consultant’) are parties to an Agreement dated April 20, 2022, for
tourism marketing services for the City of Superior.
Both parties desire to amend the Agreement as follows:
1. Term
The term of this amendment shall be from January 1, 2025, through December 31, 2027,
unless terminated as otherwise provided in the Agreement. This agreement may be
extended in additional three (3) year increments, subject to mutual agreement of terms and
conditions, unless terminated earlier in accordance with the terms and provisions of this
agreement.
2. Services and Fees
Consultant shall provide the services as detailed in Attachment A to this Amendment, for a
not to exceed amounts of three hundred sixty-two thousand, one hundred four dollars
($362,104.00) for 2025; four hundred one thousand, five hundred ninety-seven dollars
($401,597.00) for 2026; and four hundred forty-six thousand, one hundred thirty-seven
dollars ($446,137.00) for 2027. In addition to the annual amounts, twenty-one thousand
dollars ($21,000.00) may be spent toward organic social media management. Such
payment shall be full compensation for services performed or services rendered and for all
labor, materials, supplies, equipment, and incidentals necessary to complete the services
for this Amendment. All other expenditures shall be the sole responsibility of the
Consultant.
Changes to services and/or fees must be agreed upon by both parties and acknowledged in
writing in an amendment and signed by both parties. If a request for services falls outside
of the not-to-exceed portion of the Services, Consultant must notify the City of Superior in
writing for prior approval. All other expenditures shall be the sole responsibility of the
Consultant.
All other terms and conditions of this agreement remain in full force and effect.
The parties, intending to be legally bound, have executed this amendment on the day and
year set forth below.
