WHEREAS, the City of Troy Department of Public Utilities (“DPU”) utilizes tractor- loader backhoes for water and sewer maintenance operations, and the backhoes are essential equipment for DPU operations; and WHEREAS, the DPU’s two secondary 2015 units are at end-of-life and experience frequent breakdowns, adversely impacting operational efficiency and causing delays; and WHEREAS, DPU wants to acquire two new 2025 backhoes to perform its everyday workload and will designate the currently employed 2020 units as secondary/backup machines, thereby improving overall reliability and efficiency of operations; and WHEREAS, the City of Troy is a member of the Sourcewell Cooperative Purchasing Consortium and can procure the two new 2025 tractor-loader backhoes at a 35% discount through Sourcewell Contract No. 011723-CNH-2 for a total purchase price of Two Hundred Forty-Five Thousand Eight Hundred One Dollars and Thirty Cents ($245,801.30), plus or minus any agreed purchase changes or further discounts, from Capital Tractor, Inc., a local heavy equipment dealer. NOW, THEREFORE, BE IT RESOLVED, that the Troy City Council hereby authorizes the Mayor to enter into a contractual agreement for the purchase of two 2025 tractor- loader backhoes for the City of Troy Department of Public Utilities from Capital Tractor, Inc., under Sourcewell Heavy Construction Equipment Contract #011723-CNH-2, the material terms of the agreement to be in substantial conformance with the agreements and quote attached hereto, subject to review and approval by Corporation Counsel, with such documents, terms, conditions, and provisions as Corporation Counsel may require for the protection of the City and the public. Morrissey, Acting Corporation Counsel  RES92 CITY OF Inter-Office Memorandum Date: August 12th, 2025 To: Troy City Council From: Andrew Golden, Maintenance Manager of Public Utilities Subject: Memorandum in Support of Equipment Purchase The Department of Public Utilities in their course of everyday work use a piece of equipment known as a tractor loader backhoe. This piece of equipment is essential for us to remain a successful and efficient department. The department currently has four backhoes of varying operational status. The water department and sewer department both have a primary and a secondary backhoe. The primary backhoes were purchased in 2020 and the secondary backhoes were purchased in 2015. The 2015 backhoes break down frequently and are at the end of their useful life. The new 2025 backhoes would take over the everyday workload and the backhoes that were purchased in 2020 would become the secondary machines. The cost of the two new machines is $245,801.30 We will be piggybacking on the Sourcewell contract to make this purchase. Morrissey, Acting Corporation Counsel RES93  RES94 RESOLUTION AUTHORIZING THE MAYOR TO ENTER INTO AN AGREEMENT WITH THE CITY OF COHOES FOR MAINTENANCE AND REPAIR OF LIGHTING AND LIGHTING FIXTURES ON THE 112TH STREET BRIDGE WHEREAS, the New York State Department of Transportation bridge over the Hudson River between the City of Cohoes and the City of Troy known as the 112th Street (Route 470) Bridge (hereinafter "the bridge") periodically requires maintenance, repair, and replacement of lighting and lighting fixtures; and WHEREAS, certain grant funds from the Dormitory Authority of the State of New York (“DASNY”) are available to be awarded to the Cities of Troy and Cohoes for replacement of the lighting and lighting fixtures on the bridge with new energy efficient fixtures; and WHEREAS, the City of Troy and the City of Cohoes have a mutual governmental interest in the maintenance and proper lighting of the bridge and desire to receive and utilize the available grant funds for that purpose; and WHEREAS, the City of Cohoes and the City of Troy have agreed to enter into an intermunicipal agreement as authorized by Article 5-G of the General Municipal Law to share equally the work and cost of repairing, maintaining, and replacing the lighting and lighting fixtures on the bridge after the grant funds are expended. NOW, THEREFORE, IT IS HEREBY RESOLVED, that the Troy City Council authorizes the Mayor to enter into an intermunicipal agreement with the City of Cohoes to share the work and cost of repairing, maintaining, and replacing the lighting and lighting fixtures on the 112th Street Bridge, annually alternating the performance of the necessary repairs and maintenance, and cooperatively scheduling and allocating the performance of all work, the agreement to be in substantial conformity with the agreement attached hereto, subject to review and approval by Corporation Counsel, with such terms, conditions, and provisions as Corporation Counsel may require for the protection of the City and the public. McDonald III has assisted the Cities of Cohoes and Troy in obtaining grant funding from the New York State Dormitory Authority for replacement and maintenance of the lighting fixtures on the 112th Street Bridge with new energy efficient fixtures. In order to receive and utilize the funds, the City of Cohoes and the City of Troy will contract with each other to share equally the cost of repairing, maintaining, and replacing the lighting and lighting fixtures on the bridge. The work will be subject to authorization from the New York State Department of Transportation, the owner of the bridge. The maintenance will include replacement of bulbs and fixtures and the repair and replacement of power wires. The parties intend to alternate the maintenance of the bridge lighting on a yearly basis, with the cost of any purchased materials to be shared equally. For some repairs, the employees of one City may be better suited to perform the required work. The parties will confer with each other regarding the repairs and maintenance to be performed each year and which City will perform same. The parties also intend to work cooperatively regarding the scheduling and performance of all work under this intermunicipal agreement. Each City will be responsible for its own employees and will indemnify the other against claims for which the indemnifying party may be liable by reason of any negligent or otherwise wrongful conduct.  RES94 INTERMUNICIPAL AGREEMENT BETWEEN THE CITY OF COHOES, NEW YORK AND THE CITY OF TROY, NEW YORK, RELATIVE TO THE MAINTENANCE AND REPAIR OF LIGHTING AND LIGHTING FIXTURES ON THE 112th STREET BRIDGE THIS AGREEMENT is made and entered into this day of , 2025, between the City of Cohoes, with offices at 97 Mohawk Street, Cohoes, New York 12047, and the City of Troy, with offices at 433 River Street, Suite 5001, Troy, New York 12180, WITNESSETH: WHEREAS, a New York State Department of Transportation bridge over the Hudson River between the City of Cohoes and the City of Troy known as the 112th Street (Route 470) Bridge (hereinafter "the bridge") periodically requires maintenance, repair, and replacement of lighting and lighting fixtures; and WHEREAS, certain grant funds from the State of New York are available to be awarded to the Cities of Troy and Cohoes for replacement of the lighting and lighting fixtures on the bridge with new energy efficient fixtures; and WHEREAS, the City of Cohoes and the City of Troy are desirous of contracting with each other to equally share the cost of repairing, maintaining, and replacing the lighting and lighting fixtures on the bridge after the grant funds are expended, subject to authorization from the New York State Department of Transportation. NOW, THEREFORE, IT IS HEREBY AGREED, by the City of Cohoes and the City of Troy, as follows: 1. The City of Cohoes and the City of Troy hereby agree to equally share the cost of the repair, maintenance, and replacement of the lighting on the bridge. Such maintenance shall include, but not be limited to, the replacement of bulbs and fixtures and the repair and replacement of power wires leading to such fixtures. 2. The parties shall use their best efforts to alternate, on a yearly basis, the performance of the repair and maintenance of the lighting on the bridge, but the cost of any materials used in the performance of this contract shall be shared equally by the parties. The parties acknowledge that, for some repairs, the employees of one City may be better suited to perform the required work. The parties will, therefore, confer with each other regarding the repair and maintenance to be performed each year and the City which will perform same. The parties will work cooperatively regarding the scheduling and performance of all work under this Agreement. 3. The City performing the required work shall: a. Be responsible to provide workers’ compensation benefits for injury to any of its employees if it is a workers' compensation injury pursuant to Workers' Compensation Law section 2(7). 1  RES94 b. Pay its personnel as it would if the work were performed solely for its own benefit. c. Be liable for the negligence of its employees occurring in the performance of their duties pursuant to this Agreement in the same manner and to the same extent as if the negligence occurred in the performance of their regular duties. 4. Reimbursement of one half the cost of materials as set forth in paragraph 2 shall be made within thirty (30) days of submission of an invoice and the appropriate voucher with proof of the cost of materials. 5. Both the City of Cohoes and the City of Troy do hereby agree to obtain and thereafter continue to keep in full force and effect as part of its general liability insurance, public liability insurance relative to this Agreement during all phases of the performance of the various provisions of work to be performed herein. 6. Each party does hereby covenant and agree to indemnify and save harmless the other against claim for any loss, injury, death and/or damage for which the indemnifying party may be liable by reason of any negligent or otherwise wrongful action or omission of the indemnifying party in the performance and completion of this Agreement. The parties intend that each party shall be responsible for its own negligence and wrongdoing. 7. No waiver of any breach of any condition of the Agreement shall be binding unless in writing and signed by the party waiving said breach. No such waiver shall in any way affect any other term or condition of this Agreement or constitute a cause or excuse for a repetition of such or any other breach unless the waiver shall include the same. 9. This Agreement constitutes the complete understanding of the parties. No modification of any provision hereof shall be valid unless in writing and signed by both parties. 10. This Agreement shall be for a term of ten (10) years, said term to commence on _________________________ to end on _________________________. If the parties hereafter agree, they may extend this Agreement for an additional term of five years. Notwithstanding the foregoing, either party may terminate this Agreement upon sixty (60) days written notice to the other, such notice to be given as set forth in paragraph 7 above. 11. In addition to the repair, maintenance, and replacement of the lighting fixtures as set forth in paragraph 1 above, the parties may further agree to perform such other and further repair and maintenance of the bridge as circumstances warrant and the New York State Department of Transportation permits. 2  RES94 IN WITNESS WHEREOF, the City of Cohoes and the City of Troy have caused their corporate seals to be affixed hereto and this Agreement to be signed by the Mayors of each City, as duly authorized by their respective City Councils.
