Village of Walden Board of Trustees Special Meeting December 9, 2025 Mayor Pearson called the special meeting of the Village of Walden Board of Trustees to order at 6:30pm. On roll call the following were: Mayor: Becky Pearson Present: Deputy Mayor Lynn Thompson Trustees Gerald Mishk Cheryl Baker Ralph Garrison, Jr Absent: Liz Kyle Bill Taylor Also Present: John Revella, Village Manager Marisa Kraus, Village Clerk Payment of audited bills: Manager Revella: You just need a motion for audit bills. Mayor Pearson: Audited bills, does anyone want to make a motion? Trustee Mishk: I’ll make a motion. Trustee Garrison: Second. Mayor Pearson: Did you get your stuff settled? Deputy Mayor Thompson: I still have a question about what we're doing with that police payroll thing. So, we're doing it for the police department. My concern is not with the police department; it is does Jean understand we would really like her to try to use the same system at one point village wide. Manager Revella: Yes. She knows that I’m not sure what she is going to do but yeah. Deputy Mayor Thompson: That's my only concern. Mayor Pearson: It must not be that important, sorry to say I mean if it's not important for people to do you're still asking for a report we haven't gotten yet on the whole thing. So, I’m tired of that. I’m not even signing that one, take that one out. Manager Revella: Okay. Deputy Mayor Thompson: But we have a time limit on that. Manager Revella: Yes, you do because otherwise you're going to pay for the old company and it's not going to be worth it. Mayor Pearson: By when? By the end of the month? Okay, we have another meeting. Manager Revella: So, all bills except for I don't know what it's called VCS or something. Mayor Pearson: Please yeah something like that. Deputy Mayor Thompson: I guess I’m just wondering why that contact has not been made when there is a deadline. Manager Revella: I just really want to make sure that we talk about that personnel matter in exec. Deputy Mayor Thompson: I understand, could you please tomorrow tell our treasurer that the village board would like her to make that near the top of her priority list so we can vote for the next meeting. But if this is the system that is going to work for the police department and it is compatible with Edmunds, and it can be utilized, and the prices are compatible then I’m okay with this, but I feel like we need that information to make that decision. Mayor Pearson: But we also don't know what the prices will be when we get to the whole village. Because that's what I'm saying the report compared to what she's already giving us to the report for this one we don't want. Deputy Mayor Thompson: Yeah, but all of them are going to go up by the time. Manager Revella: Yes, they are. Deputy Mayor Thompson: We get to where is she going to go. Mayor Pearson: I get it, but she can at least compare now what they are right now. Deputy Mayor Thompson: I'm concerned about this. And I want the price on this one everyone's telling us they're compatible then let's find out what it's going to cost let's approve it for the Police Department and put It to bed. Deputy Mayor Thompson: Well, whether we’re purchasing this is just a contract or going to end up purchasing a program. Manager Revella: It’s both. Mayor Pearson: Both, contract for a year it said that you told us last time so that's what we don't even know that's still yet. Manager Revella: Depends on the number of users. Mayor Pearson: Okay, does anyone want to make a motion to accept the bills, except for that one. We want a report from the treasurer. Manager Revella: There was a motion and a second. Mayor Pearson: Yes, all in favor? Aye: All ayes, motion carried. Manager Revella: Next is the important one, it’s the wastewater treatment plant bond resolution, so the board passed the bond resolution that only included the amount of the funding that we were authorized from grants. So, this is for the entire project so the WIAA needs a bond resolution that covers any contingencies that there may be which is 9,150,000.00 Dollars. And that includes. 5.25 million already allocated. Mayor Pearson: So, what's the total. Manager Revella: $9,135,850.00. They said they want to have the bond resolution principal amount authorized from 5.2 to 9.1 no it’s a bond. Mayor Pearson: I know but will we be approved for that with our rating and stuff? Manager Revella: Yeah, that's not an issue the USDA has already approved of us and so is EFC. Mayor Pearson: And how long to pay that back? Manager Revella: We asked for 20 years but they'll give us up to 30 depending on when we sign it, we have not signed anything yet. Mayor Pearson: When does it start? Manager Revella: When we sign it. Manager Revella: So, this bond resolution is required for us to get the grant. So, we did the grant bond resolution last time for 5.2 million they want the bond resolution for the entire thing that we could be doing for the plant even though we're not, which is 9,135,000 that's what EFC asked for so we do what they ask for because we want to make them happy. Mayor Pearson: So, this is just for the tunnel part of it? Mayor Pearson: So just come up with a number of 9 point something. Manager Revella: No, the stuff that's being bought is listed. This is not bonding 9.1 1,000,000 this is for the resolution to give us the ability to bond up to 9.1 1,000,000. Mayor Pearson: Does anyone want to make a motion? Trustee Garrison: I'll make a motion. Deputy Mayor Thompson: I’ll second. Mayor Pearson: Okay, all in favor? Aye: Mayor Pearson, Deputy Mayor Thompson, Trustee Garrison, Trustee Baker, Trustee Mishk. (Motion Carried) Mayor Pearson: Okay I'd like to make a motion to go into executive sessions really quick for particular personnel, employment history, and possible litigation. Trustee Garrison: I’ll make a motion. Trustee Baker: I’ll second. Mayor Pearson: Okay, all in favor? Aye: All ayes motion carried.
