Meeting was called to order by Chair Koller at 4:00pm.
Present: Pat Goldammer, Don Houston, Kim Migazzi, Fred Koeller, Carl Oberhart

Public Appearances: Eric Carlson spoke to signage issue and Christmas pole decorations had
in front of 300 E Main Street.
Minutes: Motion by Migazzi to approve the 02.21.2022 minutes. Second by Oberhart. All aye.
Motion carried.
Reports:
Streets and Utilities Supervisor Huening spoke on updates in the Department of Public Works.
Parks Supervisor Sponholtz gave updates on the parks and facilities department.
New Business:
1 – Well Water Solutions: Discussion was had on Well Water Solutions maintenance plan on well
pumps and booster pumps. Motion by Oberhart to continue the contract with Well Water
Solutions. Second by Houston. All aye. Motion carried.
2- Top Dawg: Discussion was had on Top Dawg LLC setting up a small food stand on Village
owned property. Motion by Koeller to deny the lease agreement for Top Dawg LLC to set up on
Village owned walkway off Main Street, 191-041935307010, but to allow daily food vendors to
sell on the north of the parking lot in Ten Club Park, excluding Village special events, and no
vehicle parking on Village grass. Second by Goldammer. All aye. Motion carried.
Motion by Magazzi to adjourn at 5:22 pm. Second by Houston. All aye. Motion carried.

Public works:
● Update on 1 ton plow truck
● Continuing to work on projects around shop
● Inventory on most supply items have been purchased ahead of price increases and shortages
● Will be doing different demos of equipment in the coming months
Utilities:
● Meter reading is complete, had to borrow reading gun from Elkhorn to complete reading
● AMI update meters have been ordered with priority status,no date as to when they will arrive
● Tower company has approved the installation requirements for the antenna installation on the
water tower
● Working on SCADA upgrade
● Working with a contractor on a report of sewer condition on Main ST.

Facilities and parks update
Meeting Date: March 21 2022
Facilities
-Final planning and bid gathering for a village wide Keri lock system upgrade as part of a larger project
to get a better handle on building security.
-Final planning stages and scheduling of the much needed Library fire protection dry system upgrades.
-Completing ongoing general repairs, maintenance and organization of all facilities in the village.
-Still waiting on materials for the village hall HVAC upgrades that were passed in 2021.
Parks
-Delivered the bandshell tent to Rosholt, WI for annual repairs and cleaning.
-Whitford park improvement project-in final planning stages, gathering budgetary bids, reaching out to
Waterford youth baseball and the Lions club for possible support.
-We closed the Ice Rink February 27, It's been a great season! We were open for 8 consecutive weekends
this year and had a record number of families from the region skating as well as record numbers of skate
rentals. We are now starting the process of the rink removal and storage.
-Event planning for the upcoming year, including preparations for spring and summer projects to keep
the positive momentum on improving our village.
-We are working on the village boat launch, improvements to the park as well as the fee system for
2022.

Engineer’s Report
March 17, 2022
Utility Maintenance Plan - Project No. 211739
Village utility maintenance and capital improvement plan involves review of the existing
sanitary sewer, water main and storm sewer infrastructure and the preparation of a
planning document with budgetary costs and recommendations for the sustainability of
the systems.
Following authorization, we plan to have a draft plan by September of 2022 for use in
budgeting.
Potential MSIS Project – East Main Street Reconstruction – Project 212339.40
We assisted in the filing of an application to the State on January 5, 2022 for a potential 60
percent funding of the paving and drainage work associated with the reconstruction of E.
Main Street between Milwaukee Street and STH 36.
There may be right-of-way adjustments needed with the preliminary design; some of the
properties extend to the centerline of the roadway.
The estimated project cost is $2.2 M with approximately ½ of the cost associated with the
water and sanitary utilities.

2022 LRIP Project/N. Milwaukee Street Resurfacing – Project 210605.90/.40
This project involves the resurfacing of N. Milwaukee Street between E. Main Street and
the north Village limits. The estimated project cost is $625,000.
The Village was awarded $22,837.87 from WisDOT LRIP funding to be used for the N.
Milwaukee St. resurfacing project.
The project is currently in design with anticipated start of construction after July 4.

Cornerstone Crossing Multi-Family Development – Project No. 220511
The development by PRE/3, LLC. includes four multi-family buildings on 5.01 acres located
on Cornerstone Crossing.
The plans are currently being reviewed. Review comments will be provided by April 1,
2022.
Cornerstone Crossing Multi-Family Development CSM – Project No. 220552
CSM to consolidate lots 2 – 6 of the Gemini Plat to accommodate the proposed multi-family
development.
The draft CSM will be provided by April 1, 2022.
Mercury Business Park Storage – Project No. 220549
The development by Dave Chavez includes two storage buildings on 1.30 acres located on
Gravity Court.
The plans are currently being reviewed. Review comments will be provided by April 1,
2022.
BIL – Grant Funding – Project No. 220549
We are planning to submit Jefferson Street (Ela to Main) for possible grant funding. The
application deadline is June 1, 2022.
DPW is reviewing the existing sanitary sewer information to determine if repair is
necessary with this project.

Water Well Solutions Wisconsin, LLC respectfully submits the following proposal for our Annual Preventative Maintenance
Service. This service begins with the detailed performance testing of each asset to develop a baseline report of the current
performance of the wells, well pumps, and booster pumps. Subsequent annual testing will allow us to document changes in
perfomance to forecast, plan, and budget for future maintenance efforts. In addition to performance testing, general
equipment maintenance will also be performed such as changing lubricants, rebuilding stuffing boxes, repairing grout seals,
etc. Our highly trained staff will also allow time for educating new Water Operators on the proper operation of the pumping
equipment, airline assemblies, variable frequency drives, throttling valves, etc. Proper maintenance of your wells assets will
assure reliability, installation longevity, and an overall reduced cost of ownership. These custom designed services can be
altered to meet any client specific needs.
The Preventative Maintenance Service would includes the following:
• Report Outlining Existing Pump Performance • Motor Insulation in Mega Ωs
• Well Performance Parameters • Running Amps and Voltage of Motor
• Recording of Vibrations (if applicable) • Changing of Motor Oil
• Inspection of Valves, Pump Base, Airlines, Etc. • Repacking of Stuffing Box (if lineshaft)
(our services can be adapted to produce a design that meet your specific needs)
Upon completion of our Preventative Maintenance Services a detailed report will be provided depicting testing data, analysis,
conclusions, and our professional recommendation specifc to you.
The cost associated with the Preventative Maintanance Service is typically only $350-750/well or $250-450/booster pump
plus consumables.
Pricing is based on a few assumptuions outlined below:
• Site Accessability for Our Service Truck/Crane • No Unusual Downhole Circumstances
• Ability to Isolate Well via Valve Controls • Ability to Pump to Waste with Discharge Flange

Upon agreement of the scope of services and pricing to be provided, your Water Well Solutions Project Manger will simply
complete and submit this template for your approval. A detailed scope of services will be attached. Please allow one to two
weeks for scheduling. Should questions arise, please contact our office directly using the information at the bottom of this
page.

INVOICES. Invoices will be submitted once a month with payment due within 10 days of the invoice date. A late charge at the rate of 1
1/2 % per month, or the highest rate allowed by applicable law, whichever is lowest, will be added to all amounts outstanding after 30
days. Purchaser agrees to pay any and all attorneys’ fees and court costs should attorneys be utilized, or court proceedings initiated to
collect any past due amounts.
INFORMATION. It is recognized that Purchaser has superior knowledge of the job site, site history, access routes to the job site, known
or suspected contaminants, surface and subsurface conditions, etc., and Purchaser is obligated to advise Water Well Solutions of all or any
conditions that may affect Water Well Solutions performance hereunder. Purchaser agrees to provide Water Well Solutions with such
specifications, plans, site history information, reports, studies or other information on surface and subsurface conditions as will be
reasonably required by Water Well Solutions for safe, proper and timely performance of the work. Purchaser shall obtain all necessary
permits and rights-of-way and indemnify and hold Water Well Solutions harmless for its failure to do so and for claims of trespass or
damage to property, including underground utilities or structures, which arise out of the work.
LIABILTY. Neither party shall be liable to the other party for any special, indirect, incidental or consequential damages, whether based
on contract, tort (including negligence), strict liability or otherwise. Further, Purchaser agrees to indemnify and hold Water Well
Solutions harmless from and against any and all claims, demands, causes of action (including third party claims for contribution or
indemnification), liability and costs (including attorneys’ fees and other costs of defense) which result from (i) any release or threatened
release of any substance (whether hazardous of not); (ii) any claim that Water Well Solutions or any of its subcontractors was a
“generator” or “transporter” of hazardous waste or an “operator” of the job site (as such terms are used or defined under local, state or
federal laws or regulations); or (iii) any negligent or wrongful act or omission of Purchaser or others under Purchaser’s control, except that
this indemnification shall not apply to the extent any demand of cause of action results from Water Well Solutions negligence or
intentional misconduct.
PERFORMANCE. Water Well Solutions will exercise reasonable skill and judgment in performing the work, EXCEPT AS EXPRESSLY
PROVIDED HEREIN, NO OTHER WARRANTIES (EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO,
WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE) ARE GIVEN HEREUNDER. Water Well
Solutions does not warrant specific results of any kind or provide any guarantee of water quality or quantity.
CHANGED CONDITIONS. The discovery of any hazardous waste, substance, pollutant, contaminant, underground obstruction,
condition or utilities on or under the job site which were not brought to the attention of Water Well Solutions prior to the date of this
Work Agreement will constitute a materially different site condition entitling Water Well Solutions, at its option, to terminate this Work
Agreement (and to receive payment for all work performed up to and including the date of such termination) or to receive an equitable
adjustment in the contract price and time for performance. Water Well Solutions, however, shall only have the right to terminate if such
different site condition(s) creates additional health and safety risks or requires Water Well Solutions to perform work outside the original
scope or beyond its capabilities. In any event, Water Well Solutions may terminate operations on a site which it believes presents an
unreasonable health or safety risk.
DELAYS. Water Well Solutions shall have no liability to Purchaser, or its clients, contractors or consultants for delays attributable to acts
of God, acts of third parties, weather which is not reasonably anticipatable, intervention or public authorities, inability to obtain permits
necessary to perform the work, work stoppages, changes in applicable laws or regulations after the date of commencement of performance
hereunder and any other conditions or events which are beyond the reasonable control of Water Well Solutions shall be entitled to
additional time to perform this Work Agreement equal to the time of any such delay.
MISCELLANEOUS. The terms and conditions set forth in the Work Agreement constitute the entire understanding of the parties relating
to the work. All previous proposals, offers, and other communications relative to the work, oral or written, are hereby superseded. Any
additional or conflicting provision(s) contained in any purchase order, acknowledgement, or other form of the Purchaser is hereby
expressly objected to by Water Well Solutions and shall not modify this Work Agreement.
INTERPRETATION. This Work Agreement shall be governed and construed in accordance with the laws of the state of the job site
location. If any term, provision or condition contained herein shall, to any extent, be invalid or unenforceable, pursuant to state law or
otherwise, the remainder of the terms, provisions and conditions stated in the Work Agreement (or the application of such term, provision
or condition to person or circumstances other than those in respect of which it is invalid or unenforceable) shall not be affected, and each
term, provision and condition of this Work Agreement shall be valid and enforceable to the fullest extent permitted by law.

Village of Waterford, WI Lease Agreement 11
This lease Agreement ("Lease") is made and effective M a y 1 5 , 2 0 2 2 by and between t h e V i l l a g e o f W a t e r f o r d
(“Vill age ”) a nd Top Da wg LL C (L essee ) .
Village desires to lease the premises to Lessee and Lessee desires to lease the premises from the Village for the term, at
the rental price and upon the covenants, conditions and provisions herein set forth, for the purpose of operating a seasonal
BBQ food stand.
THEREFORE, in consideration of the mutual promises herein contained and other good and valuable consideration, it is
agreed:
Premises:
Village is the owner of public lands located at the western edge of 202 E Main Street (Commonly used as a
pedestrian connector between the public parking lot and Main St) in Waterford, WI and depicted on the
attached map for lease to Lessee in a designated part of the lands.
A. Village hereby leases above named premises to Lessee from May 15, 2022 through September 30, 2022. The lease period
shall exclude special events hosted by the Village (or a designated Village Partner that the Village has granted an Event Permit to).
Lessee shall be allowed to operate on such event days (in accordance with operational procedures for the event) provided that the
established event fee is paid to the Village or the Village’s designee in accordance with the event procedures.
B. Lessee shall provide V i l l a g e with an Insurance Certificate, naming the Village as an additional insured on a
General Liability (event) Policy in an amount of $1,000,000.00 (one million dollars) for the leased period
2022 no later than 5/15/2022.
Rental:
The lease shall be the greater of 10% of gross sales for May 15, 2022 thru November 15, 2022, or $500.00 (Five Hundred
Dollars) per month, payable on the 15th of each Month beginning on June 15. A $500.00 security deposit shall be paid to the
Village prior to the effective start of this lease.
Lessee shall not sublease all or any part of the Leased Premises or assign this Lease In whole or in part.
Other items:
Lessee will provide the workforce to run the hot dog stand, supply the product, serve the product, clean and maintain the
leased area on a daily basis.
Lessee will obtain and operate under the parameters of appropriate approval/licenses/permits (as required) by the Central
Racine County Health Department, State of Wisconsin, United States of America, and Village of Waterford.
The Village reserves the right to cancel this lease agreement at any time (and Lessee agrees not to contest in any way
cancellation by Village) for reasons internal to the operation of the Village with no notice.
Lessee shall provide sales records from the Lessee’s point of sale software, credit card processing software, accounting
software, and/or WI DOR Sales Tax Reports upon request of the Village. Lessee is subject to audit by the Village.
Lessee shall be responsible for any and all damages occurring to the Village’s property as a result of the Lessee operating on
Village Property.
Signage:
Lessee has the right to use a single 24 sq ft banner at the hot dog stand location.
