CALL TO ORDER
The December 7, 2020 Village Board meeting was called to order by President Chris Zellner at 6:01 p.m.
ROLL CALL
Present: Bill Ranum (arrived at 6:11 pm), Nila Frye, Kristin Runge, Phil Willems, Chris Zellner, Erin
Moran, Gary Herzberg

Approve WEX in the amount of $3,118.13, US Bank in the amount of $132,636.50, check numbers

Motion by Chris Zellner, second by Phil Willems, to approve a one-time performance bonus of $2,700 for
Deputy Clerk Laurie Helt. Roll Call Vote. Motion Passed. For: 7 - Kristin Runge, Bill Ranum, Chris
Zellner, Phil Willems, Erin Moran, Gary Herzberg, Nila Frye. Against: 0.
3 Discuss and Take Action on Quote for IT Security Improvements
Motion by Gary Herzberg, second by Erin Moran, to recommend quote for IT security improvements.

4 Discuss and Take Action on Two Certified Survey Maps to Adjust Internal Lot Lines of
Lots 54-59 and Outlot 7, Heritage Hills Subdivision
Motion by Phil Willems, second by Kristin Runge, to approve the certified survey map subject to
satisfaction of the Village Engineer and approval by the Utility Manager. Roll Call Vote. Motion Passed.
For: 7 – Chris Zellner, Phil Willems, Erin Moran, Gary Herzberg, Nila Frye, Kristin Runge, Bill Ranum.

5 Discuss and Take Action on Racism, Tolerance and Equality in the Waunakee
Community
Motion by Nila Frye, second by Gary Herzberg, to endorse the community learning project. Roll Call
Vote. Motion Passed. For: 7 - Phil Willems, Erin Moran, Gary Herzberg, Nila Frye, Kristin Runge, Bill
Ranum, Chris Zellner. Against: 0.
6 Discuss and Take Action on Conceptual Development Agreement & TIF Assistance
Request for Octopi Expansion*
Following an introduction from the Village Administrator, a motion was made by Bill Ranum, second by
Gary Herzberg, to convene into closed session at 6:39 p.m. as authorized by Wisconsin Statute
19.85(1)(e) for the purpose of deliberating or negotiating the investing of public funds, or conducting
other specified public business, whenever competitive or bargaining reasons require a closed session. The
Village Board may reconvene in open session and discuss and take action on the subject matter discussed
in closed session. Roll Call Vote. Motion Passed. For: 6 - Erin Moran, Gary Herzberg, Kristin Runge, Bill
Ranum, Chris Zellner, Phil Willems. Against: 1 - Nila Frye.
Motion by Kristin Runge, second by Bill Ranum, to reconvene in open session at 7:55 p.m. Roll Call
Vote. Motion Passed. For: 7 – Gary Herzberg, Nila Frye, Kristin Runge, Bill Ranum, Chris Zellner, Phil
Willems, Erin Moran. Against: 0.
No action taken.

Dane County Public Health Order. The public can participate in one of three ways:

*As permitted by the Wisconsin open meetings law, the Village Board has chosen to list a public
comment period on Board meeting agendas to afford an opportunity for valued public comments.
This is specifically listed on the agenda as PUBLIC COMMENT. The Village Board may not
engage in back-and-forth discussion or take formal action during this period. The Board may
consider deferring the subject to a later meeting when specific notice can be given. Note: In
general, Wisconsin law grants citizens the right to attend and observe open session meetings of
the Village Board, but does not require allowing the public to speak or actively participate. The
Village Board may determine if citizen participation will be allowed and to what extent.
State statute and/or Village Code requires the Village Board to hold PUBLIC HEARINGS on
certain specified matters where the public can comment on the particular subject. The meeting
chairperson will identify rules for providing comments. Other items on the agenda which are not
listed for public hearing do not require the Board to allow public comment, however the meeting
chairperson can at his/her own discretion allow limited public comments.
Any person who has a qualifying disability as defined by the Americans with Disabilities
Act that requires the meeting or materials at the meeting to be in an accessible location or
format should contact the municipal clerk at (608) 850-8500, 500 West Main Street,
Waunakee, Wisconsin, at least twenty-four hours prior to the commencement of the
meeting so that any necessary arrangements can be made to accommodate each request.
