CALL TO ORDER
The August 2, 2021 Village Board meeting was called to order by President Chris Zellner at 6:00 p.m.
ROLL CALL
Present: Nila Frye, Sam Kaufmann, Phil Willems, Chris Zellner, Erin Moran (arrived at 6:04 pm), Gary
Herzberg, Bill Ranum
Also Present: Todd Schmidt, Tim Semmann, Renee Meinholz, Bryan Kleinmaier, Mary Heimbecker,
Roberta Baumann, Linda Ashmore
CONFIRMATION OF OPEN MEETING COMPLIANCE (Public postings, official notices, and
online availability)
Public postings, official notices, and online availability were confirmed by Village Administrator Todd
Schmidt for open meeting compliance.
CONSENT AGENDA
Items under the consent agenda may be acted upon by one motion. If, in the judgment of any Board
Member, a consent agenda item needs discussion, the item may be moved to later on the agenda for
discussion and/or action.
Motion by Phil Willems, second by Bill Ranum, to approve the Consent Agenda including all items listed
below. Motion Passed: For: 6, Against: 0
1 Approve Schedule of Bills
Approve check numbers 81105-81121 totaling $168,011.54 and 81122-81141 (81043 void) totaling
197,382.88.

Approve the July 19, 2021 Village Board minutes.
3 Approve Temporary "Class B" License Application for Waunakee Professional
Women
Approve the Temporary "Class B" License application for Waunakee Professional Women for the
Waunakee Winter Wine Walk on November 19, 2021, with premises defined as business building proper
(inside), not including any outside property connected to the business address.
PUBLIC COMMENT
Mary Heimbecker (306 W Third Street) provided comment regarding rental upkeep concerns and tenant
resources. Linda Ashmore (114 Sout Street) provided comments regarding proposed closed session. Scott
Russell, EMS Director, provided written comments COVID-19 and masking. Todd Schmidt, Village
Administrator, provided a bit of good news story about Village employee Caitlin Stene.
NEW BUSINESS
1 Discuss and Take Action on possible amendment to Development Agreement for
affordable housing project at 701 / 705 West Main Street as Requested by Cohen
Esrey Development Group*
Following Staff prestation, a motion by Gary Herzberg, a second by Erin Moran, to convene into closed
session at 6:12 p.m., as authorized by Wisconsin Statute 19.85(1)(e) for the purpose of deliberating or
negotiating the investing of public funds or conducting other specified public business, whenever
competitive or bargaining reasons require a closed session. The Village Board may reconvene in open
session and discuss and take action on the subject matter discussed in closed session. Roll Call Vote.
Motion Passed. For: 7 – Nila Frye, Phil Willems, Bill Ranum, Chris Zellner, Erin Moran, Sam Kaufmann,
Gary Herzberg. Againg: 0.
Motion by Gary Herzberg, second by Bill Ranum, to reconvene in open session at 6:28 p.m. Motion
Passed: For: 7, Against: 0.
Motion by Bill Ranum, second by Sam Kaufmann, to maintain the consent language as prepared by the
Village of Waunakee. Motion Passed: For: 7, Against: 0

***Special Notice Regarding Pandemic Health Concerns***
The Board meetings have returned to pre-pandemic arrangements. The Board Chambers at
Village Hall can accommodate about 50 public attendees without social distancing
accommodations. Face coverings are not required, however all are respected who chose to wear a
face covering for their own personal reasons. The meeting room technology is not currently
sufficient to allow for simultaneous virtual and in-person participation. Anyone wishing to
participate during the “Public Comment” or “Public Hearing” items, but uncomfortable about
attending in-person for any reason, is advised to contact Deputy Administrator/Village Clerk
Caitlin Stene (cstene@waunakee.com or (608)850-2827) in advance of the meeting to supply a
written statement to be read aloud. Note that time limits for public comments also apply to the
reading of written statements. Also, systems are not yet in place to provide a quality live-
streamed online meeting feed. The meeting will be video recorded and posted on a later date to
the Village’s YouTube and Facebook pages.

*As permitted by the Wisconsin open meetings law, the Village Board has chosen to list a public
comment period on Board meeting agendas to afford an opportunity for valued public comments.
This is specifically listed on the agenda as PUBLIC COMMENT. The Village Board may not
engage in back-and-forth discussion or take formal action during this period. The Board may
consider deferring the subject to a later meeting when specific notice can be given. Note: In
general, Wisconsin law grants citizens the right to attend and observe open session meetings of
the Village Board, but does not require allowing the public to speak or actively participate. The
Village Board may determine if citizen participation will be allowed and to what extent.
State statute and/or Village Code requires the Village Board to hold PUBLIC HEARINGS on
certain specified matters where the public can comment on the particular subject. The meeting
chairperson will identify rules for providing comments. Other items on the agenda which are not
listed for public hearing do not require the Board to allow public comment, however the meeting
chairperson can at his/her own discretion allow limited public comments.
Any person who has a qualifying disability as defined by the Americans with Disabilities
Act that requires the meeting or materials at the meeting to be in an accessible location or
format should contact the municipal clerk at (608) 850-8500, 500 West Main Street,
Waunakee, Wisconsin, at least twenty-four hours prior to the commencement of the
meeting so that any necessary arrangements can be made to accommodate each request.
