City Manager’s Proposed Action: 1. Overview: The Aberdeen Downtown Association has requested the City permit approved artworks to be painted in the crosswalks in the core downtown area. A proposed Crosswalk Art Agreement authorizes the ADA to oversee a crosswalk art program and install painted art in those crosswalks approved by the City Engineer/Public Works Director. The ADA will be responsible for all costs associated with the installation, maintenance, and removal of the crosswalk art. WHEREAS, the Aberdeen Downtown Association desires to install crosswalk art in the core Downtown area streets; and WHEREAS, the City of Aberdeen is responsible for the repair and maintenance of publically owned streets in the Downtown area; and WHEREAS, the Aberdeen Downtown Association agreed to install and maintain crosswalk art in the core Downtown area; and WHEREAS, the City Council desires to enter into a Crosswalk Art Agreement with the Aberdeen Downtown Association related to the installation and maintenance of crosswalk art in the core Downtown area. BE IT HEREBY RESOLVED by the Aberdeen City Council that the City Manager is authorized to execute a Crosswalk Art Agreement with the Aberdeen Downtown Association for crosswalk art installation and maintenance of the core Downtown area, in a form approved by the City Attorney. Number of AYES: Number of NAYS: Members abstaining: Travis Schaunaman, Mayor ATTEST: Finance Officer 02/07/2020 Page 42 of 162  - CROSSWALK ART AGREEMENT - BETWEEN THE CITY OF ABERDEEN AND ABERDEEN DOWNTOWN ASSOCIATION FOR CROSSWALK ART IN THE CORE AREA OF DOWNTOWN ABERDEEN This CROSSWALK ART AGREEMENT (“Agreement”) between the CITY OF ABERDEEN, (“City”) a South Dakota municipal corporation, and ABERDEEN DOWNTOWN ASSOCIATION (“ADA”), a South Dakota non-profit corporation, describes the conditions for ADA to install and manage crosswalk art within the Core Area of Downtown Aberdeen. 1. Purpose: Aberdeen Downtown Association desires to initiate a crosswalk art program in the Core Area of Downtown Aberdeen. For the purpose of this Agreement, the Core Area of Downtown Aberdeen is defined by the following boundaries:  Railroad Avenue SW/SE south to 6th Avenue SW/SE  South Lincoln Street west to South 1st Street The Core Area shall include the entire rights-of-way of South 1st Street, South Lincoln Street, and Railroad Avenue SW/SE but no portion of the right-of-way of 6th Avenue SW/SE. 2. Scope of Duties: A. The City and ADA both agree to the following: (1) Both parties agree to adhere to current and future federal and state requirements regarding the maintenance, removal, installation, and repair of traffic control devices as related to crosswalk art. (2) There will be a six-month trial evaluation period after the initial crosswalk art installation. (3) If both parties agree to proceed with additional crosswalk art installations after the six-month trial period, additional crosswalk art installations can proceed per this Agreement. (4) If either the City or ADA agrees that the crosswalk art period should not proceed after the installation of the initial crosswalk location, ADA agrees to remove the original crosswalk art installation per the Agreement. (5) Crosswalk art may be installed only at locations where the pavement is in satisfactory condition as determined by the Director of Public Works/City Engineer. (6) Street grade paint must be used to provide a non-slip surface. (7) All crosswalk art must be non-reflective. (8) The limited life span of roadway paint will require greater maintenance. Modern materials, such as thermoplastic, can provide a greater life cycle to reduce maintenance. ADA may select, at its own cost or direction, to recommend use of thermoplastic materials in an effort to manage their future maintenance requirements. (9) All crosswalk installations must be and remain compliant with the Americans With Disabilities Act (Act) compliant. Those locations that are not Act compliant shall be reconstructed to Act compliance before the placement of crosswalk art. 02/07/2020 Page 43 of 162  (10) The parties will keep each other informed of good phone numbers, addresses, and email addresses of points of contact for their respective organizations. For purposes of this Agreement, the City’s Director of Public Works/City Engineer (“City Engineer”) will be the point of contact for the City. B. ADA agrees to: (1) Acquire approval of all crosswalk art from the City Engineer prior to installation. (2) Adhere to the same design parameters for all crosswalks located at an intersection and maintain the same theme if multiple crosswalks are installed at an intersection. (3) Provide personnel and equipment to install the approved crosswalk art. (4) Install the crosswalk as approved by the City Engineer. (5) Maintain the crosswalk for the life of the installation. (6) Provide a traffic control plan to be used during the crosswalk installation and maintenance. (7) Adhere to the traffic control plan during crosswalk installation and maintenance. (8) Provide supplemental pavement cleaning to prepare street surface for crosswalk installation. (City will provide street sweeping within 24-hours of installation). (9) Provide all supplies and equipment inherent to crosswalk art installation. (10) Acknowledge that maintenance and repairs may need to be made to utilities located under the roadway surface. ADA further acknowledges that those repairs may negatively impact the crosswalk art project. THE CITY OF ABERDEEN WILL NOT BE RESPONSIBLE FOR DAMAGE CAUSED TO CROSSWALK ART DURING THE COURSE OF SUBSURFACE UTILITY REPAIRS. (11) Acknowledge that roadway repair and reconstruction may damage the crosswalk art. ADA further acknowledges that roadway repair and reconstruction may negatively impact the crosswalk art project. THE CITY OF ABERDEEN WILL NOT BE RESPONSIBLE FOR DAMAGE CAUSED TO CROSSWALK ART DURING THE COURSE OF ROADWAY REPAIR AND RECONSTRUCTION. (12) Keep at least half of the street open for vehicle travel during daylight hours as it performs work for crosswalk art installation and maintenance. (13) Place the artwork in-between the 12" transverse pavement markings, as provided by the City. C. ADA shall not: (1) Alter the street surface by artificially raising or lowering the pavement. (2) Paint or modify the adjoining curbs at any installed crosswalks. (3) Participate in any activities that may disrupt traffic flow without proper traffic control plans and devices in place. (4) Deviate from the Director of Public Works/City Engineer approved crosswalk art. (5) Use white, yellow, or red colors in a way which could be confused with traffic control devices within the artwork. (6) Use text within the scope of the crosswalk artwork. (7) Use octagons or triangles or shapes that could be confused with a traffic control device within the artwork. (8) Close the crosswalk installation and maintenance work zone during night time hours. (9) Permit any commercial advertisement or endorsement in the crosswalk art. 02/07/2020 Page 44 of 162  (10) Permit crosswalk art which promotes tobacco, alcohol, or drug use, or offends community standards of decency. D. City intends to: (1) Provide ADA any needed traffic control devices to direct vehicle flow during crosswalk installation; The CITY IS NOT RESPONSIBLE FOR ADA FAILURE TO USE TRAFFIC CONTROL DEVICES AS ILLUSTRATED AND APPROVED IN ADA’S TRAFFIC CONTROL PLAN. (2) Monitor the crosswalk and require compliance with maintenance standards. (3) Provide 12" transverse pavement markings on the intersection and approach edge of the crosswalk art installation to outline the area to be used for crosswalk art. E. City does not intend to: (1) Provide employees to install crosswalk art. (2) Provide on-going maintenance to crosswalk art projects, other than the transverse border along the intersection and approach edge of the project. (3) Provide any funding to the crosswalk project other than items specifically mentioned in this Agreement. F. At any time, the City may make such changes at each crosswalk location as are necessary to: (1) Ensure public health and safety. (2) Make immediate repairs to the crosswalk. (3) If the City determines that maintenance and repairs are required on the approved crosswalk art location, then, if time permits, it will make reasonable attempts to provide ADA with at least 14 calendar days of notice of said problem and suggested corrective action. In no event will the City be liable to ADA for any damage as a result of City’s corrective action or otherwise. Failure to correct maintenance issues will result in the immediate removal of the crosswalk art, at the sole expense of ADA at the end of the 14-calendar day correction period. 3. Term of Agreement: The term of this Agreement shall be for six (6) months after its effective date, and shall automatically renew for additional one year periods unless terminated prior to renewal. Either party may terminate this Agreement at any time, with or without cause, on at least 90 days notice to the other party. ADA further agrees, at its own cost, to return the affected pavement to its original condition upon any expiration to or termination of this Agreement. 4. Indemnification and Limit of Liability: ADA expressly agrees to release, defend, indemnify and hold harmless the City, the City officers, agents, and employees from injuries to persons or damage to property in connection with the installation and maintenance associated with the crosswalk art project. ADA expressly agrees to defend, indemnify and hold harmless the City, its officers, agents, and employees in accordance with this clause regardless of whether the injury or damage is caused in whole or in part by the alleged acts or omissions of the City or any condition of any property owned or controlled by the City. The City shall not be responsible for damage and vandalism associated with the crosswalk art installations by the public. 02/07/2020 Page 45 of 162  5. No Third-Party Beneficiaries: Nothing herein shall be construed to give any rights or benefits to anyone other than the City and ADA. 6. Independent Contractor: In performing services under this agreement, the relationship between City and ADA is that of independent contractor, and City and ADA by the execution of this Agreement do not change the independent contractor status of ADA. No term or provision of this Agreement or act of either party in the performance of this Agreement shall be construed as making ADA or any of its agents or employees into an agent, servant, or employee of the City. 7. No Assignment: ADA may not assign, transfer or sub-contract this Agreement or any of its rights or duties under this Agreement without the prior written consent of the City. 8. Force Majeure: In the event a Party is prevented from performing under this Agreement by circumstances beyond its reasonable control (for example, act of God, war or terrorism) then any obligation owing by such Party shall be suspended without liability for the period during which the Party is so prevented from performing. 9. Notice: All notices or demands to be given under this Agreement by either Party to the other shall be in writing and given either by: (a) personal service or (b) U.S. Mail, mailed either by registered or certified mail, return receipt requested, with postage prepaid. Service shall be considered given when received if personally serviced or if mailed on the third day after deposit in any U.S. Post Office. The address to which notices or demands may be given by either Party may be changed by written notice given in accordance with the notice provisions of this section.
