MINUTES JOINT DEVELOPMENT AUTHORITY OF THE UNIFIED GOVERNMENT OF ATHENS-CLARKE COUNTY, GEORGIA AND THE CITY OF WINTERVILLE Wednesday, September 22nd, 2021 – 5:35 PM Attendees Erica Cascio Dodd Ferelle Stephanie Lynn Ilka McConnell Ken Parris Tim Pierce-Tomlin Absent Kelly Girtz David Matthews-Morgan A. Call to Order: Erica Cascio, Vice-Chair, welcomed the members and called the special called meeting to order. B. Approval of Agenda Motion to approve: Stephanie Lynn Second: Ken Parris Directors unanimously approved the motion C. Approval of Minutes of the Last Meeting Motion to table minutes: Erica Cascio Second: Stephanie Lynn Directors unanimously table motion D. New Business (Directors) Treasurer Stephanie Lynn and Ilka McConnell shared information about the process of gathering quotes for auditing firms to complete a standalone annual audit of the JDA and shared the proposal evaluation spreadsheet. Lynn shared her recommendation to select Rushton and Company for the audit. Ken Parris asked about Athens auditing firms that could do the audit and said his preference was to use an Athens firm. Lynn & McConnell explained that they contacted 7 firms recommended by ACCGov Finance. The list of firms contacted included the local firm with experience doing governmental audits, Trinity & Associates, but Trinity did not respond to provide a quote. Motion to approve Rushton & Company for annual audit: Stephanie Lynn  Second: Dodd Ferelle Ken Parris suddenly dropped off the WebEx and did not re-join. There was no longer a quorum of 4 board members to be able to approve. Board members contacted Tim Pierce-Tomlin and David Matthews-Morgan to ask if they were able to join the meeting to re-establish the quorum, and paused the meeting live stream for several minutes. Tim Pierce-Tomlin, who had gone to City Hall thinking the board meeting was in-person, logged into WebEx and re-established the quorum of 4 board members. Treasurer Stephanie Lynn presented information about the process through which quotes were requested from potential auditing firms, shared the proposal evaluation spreadsheet and rationale, and shared her recommendation of Rushton & Company. Stepahanie Lynn recapped her motion to approve Rushton & Company for annual audit for JDA for FY21. Dodd Ferelle recapped his second of the motion. The Directors unanimously approved motion. E.
