MINUTES - SPECIAL CALLED MEETING JOINT DEVELOPMENT AUTHORITY OF THE UNIFIED GOVERNMENT OF ATHENS-CLARKE COUNTY, GEORGIA AND THE CITY OF WINTERVILLE Monday, October 5, 2022 – 5:30 pm City Hall, 301 College Avenue, Room 103 Directors in Attendance: David Matthews-Morgan, Erica Cascio, Dodd Ferrelle, Stephanie Lynn Directors Absent from Meeting: Gabriella Sandberg, Ken Parris, Kelly Girtz Staff in attendance: Ilka McConnell ● Call to Order (as special called meeting): David Matthews-Morgan, Chair called the meeting to order at 5:45pm ● Approval of Agenda: Motion: David Matthews-Morgan Second: Dodd Ferrelle Agenda was approved by unanimous vote of the Directors ● Approval of Minutes for 8/3/2022 and 8/22/2022 meetings: Directors Minutes for 8/3/2022: Motion to approve: David Matthews-Morgan Second: Dodd Ferrelle Minutes were approved by vote of 3 Directors, with 1 abstention by Stephanie Lynn because she did not attend the 8/3/2022 meeting. Minutes for 8/22/2022: Motion to approve: David Matthews-Morgan Second: Dodd Ferrelle Minutes were approved by vote of 3 Directors, with 1 abstention by Erica Cascio because she did not attend the 8/22/2022 meeting. ● New Business: Discussion & Vote Regarding Legal Counsel: David Matthews-Morgan and Ilka McConnell provided information on several different options for changing the legal counsel for the JDA, including attorney bios, relevant experience working with other development authorities, interest in working with the JDA, whether they are local to Athens, and hourly rates. The Directors discussed the options. Motion: David Matthews-Morgan made a motion to retain Greg Sowell with  James, Bates, Brannen & Groover LLP as attorney for the JDA. Second: Stephanie Lynn Motion to retain Greg Sowell as attorney for the JDA was approved by unanimous vote of the Directors. ● Next Regular Meeting: November 2, 2022 - 6:00 pm ● Adjourn Motion to adjourn: Erica Cascio Second: Stephanie Lynn Motion to adjourn was approved by unanimous vote of the Directors
