City of Excelsior City Council Emergency Meeting MINUTES Wednesday, November 17, 2021 5:00 P.M. 1. Call to Order/Roll Call Mayor Carlson called the closed session to order at 5:22 P.M. City Council: Mayor Carlson and Councilmembers Caron, Hersman, and Kurschner Absent: Councilmember Dierking Also Present: City Manager Luger and City Attorney Staunton 2. Declaration of Need for Emergency Meeting Kurschner moved, Hersman seconded, to declare that the business under consideration requires an emergency meeting. The emergency meeting is necessary because a provision of the 810 Excelsior Boulevard purchase agreement that could result in cancellation of the agreement between the parties will expire before a special meeting can be called. Motion carried 4/0. 3. Agenda Approval Caron moved, Hersman seconded, to approve the November 17, 2021 City Council Emergency Meeting agenda. Motion carried 4/0. 4. Motion to Close the Meeting Pursuant to Minn. Stat. § 13D.05, subd. 3(c) Caron moved, Hersman seconded, to enter the closed session for consideration of offer or counteroffer to purchase real estate located at 810 Excelsior Boulevard in Excelsior. Motion carried 4/0. 5. Closed Session for Consideration of Offer or Counteroffer to Purchase Real Estate located at 810 Excelsior Boulevard in Excelsior 6. Motion to Return to Open Session, Potential Action on the Item Discussed During the Closed Session Kurschner moved, Hersman seconded, to return to open session. Motion carried 4/0. Caron moved, Kurschner seconded to approve the Sixth Amendment to Purchase and Sale Agreement with a change in paragraph C from unforeseen to unknown. Motion carried 4/0. 7.
