MEETING OF THE FRISCO COMMUNITY DEVELOPMENT CORPORATION BOARD OF DIRECTORS GEORGE A. PUREFOY MUNICIPAL CENTER MCCALLUM ROOM/FOURTH FLOOR 6101 FRISCO SQUARE BLVD. FRISCO, TEXAS 75034 6:00 PM THURSDAY, NOVEMBER 19, 2020 MINUTES CALL TO ORDER President Mike Barber called the meeting to order at 6:01 P.M. Board of Directors present included President Mike Barber, Vice President Karen Cunningham, Secretary/Treasurer Wren Ovard, Director Chad Brubaker, Director Ed Mahoney, Director Khushboo Rawlley and Director Ed Szczebak. City staff present included City Manager George Purefoy, Deputy City Manager Henry Hill, Assistant City Manager Nell Lange, Assistant City Manager Ben Brezina, Chief Financial Officer Anita Cothran, Parks and Recreation Director Shannon Coates, Controller Derrick Cotten, Arts and Special Events Manager John Chalfant, and Discovery Center Supervisor Paige Points. Secretary/Treasurer Wren Ovard made the motion to recess into closed session. Director Chad Brubaker seconded the motion, and the motion was unanimously approved 6-0. The meeting recessed into closed session at 6:02 P.M CLOSED SESSION 1. Recess into Closed Session in compliance with Section 551.001 et. seq. Texas Government Code, to wit Page 1 of 4 A. Section 551.071. Meeting with City Attorney regarding a matter(s) in which the duty of the City Attorney under the Texas Disciplinary Rules of Professional Conduct of the State Bar of Texas conflicts with the Open Meetings Act regarding: i. Receive legal advice regarding transition of Exide property. B. Section 551.072. To deliberate the purchase, exchange, lease or value of real property located: i. South of Main Street, north of Stonebrook Parkway, west of Preston Road, and east of Legacy. ii. South of US 380, east of Dallas North Tollway, west of Preston Road, and North of Eldorado Parkway. C. Section 551.087. Deliberation regarding commercial or financial information that the City has received from a business prospect and to deliberate the offer or other incentives to a business prospect. 2. Reconvene into Regular Session and take any action necessary as a result of the Closed Session. Director Ed Mahoney made the motion to reconvene into regular session. Director Ed Szczebak seconded the motion, and the motion was unanimously approved 6-0. The meeting reconvened into regular session at 6:36 P.M. REPORTS 3. Parks and Recreation Monthly Report. Director of Parks and Recreation Shannon Coates advised updates from the Parks and Recreation Monthly Report. No questions from the Board. 4. Financial and Budgetary update. Controller Derrick Cotten presented monthly sales tax collections for September 2020 and advised on the monthly expenditures for October 2020. Mr. Cotten also advised on the preliminary fiscal year 2020 financial statements. No questions from the Board. Page 2 of 4 CITIZEN INPUT REGULAR AGENDA 5. Consider and act upon approval of the Minutes of the October 15, 2020 Regular Meeting of the Board. Secretary/Treasurer Wren Ovard motioned to approve the Minutes of the October 15, 2020 Regular Meeting of the Board. Director Khushboo Rawlley seconded the motion, and the motion was unanimously approved 6-0. 6. Consider and act upon approval of an Amendment to the Frisco Community Development Corporation (FCDC) Fiscal Year 2021 Budget. Controller Derrick Cotten advised on the proposed fiscal year 2021 budget changes and ending fund balance. Vice President Karen Cunningham motioned to approve the amended Frisco Community Development Corporation (FCDC) Fiscal Year 2021 Budget. Secretary/Treasurer Wren Ovard seconded the motion, and the motion was unanimously approved 6-0. 7. Discovery Center Update. Discovery Center Supervisor Paige Points advised the Discovery Center’s mission and vision moving forward. She discussed the decline in revenue and attendance due to COVID-19 and provided comparisons to prior years. The addition of instructor led courses at the discovery center will start in 2021. No questions from the Board. 8. Discussion and possible action regarding changing the date of the December 2020 Meeting of the Board. No action taken by the Board. 9. Discussion regarding future agenda items. None noted by the Board or City Staff. ADJOURN Page 3 of 4 Vice President Karen Cunningham made the motion to adjourn. Director Ed Mahoney seconded the motion, and the motion was unanimously approved 6-0. The meeting was adjourned at 6:43 P.M. If during the course of the meeting covered by this notice, the Community Development Corporation Board of Directors should determine that a closed or executive meeting or session of the Community Development Corporation Board of Directors or a consultation with the attorney for the City should be held or is required, then such closed or executive meeting or session or consultation with attorney as authorized by the Texas Open Meetings Act, Texas Government Code § 551.001 et. seq., will be held by the Community Development Corporation Board of Directors at the date, hour and place given in this notice as the Community Development Corporation Board of Directors may conveniently meet in such closed or executive meeting or session or consult with the Page 2 of 3 attorney for the City concerning any and all subjects and for any and all purposes permitted by the Act, including, but not limited to, the following sanctions and purposes: Texas Government Code Section: § 551.071 – Private consultation with the attorney for the City. § 551.072 – Discussing purchase, exchange, lease or value of real property. § 551.074 – Discussing personnel or to hear complaints against personnel. NOTICE Pursuant to City of Frisco Ordinance Number 19-10-87 each member of the public wishing to address the Frisco Community Development Corporation Board of Directors shall be entitled to speak for up to five (5) minutes, unless ten (10) or more members of the public are present to speak on a single agenda item, in which case the Frisco Community Development Corporation Board of Directors may by majority vote reduce the allotted time from five (5) minutes to three (3) minutes per speaker to ensure that as many people as possible have an opportunity to speak, subject to the requirements of other law. NOTICE OF ASSISTANCE AT PUBLIC MEETINGS The George A. Purefoy Municipal Center is wheelchair accessible. Access to the building and special parking are available at the primary north entrance facing Frisco Square Blvd. Persons with disabilities who plan to attend this meeting and who may need auxiliary aids or services such as interpreters for persons who are deaf or hearing impaired, readers, or large print, are requested to contact the City Secretary’s Office at least 48-hours prior to the meeting.
