MINUTES OF A REGULAR MEETING OF THE MAYOR AND COUNCIL OF THE BOROUGH OF MADISON December 14, 2020 - 7 p.m. CALL TO ORDER The Regular Meeting of the Mayor and Council of the Borough of Madison was held on the 14th day of December, 2020. Mayor Conley called the meeting to order at 7:00 p.m. via Teleconference in the Council Chamber of the Hartley Dodge Memorial, Kings Road, in the Borough of Madison. STATEMENT IN COMPLIANCE WITH THE OPEN PUBLIC MEETINGS ACT The Borough Clerk read the statement pursuant to the Open Public Meetings Act: “In compliance with the Open Public Meetings Act, adequate notice of this meeting of the Council was provided by transmitting a copy of the meeting notice to the Madison Eagle and Morris County Daily Record, posting a copy on the bulletin board at the main entrance of the Hartley Dodge Memorial, and filing a copy in the office of the Clerk, all on January 10, 2020. GREETINGS TO PUBLIC Mayor Conley made the following comments: Mayor Conley noted the last regular Council meeting of the year and thanked retiring Councilmember Carmela Vitale for her years of service to the Borough of Madison. Mayor Conley announced that the Reorganization Meeting will take place January 2, 2021 at noon, via teleconference. Mayor Conley also noted that a special meeting regarding the Community Place redevelopment may be necessary EMPLOYEE OF THE MONTH FOR DECEMBER Sandra Emmerich for her efforts with COVID-19 related issues. ANNIVERSARY FOR THE MONTH OF DECEMBER Cynthia Weir, Community Service Officer, Madison Police Department – 25th Anniversary PRESENTATION OF MAYOR’S HERO AWARD Mayor Conley presented the Mayor’s Hero Awards to resident Jason Erdreich for providing PPE to first responders during the COVID-19 pandemic. PAGE 2 OF 15 Regular Meeting Minutes – December 14, 2020 REPORTS OF COMMITTEES Finance and Borough Clerk Mrs. Vitale, Chair of the Committee, made the following comments: Mrs. Vitale noted that the State Senior Tax Freeze is extended to December 31, 2020. The Tax Collector reports that 4th quarter taxes have been collected at a rate of 99.5%. The Borough CFO will present a proposed five-year capital plan later this evening. Mrs. Vitale noted that 86 towns in New Jersey have asked for special emergency funding and noted reserves used to help residents and businesses in Madison. Mrs. Vitale thanked the Borough Administrator and CFO for their guidance. Public Safety Ms. Baillie, Chair of the Committee, made the following comments: During the month of November, the Fire Department responded to a total of 87 incidents. Twenty-four Fire Prevention inspections and 22 Smoke/CO re- sale inspections were made. Congratulations to Probationary Volunteer Firefighters John Downs and Michael Kitsopoulos for completing and passing the Firefighter 1 training course at the Morris County Public Training Academy. Due to Covid 19 all fire department training and meetings have been virtual since Thanksgiving. The Madison Police Department has been in the process of adopting the Handle with Care Program under Attorney General mandate with each officer being trained via virtual instruction. “Handle With Care” (HWC) is designed to promote partnerships between law enforcement and schools to help provide a safe and supportive academic environment for children exposed to traumatic events known as “adverse childhood experiences,” or Aces. Aces, if unaddressed, can lead to problems such as drug use and depression, and they can have a lasting impact on a child’s health, well-being, and academic success. The Planning Board will meet December 15th via Zoom, regarding the draft Master Plan. Public Works and Engineering Ms. Byrne, Chair of the Committee, made the following comments: The Department of Public Works has been working steadily to remove leaves from Borough streets in anticipation of Wednesday’s snow storm. Crews will be dispatched to remove snow, and make sure utilities are safe and secure. The Mechanics Department continues to maintain the borough’s vehicles, as well as maintained loaders and trucks for leaf removal. They have serviced all snow equipment in anticipation of inclement weather. The Sewer Department continues daily operations and management, mark outs for contractors, basin cleaning and Sewer cleaning/jetting. The Engineering Department reports that Dodge Field Restroom building is 95% complete and has interior partitions, heating, lighting, fixtures and finishes in place. A final punch list is being completed. Plans to improve the adjoining Dodge Field Playground are in progress for possible awards next year. The Well AB Treatment Plant Pump repair is underway. The five-year Capital budget projections have been submitted for review. The road improvement capital appropriations have historically been requested early in the year (2021) in order for the Department to assure these projects are bid and awarded in a time frame which allows the most significant construction to occur during the summer months. Community Affairs Mr. Hoover, Chair of the Committee, made the following comments: The Senior Citizen Advisory Committee will distribute a survey to assess priorities of seniors post COVID-19, to the Library, Thursday Morning Club and the Madison PAGE 3 OF 15 Regular Meeting Minutes – December 14, 2020 YMCA. The Recreation Department is finalizing distribution of spring schedules to all groups and will be posted online soon. All winter sports are on hold, per State guidelines. The Rosedale Ice Rink will be flooded in anticipation of cold weather. The skating rink schedule will be posted on rosenet.org. Health Ms. Coen, Chair of the Committee, made the following comments: The Madison Health Department held an annual rabies clinic by appointment due to the pandemic, and administered 140 doses of the rabies vaccine. Pet licensing application are now available on the Borough’s website. As of this meeting there are 328 total cases of Covid-19 in Madison, 25 open cases. Morris County has two new COVID testing sites open, and information is available on the State website. Residents are reminded to wear masks, wash your hands often, get tested if you don’t feel well and limit travel during the upcoming holidays. Utilities Ms. Ehrlich, Chair of the Committee, made the following comments: The Electric Department reports zero outages since the last Council meeting. The Electric Department repaired lights in the rear parking lot at Hartley Dodge Memorial, and continues to perform final inspections for the safety disconnect switch and bi-directional meters on all of the new solar system tie-ins. Crews are performing maintenance in all underground transformer vaults before the winter weather. The Department cleaned out leaves and performed general maintenance at the James Park Substation. The Water Department reports all of the Recreation Field Houses have been shut down and winterized. All drinking fountains have been shut off for the winter. Residents are reminded to remove hoses from outside faucets to keep them from freezing. The Skating Rink will be filled for skating in the next few days. COMMUNICATIONS AND PETITIONS - None INVITATION FOR DISCUSSION (1 of 2) Mayor Conley opened the meeting to the public for their opportunity to ask questions and make comments on those items listed on the Agenda only. Mayor asked that, upon recognition by the Meeting Moderator, each person give his/her name and address in an audible tone of voice, for the record. He/she shall limit his/her statement to three (3) minutes or less. Pat Rowe; Pine Avenue, inquired about Resolution 296-2020, if parking fees can be changed by resolution or if an ordinance is necessary. Mr. Giacobbe explained that the changes are temporary. Since no other member of the public wished to be heard, the invitation for discussion was closed. AGENDA DISCUSSIONS 12/14/2020-1 MADISON ENVIRONMENTAL COMMISSION/SUSTAINABLE NJ PROGRAMS Madison Environmental Commission Chairperson Claire Whitcomb and Sustainable Madison Chairperson Kathleen Caccavale presented annual reports on 2020 programs and certifications. Ms. Whitcomb noted the creation of a new Facebook page, composting initiatives, multi-town partnerships and Ms. Caccavale explained the Sustainable goals and accomplishments. PAGE 4 OF 15 Regular Meeting Minutes – December 14, 2020 12/14/2020-2 5 YEAR CAPITAL BUDGET PLAN Mr. Burnet provided a draft five-year capital plan noting a reduction in the proposed 2021 capital projects to $3.8 million, offering more flexibility in the municipal budget due to reductions in revenues. Mr. Burnet shared the proposed budget calendar, noting introduction of funding for road projects in January. ADVERTISED HEARINGS The Clerk made the following statement: Ordinances scheduled for hearing tonight were submitted in writing at a Regular meeting of the Mayor and Council held on November 23, 2020, were introduced by title and passed on first reading, were published in the Madison Eagle and made available to members of the general public requesting same. Mayor Conley called up Ordinances for second reading and asked the Clerk to read said ordinances by title: ORDINANCE 41-2020 ORDINANCE OF THE BOROUGH OF MADISON APPROPRIATING $250,000.00 FROM THE MUNICIPAL OPEN SPACE TRUST FUND FOR RENOVATIONS AND RESTORATION OF THE EAST WING OF THE HARTLEY DODGE MEMORIAL WHEREAS, the Borough Council has determined that it is in the best interest of the Borough to continue the renovations and restoration of the East Wing of the Hartley Dodge Memorial; and WHEREAS, the Open Space Advisory Committee has recommended the full funding of this request; and WHEREAS, the Borough Council has determined that the Borough should appropriate $250,000.00 from the Open Space Trust Fund for renovations and restoration of the East Wing of the Hartley Dodge Memorial and other related work; and WHEREAS, the Chief Financial Officer has attested to the availability of funds in an amount not to exceed $250,000.00 for this purpose in the Open Space Trust Fund. NOW, THEREFORE, BE IT ORDAINED by the Council of the Borough of Madison, in the County of Morris and State of New Jersey, as follows: SECTION 1: The amount of $250,000.00 is hereby appropriated from the Open Space Trust Fund for the restoration and repair of the East Wing of the Hartley Dodge Memorial and other related work. All work to be coordinated with the Borough Engineer. SECTION 2: This Ordinance shall take effect as provided by law. Mayor Conley opened up the public hearing on Ordinance 41-2020. Since no member of the public wished to be heard, the public hearing was closed. Pat Rowe; Pine Avenue, thanked the Mayor and Chairpersons for the Environmental presentation and asked about the strain increase solar would have on the distribution system. Mr. Rowe thanked Mr. Burnet for the presentation on the 5-year capital budget, asking that sidewalk repairs be added to the budget. Joseph Balweirczak; Beech Avenue, thanked Mrs. Vitale for her years of service on the Borough Council and all her hard work. Claire Whitcomb; Fairwood Road, thanked Mrs. Vitale for her efforts as liaison to the Environmental Commission, and asked that improvements at the Hartley Dodge Memorial be completed with energy efficiency. Peter Fried; Morris Place, noted that the accomplishments of the Environmental Commission and Sustainable Madison are a group effort and thanked Public Works Executive Assistant Bob Duffy, Purchasing Director Kevin O’Keefe, Utility Supervisor Donna Carey, and Customer Serviceman Jim Trimble and all the Borough employees for data gathering. INTRODUCTION OF ORDINANCES - None CONSENT AGENDA RESOLUTIONS The Clerk made the following statement: Consent Agenda Resolutions will be enacted with a single motion; any Resolution requiring expenditure is supported by a Certification of Availability of Funds; any Resolution requiring discussion will be removed from the Consent Agenda; all Resolutions will be reflected in full in the minutes. Mrs. Vitale moved adoption of the Resolutions 293-2020 through 299-2020 and Resolutions 301-2020 through 303-2020 listed on the Consent Agenda. Ms. Baillie seconded the motion. There was no Council discussion and the motion passed with the following roll call vote recorded: Yeas: Mrs. Vitale, Ms. Baillie, Ms. Byrne, Mr. Hoover, Ms. Coen, Ms. Ehrlich Nays: None R 293-2020 RESOLUTION OF THE BOROUGH OF MADISON AUTHORIZING A CONTRACT WITH TAVLVA ENERGY, LLC FOR A COMMUNITY SOLAR STUDY WHEREAS, the Borough solicited receipt of competitive proposals through a Request for Proposal process (RFP) for a Community Solar Study; and PAGE 7 OF 15 Regular Meeting Minutes – December 14, 2020 WHEREAS, based on RFP’s submitted, the Acting Purchasing Agent and RFP Review Committee have recommended that a contract be awarded to Talva Energy, LLC, of Manasquan, N.J., for a Community Solar Study. NOW, THEREFORE, BE IT RESOLVED, by the Council of the Borough of Madison, in the County of Morris and State of New Jersey, as follows: 1. Upon completion of a satisfactory review of customer references, contract language and financials by the Borough Administrator, the Mayor and Borough Clerk are hereby authorized to execute, on behalf of the Borough, a contract for a Community Solar Study with Talva Energy, LLC, such contract to be in a form approved by the Borough attorney. 2. The Borough Clerk is hereby directed to publish notice of the adoption of this resolution in the official newspaper of the Borough of Madison within ten (10) days of its adoption pursuant to N.J.S.A. 40A:11-5. R 294-2020 RESOLUTION OF THE BOROUGH OF MADISON AUTHORIZING AN EXTENSION OF A CONTRACT FOR COLLECTION AND HAULING OF DESIGNATED RECYCLABLE MATERIALS WITH SUBURBAN DISPOSAL WHEREAS, the Acting Purchasing Agent has recommended that the Borough Council exercise an option to extend the contract for collection and hauling of designated recyclable materials with Suburban Disposal for a two-year (2) period. The initial extension of the contract for 2021 will be for $354,000.00 and for 2022, $366,000.00 with pickup Monday, Tuesday, Wednesday; and WHEREAS, the Borough Administrator and Director of Public Works recommend that the Council approve the exercise of the contract option for the first of two (2) possible two-year extensions at the price set forth in the negotiated contract. And vendor proposal; and WHEREAS, this action is expressly subject and contingent upon adequate funding for this purpose being included in the 2021 and 2022 municipal budgets. NOW, THEREFORE, BE IT RESOLVED, by the Council of the Borough of Madison, in the County of Morris and State of New Jersey, that the Mayor and Borough Clerk are hereby authorized to exercise an option to extend contract for collection and hauling of designed recyclable materials with Suburban Disposal for 2021 at the price of $354,000.00 and for 2022 at the price of $366,000.00. R 295-2020 RESOLUTION OF THE BOROUGH OF MADISON AUTHORIZING AN EXTENSION OF A CONTRACT FOR TREE TRIMMING AND TREE REMOVAL SERVICES WITH HONOR TREE SERVICES PAGE 8 OF 15 Regular Meeting Minutes – December 14, 2020 WHEREAS, the Acting Purchasing Agent has recommended that the Borough Council authorize an extension of a contract for tree trimming and tree removal with Honor Tree Services for an additional one-year period through December 31, 2021 and WHEREAS, the Borough Administrator recommends that the Council approve the extension of the contract with Honor Tree Services; and WHEREAS, this extension is expressly subject to adequate finding for this purpose in the 2021 municipal budget. NOW, THEREFORE, BE IT RESOLVED, by the Council of the Borough of Madison, in the County of Morris and State of New Jersey, that the Mayor and Borough Clerk are hereby authorized to execute an extension of the contract for tree trimming and tree removal services with Honor Tree Services for one year at the price set forth in the current contract and vendor proposal. R 296-2020 RESOLUTION OF THE BOROUGH OF MADISON APPROVING A ONE YEAR MORATORIUM ON ANNUAL FEE INCREASES FOR PARKING PERMITS WHEREAS, residential, commuter and tenant parking permit fees are set to increase in 2021 pursuant to Ordinance 27-2019; and WHEREAS, due to the financial hardship caused by the COVID-19 pandemic, many residents are in need of assistance; WHEREAS, the Director of Business Development and Borough Administrator have recommended that a temporary one-year moratorium on increased parking fees be approved. NOW, THEREFORE, BE IT RESOLVED, by the Council of the Borough of Madison, in the County of Morris and State of New Jersey, that a one-year moratorium on the annual fee increases for residential, tenant and commuter parking permit fees, is approved. R 297-2020 RESOLUTION OF THE BOROUGH OF MADISON AUTHORIZING THE PURCHASE OF WILDFLOWER SEED AND SUPPLIES FOR THE MADISON RECREATION COMPLEX (MRC) MEADOW WHEREAS, the Acting Purchasing Agent has requested authorization to purchase wildflower seeds and supplies for the Meadow at the Madison Recreation Center (MRC); and PAGE 9 OF 15 Regular Meeting Minutes – December 14, 2020 WHEREAS, Ordinance 21-2019 appropriated funding from the Municipal Open Space Trust Fund to implement a conservation management plan for the MRC, as approved by the Open Space Advisory Committee; and WHEREAS, the Chief Financial Officer has attested to the availability of the funds in Ordinance 21-2019, in an amount not to exceed $8,850.00 for this purpose. NOW, THEREFORE, BE IT RESOLVED, by the Council of the Borough of Madison, in the County of Morris and State of New Jersey, that up to $8,850.00 is hereby authorized to be allocated from Ordinance 21-2019 for the purchase of wildflower seed and supplies for the Madison Recreation Center (MRC) Meadow. R 298-2020 RESOLUTION OF THE BOROUGH OF MADISON IN SUPPORT OF LIQUOR LICENSE REFORM IN THE STATE OF NEW JERSEY WHEREAS, the State of New Jersey’s liquor license laws date back to the 1950s and 1960s; and WHEREAS, under current law, a municipality may issue plenary retail consumption licenses until the combined total number in the municipality is fewer than one license for each 3,000 municipal residents and this restriction creates a shortage of these licenses in some municipalities; and WHEREAS, the State of New Jersey’s liquor license laws has caused an extreme supply imbalance so that the Madison area average cost of an individual liquor license is $800,000, an exorbitant amount causing an inequitable landscape among current and potential restaurateurs; and WHEREAS, the restaurant liquor license standards of other states in the Northeast region enable restaurateurs to join the market at a significantly lower price point than the State of New Jersey, thus giving them a competitive advantage; and WHEREAS, the COVID-19 pandemic has put additional burdens on New Jersey’s small businesses, particularly the restaurant industry; and WHEREAS, there is clear need for reform as demonstrated by the numerous bills already introduced in the 2020-21 New Jersey Legislature session with the intent to expand liquor licensure, including but not limited to S2964/A4925, A1700, A1125/S2108, A1128/S2109, A2274/S1592, A725/S1712, S1315, A1955/S615, A1218; and PAGE 10 OF 15 Regular Meeting Minutes – December 14, 2020 WHEREAS, Senate Bill No. S-2964 and Assembly Bill No. A-4925, addresses this shortage by allowing a municipality to issue limited beer, wine, and cider licenses; and WHEREAS, we recognize the need to compensate existing license holders that paid exorbitant prices for the right to sell liquor in their restaurants, which is addressed by Senate Bill No. S-2964 and Assembly Bill No. A-4925, which provides a tax credit against the corporate business tax and gross income tax to compensate license holders for the expected loss in value resulting from the creation of the new restricted licenses; and WHEREAS, it is important that control of the new class of limited licenses must be with the municipalities, including the number and location for licenses issued; and WHEREAS, the State of New Jersey should be a leader in reform initiatives that help its small businesses survive and thrive, providing an equitable business environment, and enabling New Jersey businesses to better compete in the regional market. NOW, THEREFORE, BE IT RESOLVED by the Council of the Borough of Madison, that it supports meaningful liquor license reform legislation to create a more balanced liquor license market especially as it relates to S-2964 and A-4925 as a means to address the availability of plenary retail consumption license for limited beer, wine, and cider licenses; and BE IT FURTHER RESOLVED that the Clerk be and hereby is authorized to distribute copies of this Resolution to all appropriate officials and agencies including our State Legislative Representatives, the Governor, the Lieutenant Governor and the New Jersey State League of Municipalities. R 299-2020 RESOLUTION OF THE BOROUGH OF MADISON SETTING RATES FOR USE OF BOROUGH OWNED ELECTRIC VEHICLE CHARGING STATIONS FOR 2021 WHEREAS, the Chief Financial Officer/Assistant Borough Administrator and Director of Business Development have recommended that the Borough Council set rates for use of Borough- owned Electric Vehicle Charging Stations for 2021; and PAGE 11 OF 15 Regular Meeting Minutes – December 14, 2020 WHEREAS, the Mayor and Borough Council agree with the recommendation of the Chief Financial Officer/Assistant Borough Administrator and Director of Business Development and wish to set rates effective through December 31, 2021, for the use of Borough-owned Electric Vehicle Charging Stations. NOW, THEREFORE, BE IT RESOLVED, by the Council of the Borough of Madison, in the County of Morris, State of New Jersey that the rates for use of Borough-owned Electric Vehicle Charging Stations are hereby set for the year 2021 as follows: First Two (2) Hours $1.00 per hour Third (3rd) Hour $3.00 per hour After Four (4) Hours $25.00 per hour R 300-2020 RESOLUTION OF THE BOROUGH OF MADISON ADOPTING A NEW BOROUGH OF MADISON FLAG WHEREAS, the Downtown Development Commission has recommended that the Borough adopt a flag that reflects the Madison Brand Story adopted in 2019; and WHEREAS, the Borough Council agrees with and endorses such recommendation; and WHEREAS, the flag consists of a blue background with a red rose on a white background in the center of the flag, consistent with new branding. NOW, THEREFORE, BE IT RESOLVED, by the Council of the Borough of Madison, in the County of Morris, State of New Jersey that the Borough of Madison hereby adopts a new official flag of the Borough as described above. R 301-2020 RESOLUTION OF THE BOROUGH OF MADISON RATIFYING A SPECIAL EVENT PERMIT TO ALLOW THE USE OF SUMMERHILL PARK BY BOY SCOUTS OF AMERICA PATRIOTS PACK 7 AND TROOP 7 WHEREAS, the Patriots’ Pack 7 and Troop 7 of Madison has requested permission to use public property Saturday, December 12, 2020, with a rain date of December 13, 2020; and WHEREAS, the Borough Administrator has granted such advance permission; and PAGE 12 OF 15 Regular Meeting Minutes – December 14, 2020 WHEREAS, the Patriots’ Pack 7 and Troop 7 have submitted Special Event Permit Applications to the Borough and has provided a Certificate of Liability Insurance naming the Borough of Madison as an additional insured; and WHEREAS, the Borough Council agrees with this recommendation. NOW, THEREFORE, BE IT RESOLVED, by the Council of the Borough of Madison, in the County of Morris and State of New Jersey, that Patriots’ Pack 7 and Troop 7 of Madison was hereby given permission to use Summerhill Park, December 12th and 13th 2020, for Cub Scout activities subject to approval of the Madison Fire Department. R 302-2020 RESOLUTION OF THE BOROUGH OF MADISON AWARDING A THREE YEAR CONTRACT (2020, 2021 AND 2022) FOR LEAF REMOVAL TO NORTHEAST PRODUCTS OF LEDGEWOOD, NEW JERSEY IN THE AMOUNT OF $247,170.00 WHEREAS, the Borough of Madison publicly advertised for bids for removal and proper recycle of leaves (the “Contract”) in accordance with the Local Public Contracts Law, N.J.S.A. 40A:11-1, et seq.; and WHEREAS, the lowest responsible bid was submitted by Northeast Products, of Ledgewood, New Jersey in the amount of $82,390.00 for each year for years 2020, 2021 and 2022; and WHEREAS, the Acting Purchasing Agent and Borough Attorney have recommended that the Borough Council award the contract to Northeast Products, of Ledgewood, New Jersey for three years in the amount of $247,170.00; and WHEREAS, the Chief Financial Officer has attested that $82,390.00 is available in the 2020 Public Works operating budget, with the second and third years expressly contingent on funding therefore in the 2021 and 2022 budget in the additional amount of $82,390.00, each year. NOW, THEREFORE, BE IT RESOLVED by the Council of the Borough of Madison, in the County of Morris and State of New Jersey, as follows: 1. The three-year contract for removal and proper recycle of leaves is hereby awarded to Northeast Products, of Ledgewood, New Jersey based upon its bid in the amount of $247,170.00. 2. The Mayor and Borough Clerk are hereby authorized and directed on behalf of the Borough to enter into a three-year contract with Northeast Products, of Ledgewood, New Jersey, in a form acceptable to the Borough Attorney. PAGE 13 OF 15 Regular Meeting Minutes – December 14, 2020 R 303-2020 RESOLUTION OF THE BOROUGH OF MADISON AUTHORIZING A CONTRACT WITH CLARK CATON HINTZ FOR PROFESSIONAL SERVICES TO PREPARE HISTORIC PRESERVATION GUIDELINES WHEREAS, the Borough Administrator has recommended execution of a professional services contract with Clark Caton Hintz, to prepare historic preservation guidelines, pursuant to a written proposal from Clark Caton Hintz dated June 26, 2020; and WHEREAS, such services constitute professional services for which a contract may be awarded without the need of competitive bidding pursuant to N.J.S.A. 40A:11-5(1)(a); and WHEREAS, Clark Caton Hintz, has submitted to the Borough Purchasing Agent, the required documents to satisfy the requirements of N.J.S.A. 19:44A-20.5, since this matter may be awarded without competitive bidding; and WHEREAS, funds are available in the Open Space Trust Fund, or in any other account that may be deemed appropriate by the Chief Financial Officer or his designee, and the availability of funds has been certified by the Chief Financial Officer. NOW, THEREFORE, BE IT RESOLVED by the Council of the Borough of Madison, in the County of Morris and State of New Jersey as follows: 1. The Mayor and Borough Clerk are authorized to execute on behalf of the Borough a professional services contract with Clark Caton Hintz, to prepare historic guidelines, in an amount not to exceed $30,800.00 in a form acceptable to the Borough Attorney. 2. The Borough Clerk is hereby directed to publish notice of the adoption of this resolution in the official newspaper of the Borough of Madison within ten (10) days of its adoption pursuant to N.J.S.A. 40A:11-5. Mrs. Vitale moved adoption of the Resolution 300-2020. Ms. Baillie seconded the motion. Mrs. Vitale asked for clarification of the process to make changes to the Borough flag.
