MINUTES OVERSIGHT BOARD MEETING Wednesday, March 27, 2013 – 7-9 p.m. COUNCIL CHAMBER, FEW MEMORIAL HALL OF RECORDS MONTEREY, CALIFORNIA Oversight Board Members Present: Mitch Winick, Harvey Kuffner, Michael Adamson, Stephen Ma, Chuck Della Sala, Dave Potter Absent: Chip Rerig City Staff Present: Finance Director Don Rhoads, City Attorney Christine Davi, Julie Porter, Assistant Finance Director, Housing and Property Manager Rick Marvin, Legal Counsel Richard Glenn, and Secretary to Board, Maria Buell. CALL TO ORDER Vice Chair Winick called the meeting to order at 7:00 PM. APPROVAL OF MINUTES 1. The Minutes of the February 27, 2013 meeting were approved by the following vote: ADOPTED BY THE OVERSIGHT BOARD OF THE SUCCESSOR AGENCY OF THE CITY OF MONTEREY REDEVELOPMENT AGENCY this 27th day of March, 2013 by the following vote: vote: AYES: 6 MEMBERS: Winick, Adamson, Ma, Kuffner, Potter, Della Sala NOES: 0 MEMBERS: None ABSENT: 1 MEMBERS: Rerig ABSTAIN: 0 MEMBERS: None PUBLIC APPEARANCE 2. Receive and Review the Final Due Diligence Review for Non-Housing Fund and Account Balances of the Former Redevelopment Agency of the City of Monterey in Accordance with Health and Safety Code section 34179.5 and Convene the Public Comment Session. Staff Presentation/Board Member Questions Assistant Finance Director Porter presented the staff report and answered board member questions. She also reviewed Schedules 1-8 and said that the total to be remitted to County is $4,444,141, which is the same amount reported to the Board at the January 9, 2013 meeting. Ms. Porter indicated Schedule 8 has been added to the report and it contains a listing of all transferred real estate assets and their value. Ms. Porter recommended approval of the Due Diligence Report before April 20, 2013. Board member Ma asked if the transfer value of the Maritime Museum is the depreciated value. Ms. Porter stated that the value of the Maritime Museum is $777,777 and that it had been established by City 1 staff prior to construction of the Museum and documented in a Memo to the property file. Vice Chair Winick asked if Board members had any other questions. Staff member Marvin asked if the Board members would be available for a Special Meeting to approve the Due Diligence Report prior to April 20, 2013. Board member Della Sala asked if a special meeting is needed only for this item. Staff member Marvin indicated yes that there would only be a need to consider one item at the Special Meeting. All Board members indicated that they could attend a Special Meeting date of April 10, 2013 at 4 PM. Public Comments: Vice Chair Winick opened discussion to members of public on this item. Having no requests to speak, Vice Chair Winick closed public comment. MOTION: On a motion by Board member Della Sala, seconded by Board member Kuffner, the Board unanimously moved to accept the report and schedule a Special Meeting on April 10, 2013 at 4 PM to approve Due Diligence Review. Approval of Proposed Oversight Board Bylaws Amendment Re: Article III, Section 11, Order of Business Amending the Applicable Rules from Robert's Rules of Order to Rosenberg's Rules of Order Staff Presentation/Board Member Questions Counsel Glenn presented this item to the Board and answered their questions. Mr. Glenn provided the background to the Rosenberg’s Rules of Order and he said Rosenberg’s rules are more appropriately applicable to the Oversight Board. Mr. Glenn also said that the Water Authority had recently adopted these Rules as well. Public Comments: Vice Chair Winick opened discussion to members of public on this item. Approval of Proposed Oversight Board Bylaws Amendment Re: Article III, Section 10, Unexcused Absences Staff Presentation/Board Member Questions Counsel Glenn presented this item to the Board and answered their questions. Mr. Glenn said comments from Chair Rerig were incorporated into the recommended amendment. Mr. Glenn stated that valid excused absences could include illness. Board member Kuffner asked if “unexcused absences” means that a Board member can remain absent for 3 or more consecutive times. Counsel Glenn answered in the affirmative and that the Chair of the Board would have discretion on the approval. Board member Potter said he appreciates the consideration of the Board. MOTION: On a motion by Board member Potter, seconded by Board member Adamson, the Board unanimously moved to approve the Proposed Oversight Board Bylaws Amendment Re: Article III, Section 10, Unexcused Absences. Public Comments closed. 3 BOARD MEMBER COMMENTS Vice Chair Winick announced that Don Rhoads is leaving the City shortly. Finance Director Rhoads stated that due to the Special Meeting of April 10th, that would be his last day with Oversight Board and that his last day with the City is April 19th. ADJOURNMENT There being no further business, the meeting adjourned at 7:18 PM. Approval of Proposed Oversight Board Bylaws Amendment Re: Article III, Section 10, Unexcused Absences PUBLIC COMMENTS PUBLIC COMMENTS allows you, the public, to speak for a maximum of three minutes on any subject which is within the jurisdiction of the Oversight Board and which is not on the agenda. Any person or group desiring to bring an item to the attention of the Oversight Board may do so by addressing the Oversight Board during Public Comments or by addressing a letter of explanation to: Housing and Property Management Office, 669 Van Buren St, Monterey, CA 93940. The appropriate staff person will contact the sender concerning the details. BOARD MEMBER COMMENTS Board members may ask a question for clarification, make a brief announcement or make a brief report on his or her activities. In addition, the Oversight Board may provide a referral to staff or other resources for factual information, request staff to report back to the body at a subsequent meeting concerning any City matter, or direct staff to place a request to agendize a matter of business on a future agenda (G.C. 54954.2). ADJOURNMENT Wednesday, March 27, 2013 Members of the public have the right to address the Oversight Board on any item on the Agenda, before or during its consideration [G.C. §54954.3(a)]. The Chair will formally open the floor for public comment on items such as "Public Appearance" and "Public Hearings." If you wish to speak to items in any other categories, for example "Consent Agenda," please advise the Secretary to the Board or the Chair prior to the Oversight Board's action on that item, and you will be recognized. Notification as much in advance as possible is appreciated. The Oversight Board meeting packet may be reviewed by the public in the Library or the Housing and Property Management Office. Any writings or documents pertaining to an open session item provided to a majority of the Oversight Board less than 72 hours prior to the meeting, shall be made available for public inspection at the front counter of the Housing and Property Management Office, at 669 Van Buren Street, Monterey, California 93940 during normal business hours Information distributed to the Oversight Board at the meeting becomes part of the public record.
