MINUTES SPECIAL MEETING BOARD OF MAYOR AND BURGESSES JUNE 17, 2014 1. Mayor Robert A. Mezzo called the special meeting to order at 6:00 p.m. with the following in attendance: BURGESSES: RESIDENTS: T. K. Rossi R. Neth, absent None M. Bronko A. Olbrys R. Burns . P. Scully, Sr. PRESS: C. Ernsky, absent R. Vitale None L. Jackson DEPARTMENT HEADS: OTHERS: R. Butler, Jr., Controller E. Fitzpatrick, Attorney J. Stewart, Public Works Director 2. Mayor Mezzo led in the Pledge of Allegiance to the flag. 3. VOTED: Unanimously on a motion by Deputy Mayor Rossi and seconded by Burgess Scully to recess to Executive Session at 6:01 p.m. for discussion on the following: Collective Bargaining (AFSCME Public Works) and Contract Negotiations (Naugatuck VNA) inviting in Public Works Director J. Stewart, Controller R. Butler, Jr. and Attorney E. Fitzpatrick. Mayor Mezzo reconvened the meeting at 6:51 p.m. 4. The following motion emanated from Executive Session. Motion by Deputy Mayor Rossi and seconded by Burgess Scully that the Board of Mayor and Burgesses authorize Mayor Mezzo to execute a transition services agreement between the Borough of Naugatuck and the Visiting Nurses Association of South Central Connecticut Incorporated, also known as VNA/SCC, subject to borough attorney approval. L. Jackson and A. Olbrys opposed. 5. Motion by Burgess that the Board of Mayor and Burgesses refer to the Joint Boards of Mayor and Burgesses and Board of Finance a transfer request of $5,000 under the 2013 – 2014 Budget from Contingency to the Tax Department – Postage Account as recommended by Tax Collector James Goggin. Motion tabled. 6. Motion by Deputy Mayor Rossi and seconded by Burgess Bronko that the Board of Mayor and Burgesses adopt the following resolution: -2- Minutes – Board of Mayor and Burgesses Special Meeting – June 17, 2014 RESOLVED, that Robert A. Mezzo, Mayor of the Borough of Naugatuck be and hereby is authorized to execute on behalf of this municipal corporation an Open Space Grant Agreement with the State of Connecticut for financial assistance to the Salem Elementary School Playscape CUAP 2008-05. In addition, that Mayor Robert A. Mezzo is hereby authorized to enter into such agreements, contracts and execute all documents necessary to said grant with the State of Connecticut. Motion by Deputy Mayor Rossi and seconded by Burgess Scully that the Board of Mayor and Burgesses adopt the following Commercial Property Assessed Clean Energy (C- PACE) resolution: WHEREAS, Section 157 of Public Act No. 12-2 of the June 12, 2012 Special Session of the Connecticut General Assembly (the “Act”) established a program, known as the Commercial Property Assessed Clean Energy (C-PACE) program, to facilitate loan financing for clean energy improvements to commercial properties by utilizing a state or local assessment mechanism to provide security for repayment of the loans; and WHEREAS, the Act authorizes the Clean Energy Finance and Investment Authority (the “Authority”), a public instrumentality and political subdivision of the State charged with implementing the C-PACE program on behalf of the State, to enter into a written agreement with participating municipalities pursuant to which the municipality may agree to assess, collect, remit and assign, benefit assessments to the Authority in return for energy improvements for benefited property owners within the municipality and for costs reasonably incurred by the municipality in performing such duties; and WHEREAS, the Commercial Property Assessed Clean Energy (“C-PACE”) Agreement (the “C-PACE Agreement”) between the Borough of Naugatuck and the Authority, as attached hereto, constitutes the written agreement authorized by the Act. NOW, THEREFORE, BE IT RESOLVED: (a) That we, the Board of Mayor and Burgesses, constituting the legislative body of the Borough of Naugatuck, hereby approves the C-PACE Agreement, and -3- Minutes – Board of Mayor and Burgesses Special Meeting – June 17, 2014 (b) That Mayor Robert A. Mezzo is hereby authorized and directed, on behalf of the Borough, to execute and deliver the C-PACE Agreement, substantially in the form attached to this Resolution, for the purposes provided therein, together with such other documents as he or she may determine to be necessary and appropriate to evidence, secure and otherwise complete the C-PACE Agreement. ROLL CALL VOTE: FOR OPPOSE ABSTAIN Mayor Mezzo L. Jackson None None T. K. Rossi A. Olbrys M. Bronko . P. Scully, Sr. R. Burns R. Vitale Motion carried 8-0-0 8. VOTED: Unanimously on a motion by Deputy Mayor Rossi and seconded by Burgess Scully that the Board of Mayor and Burgesses authorize Mayor Robert A. Mezzo to execute all contracts and related documents for a Commercial Property Assessed Clean Energy (C-PACE) Agreement with Connecticut Green Bank, subject to borough attorney approval, as recommended by Controller Robert W. Butler, Jr. 9. VOTED: Unanimously on a motion by Deputy Mayor Rossi and seconded by Burgess Scully to adjourn the meeting at 7:01 p.m. A digital recording of this meeting is available in the office of the Borough Clerk for further review.
