MINUTES REGULAR MEETING BOARD OF MAYOR AND BURGESSES OCTOBER 6, 2020 Due to the COVID-19 Pandemic, the Board of Mayor and Burgesses is practicing social distancing. The meeting was held by Zoom, a remote video conferencing platform, and by phone. 1. VOTED: Unanimously on a motion by Deputy Mayor Taf Jackson and seconded by Burgess Neth that the Board of Mayor and Burgesses approve the appointment of Chris Connolly, 38 Picture Lane, Naugatuck, CT 06770 as a member of the Naugatuck Valley Health District, filling the unexpired term of M. Connolly, term to expire October 1, 2021. 10. VOTED: Unanimously on a motion by Deputy Mayor Taf Jackson and seconded by Burgess Neth that the Board of Mayor and Burgesses approve the appointment of Dionne Kotey, 199 Osborn Road, Naugatuck, CT 06770 as a member of the Naugatuck Valley Health District, filling the expired term of R. Yachtis, term to expire March 1, 2022. 11. VOTED: Unanimously on a motion by Deputy Mayor Taf Jackson and seconded by Burgess Neth that the Board of Mayor and Burgesses approve the bid and authorize Mayor Hess to execute all contracts and related documents for the “High Visibility Double Yellow Traffic Markings – Naugatuck Police Department” to Atlantic Pavement Marking, Inc., 15 Industrial Road, Prospect, CT 06712 in the amount of $0.0725 per foot/$382.80 per mile as recommended by Chief of Police Steven K. Hunt. 12. VOTED: Unanimously on a motion by Deputy Mayor Taf Jackson and seconded by Burgess Neth that the Board of Mayor and Burgesses waive the bid and authorize Mayor Hess to execute all contracts and related documents for “Infield Clay Mix” to Thomas Keegan & Sons, 75 Valley Service Road, North Haven, CT 06473 in the amount of $75.00 per ton as recommended by Assistant to the Public Works Director Sandra Lucas Ribeiro. 13. VOTED: Unanimously on a motion by Deputy Mayor Taf Jackson and seconded by Burgess Neth that the Board of Mayor and Burgesses waive the bid and authorize Mayor Hess to execute all contracts and related documents for “Blank Street Signs/Brackets” to Hall Signs, 4495 W. Vernal Pike, Bloomington, IN 47404 as recommended by Assistant to the Public Works Director Sandra Lucas Ribeiro. 14. VOTED: Unanimously on a motion by Deputy Mayor Taf Jackson and seconded by Burgess Neth that the Board of Mayor and Burgesses approve the bid and authorize Mayor Hess to execute all contracts and related documents for the “Underground Storage Tank Removal” to RED Technologies LLC, 209 Pickering Street, Portland, CT 06480 as per bid as recommended by Public Works Director James Stewart.  -3- Minutes – Board of Mayor and Burgesses Regular Meeting – October 6, 2020 15. VOTED: Unanimously on a motion by Deputy Mayor Taf Jackson and seconded by Burgess Neth that the Board of Mayor and Burgesses approve the bid and authorize Mayor Hess to execute all contracts and related documents for the “Natural Gas Conversion” to Sav-Mor Cooling & Heating, Inc., 231 Captain Lewis Drive, Southington, CT 06489 as per bid as recommended by Public Works Director James Stewart. 16. VOTED: Unanimously on a motion by Burgess Neth and seconded by Burgess Mizeski that the Board of Mayor and Burgesses authorize the following purchasing cooperative with US Communities (OMNIA Partners) as recommended by Assistant to the Public Works Director Sandra Lucas Ribeiro. 17. VOTED: Unanimously on a motion by Burgess Neth and seconded by Deputy Mayor Taf Jackson that the Board of Mayor and Burgesses adopt the following resolution for the Naugatuck High School Combined Heat and Power (CHP) Project; as if read: Whereas, the Borough of Naugatuck has undertaken a clean energy program for the borough's municipal and educational facilities which seeks to achieve the objectives of reducing energy operating costs and improving the carbon footprint to help the environment; and Whereas, the borough has directed Advanced Energy Efficiencies (AEE) to recommend clean energy measures that will accomplish these objectives; and Whereas, AEE has recommended the installation of a Combined Heat & Power (CHP) project at Naugatuck High School which will offer substantial long term energy savings and carbon footprint reductions without any out-of-pocket capital expenditure by the borough; and NOW, therefore be it resolved that the Board of Mayor and Burgesses authorize Mayor N. Warren Hess to execute an agreement with Controlled Air of Branford in the amount of $990,000 for the installation of a Combined Heat & Power (CHP) project at Naugatuck High School (NHS) which will provide long term clean power at NHS. Said project shall be financed by the execution of a municipal lease agreement. 18. VOTED: Unanimously on a motion by Burgess Neth and seconded by Deputy Mayor Taf Jackson that the Board of Mayor and Burgesses authorize Mayor Hess to execute Contract Administration Memorandums (CAMS) for contract year 2019 regarding the “Service Contract for Wastewater Treatment System Capital Improvements and Asset Management” as approved by the WPCA and Public Works Director James Stewart.  -4- Minutes – Board of Mayor and Burgesses – Regular Meeting – October 6, 2020 19. VOTED: Unanimously on a motion by Burgess Neth and seconded by Burgess Mizeski that the Board of Mayor and Burgesses authorize Mayor Hess to execute Contract Administration Memorandums (CAMS) for contract year 2019 regarding the “Incinerator Facilities Lease Agreement” as approved by the WPCA and Public Works Director James Stewart. 20. Mayor Hess said the deadline to fill out the 2020 Census forms has been extended to October 31st. Burgess DeOliveira was told only 71.8% of borough residents filled out the 2020 Census forms while 99% of residents in the state filled out the forms. A discussion ensued whether or not the 99% figure was accurate. Burgess DeOliveira thinks the 99% figure is based on the percentage of state residents who filled out the census forms in 2010. 21. Motion by Burgess Neth and seconded by Burgess Mizeski that the Board of Mayor and Burgesses adopt the following resolution authorizing the issuance of refunding bonds for payment of the outstanding principal of, interest and any call premium on certain of the borough’s general obligation bonds and costs related thereto; as if read: RESOLVED, (a) That the Borough of Naugatuck (the “Borough”) issue its refunding bonds, in an amount not to exceed EIGHT MILLION DOLLARS ($8,000,000) (the “Refunding Bonds”), the proceeds of which are hereby appropriated: (1) to fund one or more escrows, and to apply the balance held in such escrows, together with the investment earnings thereon, to the payment in whole or in part, as to be determined by the Mayor and Treasurer, of the outstanding principal of and interest and any call premium on all or any portion of one or more series of the Borough’s outstanding general obligation bonds, including, but not limited to, the Borough’s General Obligation Bonds, Issue of 2014 (the “Prior Bonds”), including the payment of interest accrued on the Prior Bonds to the date of payment and (2) to pay costs of issuance of the Refunding Bonds authorized hereby, including, but not limited to, legal fees, consultants’ fees, trustee or escrow agent fees, credit enhancement fees, underwriters’ or purchaser fees, interest and other financing costs and other costs related to the payment of the Prior Bonds described above. The Refunding Bonds shall be issued pursuant to the General Statutes of Connecticut, as amended, and any other enabling acts. The Refunding Bonds shall be general obligations of the Borough secured by the irrevocable pledge of the full faith and credit of the Borough. (b) That the Mayor and the Treasurer shall sign the Refunding Bonds by their manual or facsimile signatures. The Mayor and the Treasurer are authorized to determine which of the Prior Bonds are to be redeemed and the amount, date, interest rates, interest mode maturities, redemption provisions, form and other details of the Refunding Bonds; to designate one or more banks or trust companies to be certifying bank, registrar, transfer agent and paying agent for the Refunding Bonds and escrow agent with respect to the refunding escrow or escrows to be funded with proceeds of the Refunding Bonds; to provide for the keeping of a record of the Refunding Bonds; to sell the Refunding Bonds at public or private sale or by direct placement; to deliver the Refunding Bonds; and to perform all other acts which are necessary or appropriate to issue the Refunding Bonds.  -5- Minutes – Board of Mayor and Burgesses Regular Meeting – October 6, 2020 (c) That the Mayor and the Treasurer are authorized to call irrevocably for redemption such of the maturities of the Prior Bonds, as they shall determine to refund from the proceeds of the Refunding Bonds and other moneys as they may determine to make available for this purpose and to defease such Prior Bonds by executing and delivering an escrow agreement in such form and upon such terms as they shall approve, such approval to be conclusively evidenced by their execution thereof. (d) That the Mayor is authorized to make representations and enter into written agreements for the benefit of holders of the Refunding Bonds to provide secondary market disclosure information, which agreements may include such terms as he deems advisable or appropriate in order to comply with applicable laws or rules pertaining to the sale or purchase of such Refunding Bonds. (e) That the Mayor is hereby authorized if he determines it is in the Borough’s best interest, to acquire, on behalf of the Borough, bond insurance or other forms of credit enhancement guaranteeing the Refunding Bonds on such terms as the Mayor determines to be appropriate, such terms to include, but not be limited to, those relating to fees, premiums and other costs and expenses incurred in connection with such credit enhancement, the terms of payment of such expenses and costs and such other undertakings as the issuer of the credit enhancement shall require; and the Mayor and the Treasurer, if they determine that it is appropriate, are authorized, on the Borough’s behalf, to grant security to the issuer of the credit enhancement to secure the Borough’s obligations arising under the credit enhancement, including the establishment of a reserve from the proceeds of the Refunding Bonds. (f) That the Mayor, the Treasurer, the Controller and other proper officers of the Borough, or any one of them, are authorized to take all other action which is necessary or desirable to enable the Borough to effectuate the refunding of all or a portion of the Prior Bonds and to issue Refunding Bonds authorized hereby for such purposes, including, but not limited to, the entrance into agreements on behalf of the Borough with underwriters, purchaser, trustees, escrow agents, bond insurers, and others to facilitate the issuance of the Refunding Bonds, the escrow of the proceeds thereof and investment earnings thereon, the payment of the Prior Bonds in whole or in part. (g) While it is anticipated that the Refunding Bonds will qualify as tax-exempt bonds, the Mayor and the Treasurer are authorized, upon the advice of bond counsel, to issue all or any portion of the Refunding Bonds as bonds the interest on which is includable in the gross income of the owners thereof for federal income tax purposes, and it is hereby found and determined that the issuance of any such bonds is in the public interest. Public Comment – None 24. Burgess Comments/Sub-Committee Reports Mayor Hess said October 24th will be the “Save the Club” Event for the Portuguese Club. They will be practicing social distancing. They are holding a raffle with prizes such as a quad with a plow and a Louis Vuitton purse. He encouraged the burgesses to go to the DelGobbo Field. Tremendous progress has been made. It is a tribute to our employees that did the work on the field. The mayor said he is still working on obtaining the adjoining property. Due to COVID-19, he is suggesting we allow downtown restaurants to expand their seating into the street utilizing a few parking spaces. Burgess Vitale reported he is contacting the assessor’s office regarding the personal property declaration forms that need some tweaking. He inquired about private duty for retired officers. Burgess Mizeski thanked Mayor Hess and IT Director Jim Kallipolites for arranging to have the borough board meetings videotaped. The fire department did an excellent job with the two recent house fires. Restaurants stepped up to help the families. The soup kitchen is in the process of being formalized with a board of directors.  -9- Minutes – Board of Mayor and Burgesses – Regular Meeting – October 6, 2020 Burgess Herb reported the Planning Commission sent two positive referrals to the Zoning Commission regarding the proposed assisted living facility on North Main Street. The Conservation Commission held a moonlight walk at Gunntown Nature Preserve. He said it is a beautiful, pristine place. Approximately one hundred people attended. Burgess Dambowsky said the food at the mobile food pantry this week is coming from the Farm to Family initiative. He reported the positivity rate for COVID-19 is low in Naugatuck. There will be a Hazmat Drill along the Naugatuck River on November 4th. Deputy Mayor Taf Jackson thanked the fire and police departments for the birthday parade for Mrs. Niski on her 100th birthday this month. The Deputy Mayor participated in Mission 22 and was glad to be part of the hike. She thanked Linda Ramos for raising five hundred dollars toward the splash pad. Burgess DeOliveira said there will be an online link set up to purchase raffle tickets in support of the Portuguese Club. Burgess Marenghi attended the Naugatuck Day Care Board of Directors meeting. He said they did an excellent job with the renovations to the building. Early childcare centers have done an amazing job assisting our families getting back to work. He said everyone should get out and vote on November 3rd. Burgess Neth questioned Public Works Director Jim Stewart on the closing of the asphalt plant, if any roads will be paved prior to the plant closing, and what is his opinion on the condition of North Main Street. Burgess Neth is not pleased with the patchwork done to the road on North Main Street. 25.
