Public Safety Committee No report.  November 4, 2020 Finance Committee Dickmann reported on the meeting of November 4, 2020. A recommendation was made to the Village Board to approve a Revolving Loan Fund Loan for Aquarius Technologies, LLC for a 10-year term at $75,000 with conditions listed in the attached memorandum. Ann Warnimont, Owner will take out a $50,000 insurance ryder naming the Village as beneficiary. Belling/Hebein made a motion to approve a Revolving Loan Fund Loan for Aquarius Technologies, LLC for a 10-year term at $75,000 with conditions listed in the attached memorandum and a $50,000 insurance ryder from the owner naming the Village as beneficiary. Motion carried. Other Matters: The next Finance/Village Board Meetings will be held on Monday, November 30th and will include the 2021 Budget Public Hearing. The Finance/Village Board Meetings for December will be held on Tuesday, December 8th. A recommendation was made to the Village Board to approve Task Order No. 2024-4 Wastewater Treatment Facility Phosphorus Upgrade – Design & Bidding – Phase 200, Construction Services – Phase 300. Nowlen/Hebein made a motion to approve Task Order No. 2024-4 Wastewater Treatment Facility Phosphorus Upgrade – Design & Bidding – Phase 200, Construction Services – Phase 300. A recommendation was made to the Village Board to approve Professional Services Agreements – Water Distribution Control System & WWTF Control System Upgrade Projects (Energenecs, Inc.). Motion carried at 6:40 p.m. Mary Kay Baumann Village Clerk  MEMORANDUM TO: Saukville Finance Committee FROM: Kathleen Cady Schilling, Executive Director Ozaukee Economic Development DATE: October 21, 2020 SUBJECT: REVOLVING LOAN FUND LOAN: Aquarius Technologies, LLC The purpose of this memorandum is to provide a summary and staff analysis of the request from Aquarius Technologies, LLC for a Revolving Loan Fund (RLF) loan to assist current employee, Ann Warnimont to purchase the company. The current owner is looking to retire. Ann Warnimont joined the company in 2017 with previous experience in finance in both the construction and manufacturing industries. Ann was named Vice-President in 2018 and currently oversees finance, operations and production for the company. The company is currently located at 420 Technology Way in Saukville. Background Aquarius Technologies was established in 2006. At the end of 2016, the company was purchased by Deborah K. LaVelle and switched from Aquarius Technologies, Inc to Aquarius Technologies, LLC. The company which is headquartered in Saukville, focuses on aeration, biological processes and filtration technologies. The company currently focuses mainly on aeration products, but is looking to increase its biofilm systems businesses. The company reintroduced its Nebula MultiState BioFilm System in 2018 and is hopeful that they will be able to increase this portion of their business from 5% of their business to closer to 30%. However, aeration systems will continue to remain a core competency of the company. The company sees the growth of the BioFilm business combined with the growth within new geographic markets and increased market share as the key to the company’s success as it moves into  -2- 2021 and beyond. In reviewing their financials, the company saw a growth of over 15% between 2017 and 2019. 2018 saw a minimal dip due to the relocation of its production facility from Pewaukee to Saukville, but 2019 saw numbers significantly increase. Currently, 2020 is seeing its sales numbers higher than originally projected. The COVID situation has affected the timing of some sales as well as some of its cash flow situations, but the company has been able to manage the situation. The company currently has 13 fulltime workers with all of them being located in Saukville. As part of this loan, the company will agree to retain all 13 employees within the next two years. Additionally, the company will look to potentially hire 2 new employees within the next three years. Funding Request The Company is requesting that the $75,000 RLF loan be provided with a term and amortization of ten years and an interest rate of 1.675 percent. The loan will be matched by a SBA loan with By-line Bank of 1.45 million that has a term of ten years, a personal investment by Ann Warnimont of $70,000 and an investment of key employees of $135,000 for a total purchase price of the business of 1.73 million dollars. The collateral available to secure the loan would be a General Business Security Agreement behind the By-line Bank, a personal guarantee from Ann Warnimont and a lien on Ms. Warnimont’s property in Grafton, behind its current mortgage and Byline Bank. Contingencies If the Village approves the loan request, it is recommended that the following conditions accompany the approval: 1. That a $75,000 RLF loan is provided to Aquarius Technologies, LLC. The loan would be used to allow Ann Warnimont to purchase the company from Deborah LaVelle. 2. That a loan of $1.4 million dollars is provided to the Company by Byline Bank. 3. That the RLF loan is provided with a ten year term and amortization and an interest rate of 1.675 percent. 4. That the loan is secured with the collateral identified above. 5. That the Company retains thirteen full-time equivalent positions at its Saukville Faciityfor the next 24 months upon the closing on the RLF loan. 6. That the Company provides to the Village, or its designee, on an annual basis, semi-annual financial statements that are certified by the borrower, annual financial statements that  -3- are compiled by a certified public accountant, and signed copies of the corporate Federal income tax return. * * *
