CALL TO ORDER
The December 17, 2018 Village Board meeting was called to order by President Chris Zellner at
6:00 p.m.
ROLL CALL

CONSENT AGENDA
Items under the consent agenda may be acted upon by one motion. If, in the judgment of any
Board Member, a consent agenda item needs discussion, the item may be moved to later on the

Motion by Sue Springman, second by Phil Willems, to approve the Consent Agenda including all
of the items listed below.

2 Approve Schedule of Bills
Motion to approve check numbers 77318 through 77334 totaling $513,798.20, 77335 through
77357 totaling $152,164.13, and 77358 through 77361 totaling $51,651.75.
PUBLIC COMMENT
Kaleb Gottwald, 206 W. Second Street, spoke about utility work currently being completed near
his house and the process for approving it. Ann Lewandowski, 103 W. Third Street, asked that
certain parts of a letter from Wisconsin Assistant Attorney General about public comment at
local government meetings be read to those in attendance.
PUBLIC HEARING
1 Discuss and Take Action on Certified Survey Map for Kilarney Way, Kilkenny
Farms
The public hearing to consider a Certified Survey Map for Kilarney Way in Kilkenny Farms was
opened at 6:10 p.m. and closed at 6:12 p.m.
Motion by Joe Zitzelsberger, second by Bill Ranum, to approve the four-lot Certified Survey
Map for Kilarney Way, Kilkenny Farms, as presented.
Motion Passed. For: 7, Against: 0.
NEW BUSINESS
1 Discuss and Take Action on MOA with Groundswell Conservancy Relating to
Potential Acquisition of O'Malley Property
Motion by Phil Willems, second by Erin Moran, to approve the MOA between the Village of
Waunakee and Groundswell Conservancy, Inc. relating to potential acquisition of the O'Malley
Property.
Motion Passed. For: 7, Against: 0.
3 Discuss and Take Action on WPPA Union Contract* The Village Board may
convene in closed session as authorized by Wisconsin Statute 19.85(1)(e) for the
purpose of deliberating or negotiating the purchasing of public properties, the
investing of public funds, or conducting other specified public business, whenever
competitive or bargaining reasons require a closed session. The Village Board may
reconvene in open session and discuss and take action on the subject matter discussed
in closed session.
Motion by Phil Willems, second by Bill Ranum, to convene in closed session at 6:16 p.m. as
authorized by Wisconsin Statute 19.85(1)(e) for the purpose of deliberating or negotiating the
purchasing of public properties, the investing of public funds, or conducting other specified
public business, whenever competitive or bargaining reasons require a closed session. The
Village Board may reconvene in open session and discuss and take action on the subject matter
discussed in closed session.

Motion by Phil Willems, second by Erin Moran, to reconvene in open session at 6:26 p.m.

Motion by Phil Willems, second by Bill Ranum, to approve the WPPA Union Contract as
presented.
Motion Passed. For: 7, Against: 0.
2 Discuss and Take Action on Claim for Damages from Terrence Wall Enterprises
LLC and Main Street Waunakee LLC* The Village Board may convene in closed
session as authorized by Wisconsin Statute 19.85(1)(g) for the purpose of conferring
with legal counsel for the Village Board who is rendering oral or written advice
concerning strategy to be adopted by the Village Board with respect to litigation in
which it is or is likely to become involved. The Village Board may reconvene in open
session and discuss and take action on the subject matter discussed in closed session.
Motion by Sue Springman, second by Phil Willems, to convene in closed session at 6:29 p.m. as
authorized by Wisconsin Statute 19.85(1)(g) for the purpose of conferring with legal counsel for
the Village Board who is rendering oral or written advice concerning strategy to be adopted by
the Village Board with respect to litigation in which it is or is likely to become involved. The
Village Board may reconvene in open session and discuss and take action on the subject matter
discussed in closed session.

Wall Enterprises LLC and Main Street Waunakee LLC.

ADJOURN
*As permitted by the Wisconsin open meetings law, the Village Board has chosen to list a public
comment period on Board meeting agendas to afford an opportunity for valued public comments.
This is specifically listed on the agenda as PUBLIC COMMENT, during which citizens may
share comments with the Board on items that do not appear on the agenda. The Village Board
may not engage in back-and-forth discussion or take formal action during this period, as the
subject items are not specifically listed. The Board may consider deferring the subject to a later
meeting when specific notice can be given. Note: In general, Wisconsin law grants citizens the
right to attend and observe open session meetings of the Village Board, but does not require
allowing the public to speak or actively participate. The Village Board may determine if citizen
participation will be allowed and to what extent.
State statute and/or Village Code requires the Village Board to hold PUBLIC HEARINGS on
certain specified matters where the public can comment on the particular subject. The meeting
chairperson will identify rules for providing comments. Other items on the agenda which are not
listed for public hearing do not require the Board to allow public comment, however the meeting
chairperson can at his/her own discretion allow limited public comments.

Waunakee, Wisconsin, at least twenty-four hours prior to the commencement of the
meeting so that any necessary arrangements can be made to accommodate each request.
